BILL OF SALE
This Bill of Sale is delivered in accordance with and subject to the terms and conditions
of that certain Asset Purchase Agreement (the "Agreement"), made as of February 18, 2010, by
and between VULCAN CONSTRUCTION MATERIALS, LP, a Delaware limited partnership
(the "Seller") and SOUTHSIDE MATERIALS, LLC, a Virginia limited liability company (the
"Purchaser"). All capitalized terms used but not defined herein shall have the meanings
assigned to them in the Agreement.
Seller, for good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, does hereby sell, convey, transfer, assign and deliver to Purchaser, all of its right,
title and interest in and to all of the Product Inventory, the Supply Inventory, the Files and
Records, and the Other Assets.
The parties hereto agree that this Bill of Sale is subject to the terms and conditions of the
Agreement and that the provisions contained in the Agreement are incorporated herein by
reference, constitute an integral part of this Bill of Sale and shall survive the execution of this
Bill of Sale, except as otherwise provided in the Agreement.
Seller hereby agrees to sign, execute and deliver, or cause to be signed, executed and
delivered, and to do or make, or cause to be done or made, upon reasonable request of Purchaser,
any and all agreements, instruments, papers, deeds, acts or things, supplemental, confirmatory or
otherwise, as may be reasonably required by Purchaser for the purpose of or in connection with
acquiring or more effectually vesting in Purchaser or evidencing the vesting in Purchaser of all
of the right, title and interest in and to the Assets, excluding the Machinery and Equipment.
