STOCK PURCHASE AGREEMENT
This Stock Purchase Agreement (this "Agreement"), dated as of June J, 2016, is entered into
by and among WILBUR W. MOORE, JR., BETTY JO REDMOND and ROBERT REDMOND (each a
"Seller", collectively, the "Sellers") and THOMAS M. MADDEN ("Buyer").
RECITALS
WHEREAS, Sellers own all of the issued and outstanding shares of common stock, par value
$100 per share (the "Shares"), of WADE MOORE EQUIPMENT COMPANY, a North Carolina
corporation (the "Company"); and
WHEREAS, Sellers wish to sell to Buyer, and Buyer wishes to purchase from Sellers, the Shares,
subject to the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set
forth and for other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the parties hereto agree as follows:
ARTICLE I
DEFINITIONS
The following terms have the meanings specified or referred to in this Article I:
"Acquisition Proposal" has the meaning set forth in Section 5.03(a).
"Action" means any claim, action, cause of action, demand, lawsuit, arbitration, inquiry, audit,
notice of violation, proceeding, litigation, citation, summons, subpoena or investigation of any nature,
civil, criminal, administrative, regulatory or otherwise, whether at law or in equity.
"Affiliate" of a Person means any other Person that directly or indirectly, through one or more
intermediaries, controls, is controlled by, or is under common control with, such Person. The term
"control" (including the terms "controlled by" and "under common control with") means the possession,
directly or indirectly, of the power to direct or cause the direction of the management and policies of a
Person, whether through the ownership of voting securities, by contract or otherwise.
"Agreement" has the meaning set forth in the preamble.
"Balance Sheet" has the meaning set forth in Section 3.06.
"Balance Sheet Date" has the meaning set forth in Section 3.06.
"Benefit Plan" means any "employee benefit plan," as that term is defined in Section 3(3) of
ERISA regardless of whether such plan is subject to ERISA, that is maintained or contributed to by the
Company or Sellers for the benefit of the Company's employees or with respect to which the Company
has or may have liability.
"Business Day" means any day except Saturday, Sunday or any other day on which commercial
banks located in Virginia are authorized or required by Law to be closed for business.
"Buyer" has the meaning set forth in the preamble.
"Buyer Indeinnitees" has the meaning set forth in Section 8.02.
"Buyer's Accountants" means Baker Tilly Virchow Krause, LLP.
"CERCLA" means the Comprehensive Environmental Response, Compensation, and Liability
Act of 1980, as amended by the Superfund Amendments ind Reauthorization .Act of 1986. 42 U.S.C. �S
9601 et sect.
"Closing" has the meaning set forth in Section 2.06,L

"Closing Adjustment" has the meaning set forth in Section 2.04(a)(ii).
"Closing Date" has the meaning set forth in Section 2.06.
"Closing Payment" has the meaning set forth in Section 2.02.
"Closing Working Capital" means: (a) the Current Assets of the Company, less (b) the Current
Liabilities of the Company, determined as of the Closing Date.
"Closing Working Capital Statement" has the meaning set forth in Section 2.04(b)(i).
"Code" means the Internal Revenue Code of 1986, as amended.
"Common Stock" has the meaning set forth in Section 3.03(a).
"Company" has the meaning set forth in the recitals.
"Company Intellectual Property" means all Intellectual Property that is owned or held for use
by the Company.
"Company IP Registrations" means all Company Intellectual Property that is subject to any
issuance registration, application or other filing by, to or with any Governmental Authority or authorized
private registrar in any jurisdiction, including registered trademarks, domain names and copyrights, issued
and reissued patents and pending applications for any of the foregoing.
"Contracts" means all contracts, leases, deeds, mortgages, licenses, instruments, notes,
commitments, undertakings, indentures, joint ventures and all other agreements, commitments and legally
binding arrangements, whether written or oral.
"Current Assets" means accounts receivable that are aged less than 60 days and prepaid
expenses, but excluding (a) cash and cash equivalents, (b) inventory (if any), (c) the portion of any
prepaid expense of which Buyer will not receive the benefit following the Closing, (d) deferred Tax
assets, (e) accounts receivable that are aged 60 days or more, and (f) receivables from any of the
Company's Affiliates, directors, employees, officers or stockholders and any of their respective Affiliates,
determined in accordance with income tax basis of accounting applied using the same accounting
methods, practices, principles, policies and procedures, with consistent classifications, judgments and
valuation and estimation methodologies that were used in the preparation of the Financial Statements for
the most recent fiscal year end as if such accounts were being prepared as of a fiscal year end for purposes
of filing a Federal income tax return and considering this transaction. Notwithstanding the foregoing,
Seller will fully reserve any uncollectible accounts receivable balances in accordance with GAAP (i.e.,
regardless of whether such related bad debt would be deductible for income tax accounting purposes).
"Current Liabilities" means accounts payable that are aged less than 30 days, accrued Taxes,
wages and accrued expenses, but excluding payables to any of the Company's Affiliates, directors,
employees, officers or stockholders and any of their respective Affiliates, and deferred Tax liabilities,
determined in accordance with income tax basis of accounting applied using the same accounting
methods, practices, principles, policies and procedures, with consistent classifications, judgments and
valuation and estimation methodologies that were used in the preparation of the Financial Statements for
the most recent fiscal year end as if such accounts were being prepared as of a fiscal year end for purposes
of filing a Federal income tax return and considering this Iransaction.
"Direet Claim" has the meaning set forth in Section 8.04(c).
"Disclosure Schedules" means the Disclosure Schedules delivered by Sellers and Buyer
concurrently with the execution and delivery of this Agreement.
"Disputed Amounts" has the meaning set forth in Section 2.04(c)(iii).
"Employment Agreement" ha; the meaning set forth in Section 7.02(o).

REDMOND (each a "Seller", collectively, the "Sellers") and THOMAS M. MADDEN
("Buyer").

The following sets forth the transfer of funds agreed to by the parties to the Stock Purchase
Agreement (this "Agreement"), dated as of .tune 7, 2016, is entered into by and among WILBUR W.
MOORE, JR., BETTY JO REDMOND and ROBL'•RT REDMOND (each a "Seller", collectively, the
"Sellers") and THOMAS M. MADDEN ("Buyer"), Capitalized terms not herein defined have the
meanings ascribed to such terms in the Agreement.
Each of the undersigned hereby acknowledges that the amounts set forth below to be paid to such
party represent all of the amounts that are due to such Person as of the Closing in connection
with the transactions contemplated by the Agreement, and that their respective wire transfer or
other payment instructions set forth below are correct. Neither the Wade Moore Equipment
Company, a North Carolina corporation (the "Company") nor the Sellers has any further
payment obligations to the professionals listed on this Certificate for services rendered through
the Closing Date.
This Flow of Funds Memorandum may be executed in any number of counterparts, each of
which shall be an original, but all of which together shall constitute one instrument. The parties
hereto shall deem facsimile signatures as originals.

In response to your letter of July 18, 2006, regarding approval for the use of Floc Log (APS
#703D), the Division authorizes you to utilize this product in accordance with the conditions of your
permit and the conditions outlined herein. Applied Polymer Systems has performed toxicity tests on
several of their products and has received blanket approval to use them as a treatment method to reduce
turbidity. Attached is a list of all of the products.that have received approval from the Division. The first
four products were approved if used at or below the Maximum Application Concentration listed and the
"block" or "log" products were approved if used according to the manufacturer's specifications. We
appreciate you asking for this information.

Water Quality (DWQ) is forwarding herewith the reissued stormwater general permit. This permit is reissued
pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement
between the state of North Carolina and the U.S. Environmental Protection Agency, dated December 6, 1983.

Your coverage under this general permit is not transferable except after notice to DWQ. The Division may require
modification or revocation and reissuance of the Certificate of Coverage. This permit does not affect the legal
requirements to obtain other permits which may be required by DENR or relieve the permittee from responsibility
for compliance with any other applicable federal, state, or local law rule, standard, ordinance, order, judgment, or
decree.
Please note that in 1998 Senate Bill 1366 established changes to the permit fee structure for DWQ permits effective
January 1, 1999. This change requires that you pay an annual fee to assure continued coverage under this permit.
You will be invoiced for this fee beginning next year. A copy of the current fee schedule is included with this letter.

If any parts, measurement frequencies or sampling requirements contained in this permit are

In compliance with the provision of North Carolina General Statute 143-215.1, other lawful standards and
regulations promulgated and adopted by the North Carolina Environmental Management Commission, and
the Federal Water Pollution Control Act, as amended,

with mine dewatering wastewater and process wastewater from a facility located at

to receiving waters designated as TAR RIVER, a class WS-IV;NSW stream in the Tar -Pamlico River Basin
in accordance with the effluent limitations, monitoring requirements, and other conditions set forth in Parts 1,
II, III, IV, V, and VI of General Permit No. NGG020000 as attached.
This certificate of coverage shall become effective February 7, 2005.
This Certificate of Coverage shall remain in effect for the duration of the General Permit.

In response to your renewal application for continued coverage under general permit NCG020000 the Division of Water
Quality (DWQ) is forwarding herewith the reissued stormwater general permit. Please review the new permit to familiarize
yourself with the changes in the reissued permit. The general permit authorizes discharges of stormwaler and some types of
wastewater. You must meet the provisions of the permit for the types of discharges present at your facility. This permit is
reissued pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement
between the state of North Carolina and the U.S. Environmental Protection Agency, dated December 6, 1983.
The following information is included with your permit package:
• A new Certificate of Coverage
A copy of General Stormwater Permit NCG020000
A copy of a Technical Bulletin for the general permit
Five copies of Discharge Monitoring Report (DMR) Forms - wastewater and stormwater
Five copies of Qualitative Monitoring Report Form
Your coverage under this general permit is not transferable except after notice to DWQ. The Division may require modification
or revocation and reissuance of the Certificate of Coverage. This permit does not affect the legal requirements to obtain other
permits which may be required by DENR or relieve the permittee from responsibility for compliance with any other applicable
federal, state, or local law, rule, standard, ordinance, order, judgment, or decree.
