For value received, CMT Holdco, Inc., a North Carolina corporation ("Seller"), hereby sells,
assigns and transfers unto RS Wilmington Terminal LLC, a Delaware limited liability company,
100 units of limited liability company interests (the "Units") of Carolina Marine Terminal LLC,
a Delaware limited liability company (the "Company"), standing in Seller's name on the books
of the Company, and hereby irrevocably constitutes and appoints any officer of the Company as
attorney to transfer such Units on the books of the Company with full power of substitution in
the premises.
