Resolution of the Managers
By Written Consent to Action Without Meeting

The undersigned, being all of the Managers and owners of all of the Managing Units of The
Marvin and Lavonne Little LLC, do hereby take the following action and adopt the following resolution
by signing our written consent hereto:

RESOLVED: That The Marvin and Lavonne Little LLC shall and does hereby ratify and confirm the
authority of Mary L. Jackson as Manager to represent the LLC in all matters related to the sale of the
property at New Salem Road and Sincerity Road in Union County, North Carolina to Merritt
Development, Inc. pursuant to the purchase and sale agreement dated October 1, 2019.

We hereby consent that the foregoing Resolution shall have the same force and effect as if
taken at a duly constituted meeting of the Managers of the LLC, effective April 24, 2020, and direct that
this document be filed with the minutes as part of the permanent records of the LLC.
