WITNESSETH: THAT WHEREAS Gatlin owns the Gatlin Mobile Home Park, and Ramsey owns the Ramsey's Mobile Home Park which are contiguous each to the other; and WHEREAS both parks utilize and share a lagoon and effluent system (including spray field) in providing septic services for their residents, with such facilities being located partially on the Gatlin Mobile Home Park and partially on the Ramsey's Mobile Home Park (hereinafter, all ponds, spray fields, pipes, pumps and equipment of every kind associated with such lagoon and effluent system are referred to as the "Facilities"); and Book: 4743 Page, 1977-Current: 171 Seq: 1 Book: 4743 Page: 171 Page 1 of 16 Page 2 of 16 2- WHEREAS, the portion of the Gatlin Mobile Home Park that contains a portion of the Facilities is as described in Exhibit "A" attached hereto ("Gatlin Property"), and the portion of the Ramsey's Mobile Home Park that contains a portion of the Facilities is as described in Exhibit'B" attached hereto ("'Ramsey Property') (the Gatlin Property and Ramsey Property may be individually referred to as a "Property" and collectively as the "Properties"); and WHEREAS this easement agreement is intended to benefit not only the Properties but also all of the Gatlin Mobile Home Park and all of the Ramsey's Mobile Home Park; and WHEREAS the additional parcels contained within the Gatlin Mobile Home Park to be benefitted by this easement agreement are as described in Exhibit "C" attached hereto; and WHEREAS it is acknowledged by the parties that the owner(s) of Gatlin Property has historically assumed the primary responsibility of testing, permitting, maintenance, use and operation of the lagoon and effluent system including the spray field; and WHEREAS the costs associated with testing, permitting, maintenance, use and operation of the lagoon and effluent system including the spray Field has historically been paid by Gatlin at the time service was rendered then totaled and shared two-thirds (2/3) by Gatlin and one-third (1/3) by Ramsey at the close of each year; and WHEREAS the shared use and shared expense associated therewith has never heretofore been formally reduced to writing and it is the intent of the parties to do so with this agreement. Each party's rights hereunder may be transferred to future successors and/or assigns of the mobile home parks; and WHEREAS Gatlin has negotiated the sale of property known as Gatlin Mobile Home Park and the Purchaser thereof is desirous of having an agreement with Ramsey guaranteeing the same rights of use that was previously understood between Ramsey and Gatlin, to include but not Book: 4743 Page, 1977-Current: 171 Seq: 2 Book: 4743 Page: 171 Page 2 of 16 Page 3 of 16 3 limited to access to the parts of the Ramsey Property on which any portion of the lagoon and effluent system exists, including via an existing utility pathway located across Ramsey Property; and WHEREAS the parties hereto intend that the within Amended Agreement replace and supplant that Agreement previously executed by the parties and recorded on November 20, 2017 in Deed Book 4703, Page 346, Onslow County Registry. NOW, THEREFORE, in consideration of the premises and other good and valuable consideration, the parties hereto agree as follows: 1) It is agreed between the parties that certain assets comprising the Facilities are owned in such a manner that each party has an interest in having access to the other's Property for the continued use of the Facilities to the extent that it is necessary to enter upon the other's Property in order to perform routine testing and maintenance on the Facilities. 2) This Agreement shall create and grant to each party and their respective successors and/or assigns and successors in title absolute and continued perpetual, non-exclusive easements for ingress, egress and regress across each of the Properties for the purpose of common and routine use and maintenance of the Facilities, as more particularly described in the descriptions and maps attached hereto as Exhibit D, as marked, which have been initialed by the parties hereto. a. All parties agree the existing utility pathway is currently being utilized by Gatlin in the same manner as requested by this Shared Lagoon Agreement and no special rights or privileges are implied or requested. Cost will be shared (3/4) by Gatlin, their successors and/or assigns and one- fourth (1/4) by Ramsey, their successors and/or assigns. b. Expense in excess of $5,000 per calendar year will be the responsibility of Gatlin, their successors and/or assigns. c. Gatlin, their successors and/or assigns agrees to prepare and submit a detailed invoice to Ramsey, their successors and/or assigns by the tenth (1&) day of each new quarter. d. Ramsey, their successors and/or assigns agrees to pay the total amount due from invoice by the twentieth (20`h) day of each new quarter. 4) In the unlikely event that the Ramsey Property known as Ramsey Mobile Home Park should cease to operate as a Mobile Home Park, all parties agree that Gatlin, their successors and/or assigns will assume responsibility for 100% of all fees and expenses associated with the lagoon effluent system. 5) Should the expenses associated with the use thereof be paid in any different manner, the party paying more than their respective share shall have the right of immediate payment and indemnity from the other party including the right to commence a civil action in Onslow County; North Carolina, for purposes of enforcing the payment provisions of this agreement. In the event that such civil action is commenced by either party, the party prevailing shall have its attorney's fees and costs paid by the non -prevailing party. To the extent that either party maintains separate regulatory Book: 4743 Page, 1977-Current: 171 Seq: 4 Book: 4743 Page: 171 Page 4 of 16 Page 5 of 16 -5- records regarding the permitting, use and maintenance of the system, each party shall make all such records immediately available to the other and each of the parties and their respective successors and/or assigns shall cooperate each with the other in meeting all regulatory criteria that may now be in being or that may hereafter be imposed by the State of North Carolina or any other regulatory agency or government that has jurisdiction over the permitting, use and maintenance of the lagoon effluent system. 6) Under no circumstance will it be acceptable for Ramsey, their successors and/or assigns OR Gatlin, their successors and/or assigns to modify the Lagoon System from its current use /condition without WRITTEN consent from the respective party. 7) The agreements herein contained shall be binding on all of the parties to this agreement and their respective successors and/or assigns and this agreement may not be amended, modified or changed in any way without the WRITTEN consent of all parties who then have an interest in the use of the lagoon and effluent system. The easements and rights granted herein shall be for the benefit of the Property to be serviced and served thereby, and for the benefit of the party herein to whom such easement has been granted, and to the successors -in -title of such party, and their respective, assigns, tenants, invitees, agents, employees, licensees, contractors, guests, and lessees. The easements, provisions, and covenants contained herein shall be binding upon each party hereto and their respective successors -in -title and assigns.
