NOW THEREFORE, for good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, and intending to be legally bound, the parties agree as follows: I. Seller hereby grants, sells, conveys, assigns, transfers, sets over to and vests in BSMH, its successors and permitted assigns, all right, title and interest, legal and equitable, in and to all of the Personal Property (as such term is defined in the Acquisition Agreement), excluding only: (i) the Excluded Assets (as such term is defined in the Acquisition Agreement) and (ii) certain motor vehicles and equipment identified in Exhibit A to this Bill of Sale, which motor vehicles shall be conveyed to BSMI-I pursuant to a separate bill of sale dated as of the same date hereof; to have and to hold the same, to BSMH, its successors and permitted 'assigns, forever, to its and their own proper use and benefit.
