This permit has been reissued pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement between the state of North Carolina and the U.S. Environmental Protection Agency, dated October 15, 2007. Please review the new permit to familiarize yourself with all the changes in the reissued permit. The more significant changes to the General Permit include the following: • Permit cover page, second paragraph — The General Permit now may cover activities that DWQ determines to be similar in either the process, or in the exposed materials, to the Timber Products Industry. • Part I Section A — A new provision that facilities draining to 303(d) listed waters, or in watersheds with an approved TMDL, may not be eligible for continued coverage at the next renewal of the General Permit. • Part I Section B second paragraph — A new clarification that the permit does not authorize discharges that DWQ determines are wastewaters. • Part 11 Section A — The required contents of the Stormwater Pollution Prevention Plan have been expanded and clarified. • Part II Section B Table 1 — A new requirement to sample stormwater discharges twice per year for those facilities with exposed piles of certain materials remaining on site longer than seven days. • Part 11 Section B Tables 2 and 3 and following — For permittees with exposed piles, there are new provisions requiring the permittee to execute Tier One and Tier Two response actions, based on the first benchmark exceedence (Tier One) and the second consecutive benchmark exceedence (Tier Two). Tier Two requires that the permittee institute monthly monitoring instead of twice -per -year monitoring, until three consecutive monitoring events show no benchmark exceedences. • Part II Section B — For permittees with exposed piles, a new provision that four exceedences of any particular benchmark will trigger increased DWQ involvement in the permittee's stormwater management and control actions. DWQ may direct the permittee to apply for an individual permit, or may direct the implementation or installation of specific stormwater control measures. • Part 11 Section C — Clarification that under the qualitative monitoring provisions of the permit, the permittee is obligated to respond to repeated observations of stormwater pollution. DWQ may impose additional stormwater management requirements if the permittee is non -responsive, or if the responses are ineffective. Barringer ("Victor"), Stephen H. Conger, Jr. ("Steve") and Robert C. L. Conger ("Bob") provides as follows: Recitals A. CLC is CFRC's wholly owned subsidiary, and CFRC has contributed its currently operating lumber manufacturing, processing and sales assets and operations and idle operating equipment to CLC in exchange for 100,000 shares of CLC's common stock, which is CLC's only class of stock; B. Victor, Steve and Bob (collectively, the "Shareholders") are CFRC shareholders who own a minority of CFRC's stock, consisting of both voting and nonvoting common stock, which are CFRC's only classes of stock, and who desire to acquire all of CLC's outstanding stock in exchange for a portion of their CFRC stock having a value equivalent to the value of the CLC stock they receive; C. The ratio of Steve's CFRC voting stock to his CFRC nonvoting stock is 1:99.36708 ("Steve's Ratio"), and the ratio of Bob's CFRC voting stock to his CFRC nonvoting stock is 1:93.94062 ('Bob's Ratio"), and D. CFRC desires to accommodate the Shareholders' desire to acquire all of CLC's stock in a transaction that qualifies as a reorganization under section 368(a)(1)(D) of the Internal Revenue Code of 1986, as amended (the "Code") and satisfies the requirements of section 355 of the Code. Agreement NOW, THEREFORE, in consideration of the Recitals, the mutual covenants and undertakings contained herein and other good and valuable consideration, the adequacy of which the Parties hereby acknowledge, the Parties hereby agree that: FINAL 1. As of the beginning of business on October 3, 2004, which is the first day of CFRC's 2004-2005 fiscal year, CFRC agrees to distribute to the Shareholders and to CLC (the "Distribution") all the CLC stock that CFRC owns, as follows: Distribute Shares of CLC to: common stock Victor 69,227 Steve 4,000 Bob 6,773 CLC 20,000 2. In exchange, each Shareholder agrees to surrender to CFRC for cancellation so many of his CFRC common stock that has a value, determined as provided below ("Value"), equal to the Value of the CLC stock he receives. The CFRC stock that Victor surrenders shall consist of all his CFRC voting common stock and, in addition, so much of his CFRC nonvoting common stock as is required to make the combined Value of the CFRC shares he surrenders equal the Value of the CLC stock he receives. The CFRC stock Steve and Bob surrender shall consist of so much of their respective CFRC voting and nonvoting common stock as is required to make the combined Value of the CFRC stock they each surrender equal the Value of the CLC stock they receive, respectively. The ratio of Steve's surrendered CFRC voting stock to his surrendered CFRC nonvoting stock shall equal Steve's Ratio, and the ratio of Bob's surrendered CFRC voting stock to his surrendered CFRC nonvoting stock shall equal Bob's Ratio. In all cases, the number of shares of each class shall be rounded up or down to the nearest whole number. 3. The Value of the CLC stock CFRC distributes to a Shareholder and the Value of CFRC stock that a Shareholder surrenders shall be determined as follows: (a) Each share's Value shall be its prorata portion of the value assigned to the assets of the corporation that issued the share. Timberland assets (both the land and the timber growing on it) and Stevenson Land Company, LLC interests shall be assigned fair market values determined by independent professional land and timber appraisals CFRC obtains within the 13 months prior to this Plan's date, and former facility sites that CFRC is now or will be offering for sale (sites in New Bern, NC and Kinston, NC) will 2 ,i FINAL be assigned values approximating their reasonably expected sale prices. All other assets and liabilities shall be assigned their book values, determined according to CFRC's unaudited balance sheet and CLC's proforma balance sheet, each as of August 28, 2004, with secured debt obligations (debt obligations secured by the land, plant and equipment at Goldsboro, Pulaski, Stevenson, Poe Run, Dailey Yard, and Hazelton Yard) adjusted to projected secured debt balances on October 3, 2004, and after allocating for anticipated pre -Distribution dividends. All other debt (revolving credit line, timber notes and vehicle leases) will be included in the liabilities at their August 28, 2004 amounts. (b) To determine Value: (i) CFRC shares shall be assigned a Value without regard to voting rights and as though all CLC assets and liabilities were still CFRC's assets and liabilities and CFRC has not yet distributed CLC shares to the Shareholders and to CLC; and (ii) CLC shares shall be assigned a Value taking into account all of CLC's separate assets and liabilities and as though CFRC has already distributed CLC shares to the Shareholders and to CLC, leaving CLC with 80,000 shares outstanding. (c) The parties agree that if a material miscalculation of Value is discovered at any time, they will make such adjustments as are necessary to correct the number of CFRC shares surrendered to CFRC to the extent required to carry out this Agreement's intent. 4. Effective on October 3, 2004, each Shareholder agrees to resign from all officer and director positions he holds in CFRC or CFRC's subsidiary, Coastal Industrial Products Company. 5. The Parties' rights and obligations hereunder shall survive CFRC's distribution of its CLC stock to the Shareholders and the Shareholders' surrender of CFRC stock to CFRC. 6. CFRC's Board of Directors is authorized to abandon all transactions this Agreement contemplates if it decides that it is in CFRC's and CLC's best interests to do so, whereupon this Agreement shall be null and void and of no further effect whatsoever. 7.
