Dear Stormwater Permitting Division,
On July 1, 2014 the above referenced recycling facility was sold and is now under new ownership. The
new owner/operator, Wise Recycling 1, LLC, intends to continue to operate the site as a recycling
center. On July 30, 2014, we completed and signed the "prior" operator section of a Permit
Name/Ownership Change Form and forwarded to the new owner/operator (Wise Recycling 1, LLC) for
their signature and submission to NCDENR.
To date we have not received confirmation that the new operator has in fact submitted the ownership
change notice, therefore please accept this letter as our notice to you that effective 07/01/14 we are no
longer operating the facility. A copy of the ownership change is attached for your reference.
Below you will find contact information for the new owner/operator. Notice related to that facility for

BILL OF SALE, ASSIGNMENT AND ASSUMPTION AGREEMENT
This BILL OF SALE, ASSIGNMENT AND ASSUMPTION AGREEMENT (this
"Agreement"), dated as of July 1, 2014, is made by and among Wise_ Recycling f,' LLC; a
Delaware limited liability company (the "Comoanv"), Wise Recycling, LLC, aMarylandlimited
liability company ("Wise Subsidiary'), Wise Recycling West, LLC, a Delaware limited liability
company ("Wise Property Owner"), and Wise Metals Holdings LLC, a Delaware limited liability
company ("Wise").
WHEREAS, the Company, Wise Subsidiary, Wise Property Owner, Wise, Source
Recycling, LLC, a Delaware limited liability company, and Terrapin Metals Recycling, LLC, a
Delaware limited liability company, are parties to that certain Contribution Agreement, dated as
of June 30, 2014 (as may be amended, modified or supplemented from time to time, tire
"Contribution Agreement"; capitalized terms used but not otherwise defined herein shall have
the respective meanings ascribed thereto in the Contribution Agreement), pursuant to which,
among other things, Wise has agreed to cause Wise Subsidiary and Wise Property Owner to
-transfer, assign, contribute and deliver to the Company all of Wise. Subsidiary's and Wise
Property Owner's right; title -and -interest in -and to the Wise Contributed Assets, excluding the
.Wise Excluded Assets, to the Company, and the Company has agreed to accept from Wise
Subsidiary, all of Wise Subsidiary's right, title and interest in and to the Wise Contributed Assets
and to assume the Wise Assumed Liabilities; and
WHEREAS, the execution and delivery of this Agreement by the Company, Wise
Subsidiary, Wise Property Owner and Wise is a condition to the obligations of the parties to the
Contribution Agreement to consummate the transactions contemplated by the Contribution
Agreement.
NOW THEREFORE, in consideration of the mutual promises and covenants set forth
herein and in the Contribution Agreement, and other good and valuable consideration, the receipt
and sufficiency of which is hereby acknowledged, and intending to be legally bound hereby,
each party hereto agrees as follows:
1. Transfer of Wise Contributed Assets. For value received, effective as of the
Closing and subject to the tenors and conditions of the Contribution Agreement, each of Wise
Subsidiary and Wise Property Owner do hereby sell, transfer, assign, convey and deliver to the
Company, its successes and assigns all of such party's right, title and interest in and to the Wise
Contributed Assets, including, without limitation, all of the tangible personal property set forth
on Schedule 1 attached hereto, free and clear of all Liens (other than Wise Permitted Liens), to
have and to hold, all and singular, the Wise Contributed Assets forever, and the Company does
hereby accept the sale, transfer, assignment, conveyance and delivery of all of such party's right,
title and interest in and to the Wise Contributed Assets. Notwithstanding anything in this
Agreement or the Contribution Agreement to the contrary, Wise and Wise Subsidiary are
retaining ownership and possession of, and are not selling, transferring, conveying, assigning or
delivering to the Company, any right, title or interest in, to or under, any asset other than the
Wise Contributed Assets.

2. Assumption of Obligations. As part of the consideration for the Company's
purchase of the Wise Contributed Assets, effective as of the Closing, the Company hereby
assumes, undertakes and agrees to perform, pay, honor, be liable for and discharge when due,
any and all of the Wise Assumed Liabilities.
3. Further Actions. From and after the date of this Agreement, each of the parties
hereto shall use all reasonable efforts to take, or cause to be taken, all appropriate action, do or
cause to be done all things necessary, proper or advisable under applicable Law, and execute and
deliver such documents and other papers, as may be required to carry out the provisions of this
Agreement and consummate and make effective the transactions contemplated by this
Agreement.
4. Miscellaneous.
(a) Except as otherwise provided in the Contribution Agreement, the
respective rights and obligations of the parties hereto shall not be assignable without the prior
written consent of the other parties hereto. This Agreement shall be binding upon and inure to
the benefit of the parties hereto and their respective successors and permitted assigns.
(b) Nothing in this Agreement, express or implied, is intended to or shall be
construed to modify, expand or limit in any way the terms of the Contribution Agreement. To
the extent that any provision of this instrument conflicts or is inconsistent with the terms of the
Contribution Agreement, the Contribution Agreement will govern.
(c) This Agreement may not be amended or modified except in a writing
signed by the parties hereto.
(d) This Agreement shall be exclusively interpreted and governed by the Laws
of the State of Delaware and the federal laws applicable therein, without regard to its conflict of
law provisions.
(e) This Agreement may be executed in two or more counterparts, each of
which shall be deemed an original, but all of which together shall constitute one and the
same instrument.

as your notification that the Division of Water Quality (DWQ) has reissued the general permit and that your
facility's coverage will continue under the conditions of the reissued general permit. Please review the new permit
to familiarize yourself with the changes in the reissued permit. This permit is reissued pursuant to the
requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement between the state
of North Carolina and the U.S. Environmental Protection Agency, dated October 15, 2007 (or as subsequently

This Office is in receipt of your recent submission of the Stormwater Discharge Outfall Annual Data
Summary for the semi-annual stormwater conducted in 2010 at the three ouffalls at the Wise Recycling,
LLC Charlotte facility.
The annual report noted that none of the ouffalls were in Tier 2 status for exceedances of the benchmark
values noted in General permit NCG200000. However, this Office's review of the data shows that all three
outfahs should be in Tier 2 as of the October 25, 2010 sampling. Monthly sampling at each outfall should
have commenced with your receipt of the analytical sampling data for the noted sampling event. Below is.
a summary of the parameters, which exceeded the benchmark values in the general permit during both
stormwater sampling events in 2010.
• Outfall 1 — Total suspended solids (TSS), copper, lead, and zinc
• Outfall 2 — Copper, lead, and zinc
• Outfall 3 — Total suspended solids, copper, lead, and zinc
With receipt of this letter please institute the Tier 2 response noted in the general permit in Part II, Section
B (Page 6 of 9) if you have not already done so. The facility has been in Tier 1 since the February 22,
2010 sampling. The tiers within the permit require the permittee to take measures to reduce the pollutants
in stormwater discharged from their sites associated with industrial activities. If the facility moves into Tier
3 (four exceedances of a benchmark value) please contact this office within 30 days of receipt of the
analytical results (for the fourth exceedance).
Our review of the data also noted another issue with the Stormwater Discharge Outfall Annual Data
Summary. For oil and grease and cadmium you noted "none" for some of the sampling results. This
notation was most likely used because these parameters were not detected above the detection level
established by the analytical laboratory. The notation of "none" does not allow the Division to determine if
the analyte in question was detected above or below the benchmark value noted in the permit.
To rectify this issue, you should report a numerical value for each parameter that must be monitored under
the General permit. For those parameters that are not detected above the detection level established by
the analytical laboratory you would report < and the associated detection level reported by the laboratory.
For example, if the analytical laboratory established a detection level of 5.0 mg/L for oil and grease but

NPDES general permit. This permit is issued pursuant to the requirements of North Carolina General
Statute 143-215.1 and the Memorandum of Agreement between North Carolina and the US
Environmental Protection Agency dated May 9, 1994 (or as subsequently amended).
If any parts, measurement frequencies, or sampling requirements contained in this permit are
unacceptable to you, you have the right to request an individual permit by submitting an individual
permit application. Unless such demand is made, this certificate of coverage shall be final and binding.

Division of Water Quality (DWQ). The Division of Water Quality may require modification or

WHEREAS, the Company, Wise Subsidiary, Wise (Property Owner, Wise, Source
Recycling, LLC, a Delawarelimited liability company, and Terrap''in.Metals:Recydling,,LLC,;a
Delaware limited liability company, areipartiesto,that cerwin�Contribution:Agreement,,dated;ns
of June 30, 2014 (as may be amended, modified or supplemented :from time 'do time, the
"Contribution Agreement"; capitalized terms used but not otherwise -defined )herein shall )have

among other things, Wise has agreed to cause Wise Subsidiary and Wise ?Property Owner to

1. Transfer of Wise Contributed Assets. For value received, effective :as of :the

Subsidiary and Wise Property Owner do hereby scll, transfer,assign, convey;and deliverno dhe
Company, its successors and assigns all of:such party':s right,,title:and,interest;in:and to,the`Wise
Contributed Assets, including, without limitation, all of the tangible personal; property set foeth
on Schedule J attached hereto, free and clear of all Liens (other than Wise Permitted Uiens),,to
have and to hold, all and singular, the Wise Contributed Assets horever,:andrthe Company does
hereby accept the sale, transfer, assignment, conveyance and detiveryaf;alllofsuoh,part}'s�right,
title and interest in and to the Wise Contributed Assets. Notwithstanding ;anything iin ithis
Agreement or the Contribution Agreement to the contrary, Wise ;and Wise (Subsidiary ,are
retaining ownership and possession of, andareatot selling,'transferring, conveying, assi.griing or
delivering to the Company, any right, title or iinterest in, .to -or !under, any asset (other ithan ithe
Wise Contributed Assets.

any and all of the Wise Assumed Liabilities.

4. Miscellaneous.
(a) Except as otherwise provided in the Contribution Agreement, title
respective rights and obligations of the parties hereto shall not The assignable ;without'the iprior
