BILL OF SALE
THIS BILL OF SALE, made and entered into effective as of the s� day of January, 2015
(herein the "Bill of Sale"), is executed and delivered by and between WEBB METALS, LTD., a
North Carolina corporation (herein the "Seller"), and Eddie L. Webb, Seller's controlling
shareholder ("Eddie") and Sheila W. Davis ("Sheila") and WEBB METALS RECYCLING, LLC,
a North Carolina limited liability company (herein the "Buyer").
All capitalized terms used in this Bill of Sale and not defined herein shall have the respective
meanings ascribed to them in the Asset Purchase Agreement of even date herewith (the "Asset
Purchase Agreement'), by and among Seller, Buyer, Eddie and Sheila.
WHEREAS, pursuant to the Asset Purchase Agreement, Seller has agreed to sell, transfer,
convey, assign and deliver to Buyer the Acquired Assets and Buyer has agreed to purchase such
Acquired Assets.
NOW, THEREFORE, for other good and valuable consideration, the receipt, adequacy and
sufficiency of which are hereby acknowledged, Buyer and Seller hereby agree as follows:
1. Seller hereby grants, sells, transfers, conveys, assigns, delivers and sets over to Buyer,
and its successors and assigns, to have and to hold forever, all of Seller's rights, title and
interest in and to all of the Acquired Assets.
2. Seller hereby represents and warrants that as of the Closing the Acquired Assets are free
and clear of all liens and encumbrances of any kind whatsoever.
3. Seller hereby covenants and agrees that it will execute and deliver such further
instruments of transfer; will take such actions as the Buyer reasonably may request in order
to transfer the Acquired Assets transferred, assigned, and conveyed hereunder; and will
assist in the collection and reduction to possession of such Acquired Assets.
4. In consideration of the grant, sale, transfer, conveyance, assignment, delivery and setting
over to Buyer of all of Seller's right, title and interest in and to the Acquired Assets, the
Buyer has made such payments, representations, warranties and covenants as are described
in the Asset Purchase Agreement. Nothing herein shall require Buyer to perform, pay or
discharge any liability, obligation or commitment of the Seller, or modify, amend, or enlarge
any of the representations and/or warranties of either party in the Asset Purchase Agreement.
5. This Bill of Sale shall be binding upon and inure to the benefit of the parties hereto and
their respective successors and assigns.
6. This Bill of Sale may be executed in counterparts, each of which shall be deemed an
original, but all of which shall constitute one and the same instrument. Each such
counterpart may be executed by facsimile, with such facsimile signature to have the same
force and effect as its original.

To Whom It May Concern:
On behalf of Webb Metals, LTD (Webb), Geoscience and Technology, P.A. (GeoSci) is pleased
to submit the attached Permit Renewal Forms and additional information pursuant to renewal of
North Carolina General Stormwater Permit #NCG200334.
Webb is a metal recycler located on Philadelphia Church Rd. in Dallas, Gaston County, North
Carolina. Attached are the original renewal forms signed by Eddie Webb, owner and facility
contact. Attached also is: 1) a facility map form the Stormwater Pollution Prevention Plan
(SPPP); 2) a chart summarizing lab results for stormwater monitoring events, and; 3) a chart
summarizing visual monitoring results through 2014. Below is a narrative of Best Management
Practices (BMP's) and improvements made to mitigate stormwater pollution. Please note that
prior to improvements to the stormwater detention ponds in 2010, the detention ponds had
separate discharges SDO's); therefore, there are results for two SDO's, 1 and 2, in 2010 in the
attached charts. After combing the two ponds to one SDO, the SDO is designated as `2c' in the
charts. The combined SDO is actually the location of the original SDO `2'.
Best Management Practices (BMP's)
Webb accepts metal of any kind for recycling including vehicles, radiators, white goods,
lawmmowers, engines, aluminum cans, and various scrap metal. Cutting scraps from machine
shops are also accepted and these materials are set on screens over barrels to capture cutting
fluids and oils prior to shipment for sale. Webb does not accept any vehicles, lawnmowers,
engines, and radiators in which the crankcases, transmissions, brake lines, radiators, and any oil,
brake fluid or radiator fluid reservoirs have not been drained. All stormwater inlets are protected

with oil/grit filtration `socks' that are cleaned or replaced on a regular basis. Stormwater flow at
the facility is from north to south towards to concrete detention ponds located at the south and
southwest ends of the facility (see attached Figure 2). The detention ponds are equipped with
baffles at the outlet ends, much like a septic tank, to mitigate solids and oil in the. Aerators are
utilized continuously in both ponds to keep the water from becoming stagnant. `Floc Logs" are
also utilized continuously in both ponds to precipitate metals. The logs are replaced as they
dissolve. Flow from both ponds is piped to a Grit -Oil -Water Separator (GOWS). The GOWS is
utilized as a final filter for sediment and oil. The discharge from the GOWS is to an intermittent,
unnatned tributary of Coley Creek. which is a WS-1V class stream in the Catawba River Basin.
Changes in Activities
There have been no significant changes in the industrial activities, materials handled, material
storage or raw materials used by the facility during the term of the current permit. Improvements
during the term of the current permit include: 1) excavation of the previously existing detention
ponds and installation the concrete ponds with baffles; 2) excavation of stormwater ditches and
replacement with pipes and inlets with socks, and; 3) installation of the COWS.

SUPPLEMENTAL INFORMATION REQUIRED FOR RENEWAL OF INDIVIDUAL
NPDES STORMWATER PERMIT
Two copies of each of the following shall accompany this submittal in order for the application
to be considered complete:

1. A current Site Map from the Stormwater Pollution Prevention Plan. The location of

industrial activities (including storage of materials, disposal areas, process areas and
loading and unloading areas), drainage structures, drainage areas for each outfall,
building locations and impervious surfaces should be clearly noted.
A Summary of Analytical Monitoring results during the tern of the existing permit
(if your permit required analytical sampling). Do not submit individual lab reports.
The summary can consist of a table including such items as outfall number,
parameters sampled, lab results, date sampled, and storm event data.
3. A summary of the Visual Monitoring results. Do not submit individual monitoring
reports. The summary can consist of a table including such items as outfall number,
parameters surveyed, observations, and date monitoring conducted.
4. A summary of the Best Management Practices utilized at the permitted facility.
Summary should consist of a short narrative description of each BMP's in place at
the facility. If the implementation of any BMP's is planned, please include
information on these BMP's.
5. A short narrative describing any significant changes in industrial activities at the
permitted facility. Significant changes could include the addition or deletion of
work processes, changes in material handling practices, changes in material storage
practices, and/or changes in the raw materials used by the facility.
6. Certification of the development and implementation of a Stormwater Pollution
Prevention Plan for the permitted facility (Sign and return attached form).
If the final year analytical monitoring of the existing permit term has not been completed
prior to filing the renewal submittal, then the last years monitoring results should be submitted
within 30 days of receipt of the laboratory reports. (i.e. do not withhold renewal submittal
waiting on lab results)

On behalf of Webb Metals, LTD (Webb), Geoscience and Technology, P.A. (GeoSci) is pleased
to submit the.attached Permit Renewal Forms and additional information pursuant to renewal of
North Carolina General Stormwater Permit #NCG200334.
Webb is a metal recycler located on Philadelphia Church Rd.,in Dallas, Gaston County, North
Carolina. Attached are the original renewal forms signed by Eddie Webb, owner and facility
contact. Attached also is: 1) a facility map form the Stormwater Pollution Prevention Plan
(SPPP); 2) a chart summarizing lab results for stormwater monitoring events, and; 3) a chart
summarizing visual monitoring results through 2014. Below is a narrative of Best Management
Practices (BMP's) and improvements made to mitigate stormwater pollution. Please note that
prior to improvements to the stormwater detention ponds in 2010, the detention ponds had
separate discharges SDO's); therefore, there are results for two SDO's, I and 2, in 2010 in the
attached charts. After combing the two ponds to one SDO, the SDO is designated as `2c' in the
charts. The combined SDO is actually the location of the original SDO `2'. .
Best Management Practices (BMP's)
Webb accepts metal of any kind for recycling including vehicles; radiators, white goods,
lawnmowers, engines, aluminum cans, and various scrap metal. Cutting scraps from machine
shops are also accepted and these materials are set on screens over barrels to capture cutting
fluids and oils prior to shipment for sale. Webb does not accept any vehicles, lawnmowers,
engines, and radiators in which the crankcases, transmissions, brake lines, radiators, and any oil,
brake fluid or radiator fluid reservoirs have not been drained. All stormwater inlets are protected

with oil/grit filtration `socks' that are cleaned or replaced on a regular basis. Stonnwater flow at
the facility is from north to south towards to concrete detention ponds located at the south and
southwest ends of the facility (see attached Figure 2). The detention ponds are equipped with
baffles at the outlet ends, much like a septic tank, to mitigate solids and oil in the. Aerators are
utilized continuously in both ponds to keep the water from becoming stagnant. `Floc Logs" are
also utilized continuously in both ponds to precipitate metals. The logs are replaced as they
dissolve. Flow from both ponds is piped to a Grit -Oil -Water Separator (COWS). The GOWS is
utilized as a final filter for sediment and oil. The discharge from the GOWS is to an intermittent,
unnamed tributary of Coley Creek. ,vhich is a WS-IV class stream in the Catawba River Basin.
Changes in Activities
There have been no significant changes in the industrial activities, materials handled, material
storage or raw materials used by the facility during the term of the current permit. Improvements
during the term of the current permit include: 1) excavation of the previously existing detention
ponds and installation the concrete ponds with baffles; 2) excavation of stonnwater ditches and
replacement with pipes and inlets with socks, and; 3) installation of the COWS.

SUPPLEMENTAL INFORMATION REQUIRED FOR RENEWAL OF INDIVIDUAL
NPDES STORMWATER PERMIT
Two copies of each of the following shall accompany this submittal in order for the application
to be considered complete:
(Do not submit the site Stormwater Pollution Prevention Plan)

1. A current Site Map from the Stormwater Pollution Prevention Plan. The location of
industrial activities (including storage of materials, disposal areas, process areas and
loading and unloading areas), drainage structures, drainage areas for each outfall,
building locations and impervious surfaces should be clearly noted.

✓ 2. A summary of Analytical Monitoring results during the term of the existing permit
(if your permit required analytical sampling). Do not submit individual lab reports.

The summary can consist of a table including such items as outfall number,
parameters sampled, lab results, date sampled, and storm event data.

reports. The summary can consist of a table including such items as outfall number,

information on these BMP's.

Water Quality (DWQ) is forwarding herewith the reissued slormwaler general permit. Due to resource constraints,
the Division has been unable to adequately consider appropriate modifications to the permit. Therefore, the permit
has been reissued without changes from the previous permit, so all conditions remain the same. The permit term for
the reissued permit is two years, expiring on September 30, 2008. The general permit may be modified and reissued
prior to its expiration. The permit is reissued pursuant to the requirements of North Carolina General Statute 143-
215.1 and the Memorandum of Agreement between the state of North Carolina and the U.S. Environmental
Protection Agency, dated December 6, 1983.

Dear Permittee:
Your facility is currently covered for stormwater discharge under General Permit NCG200000. This permit expires on
October 31, 2005. The Division staff is currently in the process of renewing this permit. When a draft version is
available for notice and public comment, it will be posted on our website at http://h2o.enr.state.nc.us/su/. Once
the permit is reissued, your facility would be eligible for continued coverage under the reissued permit.
In order to assure your continued coverage under the general permit, you must apply to the Division of Water
Quality (DWQ) for renewal of your permit coverage. To make this renewal process easier, enclosed you will find a
Permit Coverage Renewal Application Form. The application must be completed and returned by August 19, 2005 in
order to assure continued coverage under the general permit. Letters confirming our receipt of the completed
application will not be sent.
Failure to request renewal within the time period specified may result in a civil assessment of at least $250.00.
Larger penalties may be assessed depending on the delinquency of the request. Discharge of stormwater from your
facility without coverage under a valid stormwater NPDES permit would constitute a violation of NCGS 143-215.1 and
could result in assessments of civil penalties of up to $10,000 per day.
Please note that "no exposure exclusion" is now available to all operators of industrial facilities in any of the
categories of "storm water discharges associated with industrial activity," (except construction activities). If you feel
your facility can certify a condition of "no exposure", i.e. the facility industrial materials and operations are not
exposed to stormwater, you can apply for the no exposure exclusion. For additional information contact the Central
Office Stormwater Staff member listed below or check the Stormwater Permitting Unit Web Site at
http://h2o.enr.state.nc.us/su/.
If the subject stormwater discharge to waters of the state has been terminated, please complete the enclosed
Rescission Request Form. Mailing instructions can be found on the bottom of the form. You will be notified when
the rescission process has been completed.
