Annual Permit Fee Overdue
This annual fee is required by the North Carolina Administrative Code. It covers the administrative costs associated
with your permit. It is required of any person holding a permit for any time during the annual fee period, regardless of
the facility's operating status. Failure to pay the fee by the due date will subject the permit to revocation. Operating
without a valid permit is a violation and is subject to a $10,000 per day fine. If the permit is revoked and you later
decide a permit is needed, you must reapply, with the understanding the permit request may be denied due to changes
in environmental, regulatory, or modeling conditions.

SUBLEASE AGREEMENT
COUNTY OP CHATHAM
THIS SUBLEASE AGREEMENT ("Sublease"), made and entered into as of the
last date set forth in the notary. acknowledgements below, by and between the STATE OF
NORTH CAROLINA, a body politic and corporate, hereinafter referred to as '`Sublessor';
and CROSSWINDS BOATING CENTER, LLC, a North Carolina limited liability company, -
hereinafter referred to as "Sublessee." Sublessor and Sublessee are at times collectively referred
to hereinafter as the "Parties' or individually as the "Party."
WITNESSETFI:
THAT WHEREAS, the Department of the Army, through its Corps ol' Engineers
(the "Government" or "USACE") leased approximately 45,478 acres of land and water area,
known as the B. Everett Jordan Lake Project (the "Reservoir") to Sublessor pursuant to that
certain lease agreement dated October 12, 1981 (designated with lease number DACW21-1-81-
2603), as amended by that certain Supplemental Agreement No. I to Lease No. DACW21-1-81-
2603 dated April 30, 1999 (collectively, the "Lease," which is appended hereto and incorporated
herein as Attachment l: and
WHEREAS, the North Carolina Department of Environment and Natural Resources,
Division of Parks and Recreation ("DPR") has requested and approved the execution of this
instrument for the purposes herein specified; and
WHEREAS, the execution of this Sublease for and on behalf of Sublessor has been duly
approved by the Governor and Council of State at a meeting held in the City of Raleigh, North
Carolina, on the 711' day of February, 2012: and
WHEREAS, the Parties have mutually agreed to the terms of this Sublease as hereinafter
set out.
NOW, THEREFORE, in consideration of the rental received and the terms, covenants
and conditions set forth herein. Sublessor does hereby rent, sublease and demise tint
o Sublessee
for and during the term and under the terms and conditions hereinafter set forth, that portion of
the Reservoir being more particularly described below as the "Premises."
THE TERMS AND CONDITIONS OF THIS SUBLEASE ARE AS FOLLOWS:
I. Sublease "Perms. References in this Sublease to "DPR", "Director of DPR", "Park
Superintendent" and other agencies and administrators of Sublessor are intended only to identily
the agencies or administrators of Sublessor responsible for the performance of certain tasks with
respect to this Sublease as of the date hereof. References to any such agency or administrative
title of Sublessor shall be deemed to be a relerence to Sublessor and any successor agency or
administrative title to those so named. During the Term, Sublessor may, in its discretion,

TAX PRORATION AND OFFICE TITLE

WHEREAS, the Seller listed personal property and improvements to real property with
Chatham County as of I January 2012, including some of the property that it is conveying to
Buyer;
WHEREAS, the parties have agreed to prorate, pay and allocate responsibility for the Chatham
County taxes as set forth below; and
WHEREAS, the Seller needs more time to acquire a proper certificate of title to the Marina
office and building from the North Carolina Department of Motor Vehicles and the Buyer is
willing to give it that time under terms set forth below.
THE PARTIES HEREBY AGREE THAT the Asset Purchase Agreement be amended to provide
the following:
1. The Buyer shall be responsible for paying $975.00 toward the Crosswinds 2012 tax
liability, plus any balance due once the 2012 tax rate is set;
2. The Seller shall pay, from the proceeds of this sale, the balance of the tax liability, based
upon the 2012 tax bill, to wit: $1,568.52;
3. Barber & Barber, PLLC, shall make that payment of $1,568.52 to the Chatham County
Tax Collector from the $300.000.00 of the cash Purchase Price that is held in its trust
account;
4. The Seller shall forward Crosswinds the 2012 Chatham County tax bill to the Buyer,
who shall pay any balance owing;
5. The Seller shall forthwith take all actions necessary to acquire, and acquire, a proper
certificate of title for the Marina office and building so that it can properly assign a clear
and marketable certificate of title to the Buyer;
6. Barber & Barber, PLLC shall hold $25,000.00 of the cash Purchase Price in escrow until
Seller has assigned a clear and marketable title to the Buyer;
7. Upon receipt of a properly executed Bill of Sale, Barber & Barber, PLLC shall transfer
$273,431.48 to the trust account of the Seller's attorney; and
8. Upon receipt of a properly assigned clear and marketable certificate of title to the
Marina office and building, Barber & Barber shall transfer $25,000.00 to the trust
account of the Seller's attorney.
The Asset Purchase Agreement remains in Pull force and effect, amended only as set forth herein.

Purchase Agreement under seal as of the day and year first above written.

In accordance with your application for a discharge permit received on May 4, 2006, we
are forwarding herewith the subject certificate of coverage to discharge under the subject state —
NPDES general permit. This permit is issued pursuant to the requirements of North Carolina
General Statute 143-215.1 and the Memorandum of Agreement between North Carolina and the
US Environmental Protection Agency dated May 9, 1994 (or as subsequently amended).
Please take notice that this certificate of coverage is not transferable except after notice to
the Division of Water Quality. The Division of Water Quality may require modification or
revocation and reissuance of the certificate of coverage.
This permit does not affect the legal requirements to obtain other permits which may be
required by the Division of Water Quality or permits required by the Division of Land
Resources, Coastal Area Management Act or any other federal or local governmental permit that
may be required.

On December 8, 2005 Mr. Christopher Wu of the Raleigh Regional Office conducted a
stormwater evaluation inspection of the Crosswinds Marina on Jordan Lake with the assistance
of Mr. Ronny Parker and Mr. Zack Brunk, employees of the facility. All help was appreciated as
it eased the inspection process.
The purpose of the evaluation was to see if Crosswinds Marina was abiding by the guidelines
provided under general permit NCG190000. A maintained stormwater program is essential for
protecting the integrity of surface waters. Currently, Crosswinds does not have a stormwater
permit and was told by the Army Corp of Engineers that one would not be required. The
Division of Water Quality, however, requires all marinas, which have on -site maintenance, to
obtain and abide by a stormwater permit. Crosswinds Marina has a maintenance facility that has
the potential to contaminate Jordan Lake, a state drinking water supply. Mr. Parker stated that
the property used for vehicle maintenance is actually leased to another business. As property
owner, however, you are held responsible for any contaminated-stormwater discharges leaving
that property.
The Crosswinds Marina has 10-12 outfalls all of which discharge directly to the lake. The
stormwater primarily consists of parking lot runoff, but has the potential to receive water from its
maintenance shop that lies uphill of the marina.
To apply for a stormwater permit you must fill out a Notice of Intent (NOI) and submit it to the
state for approval. This form can be found on the Division of Water Quality's website at:

Regarding documentation, all qualitative monitoring is currently being conducted without usage
of the proper DMR forms. Even though Crosswinds Marina does not have a stormwater permit,
most components of the Stormwater Pollution Prevention Plan were present including: detailed
site maps with clearly labeled storm drains, a list of potential contaminants, a spill and response
plan, and emergency response. Spill and mitigation training sessions are required for all
employees and new hires. Because the facility has a bulk storage container for gasoline the plan
also includes a Spill Prevention Counter Control (SPCC) plan. This SPCC plan must be filed
with the EPA. The only major addition to what already exists is to incorporate quantitative
monitoring of the outfalls to ensure that the water quality is within ambient concentrations.

On April 20, 2006 Mr. Christopher Wu of the Raleigh Regional Office and Ms. Aisha Lau of
Central Office conducted a stormwater evaluation inspection of the Crosswinds Marina on
Jordan Lake with your assistance. Your help was appreciated as it eased the inspection process.
The purpose of the evaluation was to see if Crosswinds Marina would require a stormwater
permit (general permit NCG190000). A thorough inspection of the marina was conducted, and
it was determined that the primary source of potential contamination originated from a
maintenance shop situated uphill of the lake. The maintenance shop, Boatworks, is sub -leased to
another individual, but as the primary lease holder you are still delegated responsibility for the
lot of land.
The majority of the maintenance shop drains to wooded areas where contaminants would likely
be filtered before they could reach surface water. Only a small portion of the maintenance lot
actually drains to a roadside ditch that can potentially reach the lake. Currently, boats awaiting
service are stored in this area, and because such boats have the potential to leak fluids, a
stormwater permit is required.
During the inspection, several options were discussed. It was decided that you could either:
• Apply for the stormwater permit. To apply for a stormwater permit you must fill out a
Notice of Intent (NOI) and submit it to the state for approval. This form can be found on

• Ask the owner of Boatworks to apply for the stormwater permit. By delegating the

We've received an NOI from Crosswinds Marina, Inc. in Apex/Chatham County (near 64
where it crosses Jordan Lake) for coverage under stormwater GP NCG19 (Marinas). The
site discharges stormwater into the New Hope Arm of Jordan Lake (WS-IV CA, B-NSW) of
the Cape Fear Basin. The NOI is attached.
Does the Raleigh Regional Office have any concerns about issuing this facility a CDC
for this general permit? If we don't receive any objections, we'll issue the CDC in
30 days.
By the way, I'll be out of the office on vacation (yay! It's been a long time since
we took one!) starting tomorrow (Friday) through next week, but I should be back on
Monday 5/22.
