PERMIT TRANSFER AGREEMENT
This Agreement is entered into this date by Pharr Yarns, LLC (Pharr Yarns) and Mannington
Mills, Inc. (Mannington) in order to effect a transfer of the following permits issued by the North
Carolina Department of Environmental Quality:
• Air Permit No. 04364R15, issued by the Division of Air Quality on May 19,
2016; and
• Certificate of Coverage No. NCG170359, issued by the Division of Energy,
Mineral and Land Resources on August 1, 2019 to permit stormwater discharges
under NPDES General Permit No. NCG170000
Pursuant to the Asset Purchase Agreement by and between Pharr Yarns and Mannington dated as
of November 25, 2019, Mannington agreed to purchase the assets constituting the facility
covered by the aforementioned permits and, effective as of closing (anticipated to be February 1,
2020), the responsibility, coverage, and liability thereunder, for post -closing operations, is to
transfer from Pharr Yarns to Mannington, subject to the terms of the aforementioned Asset
Purchase Agreement..
This Agreement is entered into by both parties this December 20, 2019, with said transfer
anticipated to become effective on February 1, 2020.
