1 BILL OF SALE AND ASSIGNMENT OF ASSETS
THIS BILL OF SALE AND ASSIGNMENT OF ASSETS dated December 23, 2019, between
1 Zooland Family Campground, LLC, a South Carolina Limited Liability Company, ("Transferor") and
i Tall Pines Properties,LLC,a North Carolina Limited Liability Company("Transferee").
WITNESSETH:
WHEREAS, Transferor, as Seller, previously entered into an Asset Purchase Agreement dated
September 19, 2019 (the "Agreement") with Mark Lamers, the sole Member-Manger of Transferee, as
Purchaser, providing for among other things, the transfer and sale free and clear of liens of certain assets,
properties,real and personal,tangible and intangible,owned by Transferor,as more fully described in the
Agreement, collectively, the Assets, in consideration of payment in the amount and manner and on the
terms and conditions provided in the Agreement and any amendments thereto. All terms defined in the
Agreement shall have the same meanings and effect when used in this Bill of Sale and Assignment as
defined in the Agreement unless otherwise or defined to the contrary herein;and
WHEREAS, the parties now desire to carry out the intent and purpose of the Agreement by
Transferor's execution and delivery to Transferee of this instrument evidencing the vesting in Transferee
of the Assets.
NOW THEREFORE, in consideration of the premises and of other good and valuable
consideration, including the entire agreement, the receipt thereof is hereby acknowledged by each,
Transferor does hereby convey, grant, bargain, sell, transfer, set over, assign, alien, remise, release,
deliver and confum unto Transferee, its successors and assigns, on an "AS IS, WHERE IS, and WITH
ALL FAULTS" basis, except as otherwise provided herein, or prohibited by law, free and clear of any
and all liens, claims, obligations and/or other interests of any kind, nature or description whatsoever,
whether known or unknown, the Assets as defined in the Agreement, including but not limited to the
assets as specified on Exhibit A attached hereto and incorporated by reference.
TO HAVE AND TO HOLD all of the Assets hereby assigned,transferred and conveyed unto Transferee,
its successors and assigns,to its and their own use and benefit forever, free and clear of any and all liens,
claims,obligations and/or other interests of any kind,nature or description whatsoever,whether known or
unknown.
1. Warranty of Title. Transferor hereby warrants that it is the sole owner of the Assets hereby
assigned, transferred and conveyed unto Transferee, its successors and assigns, and it has
authority to sell and transfer said assets to Transferee,its successors and assigns,pursuant to the
Agreement with Transferee and any duly authorized corporate action by Transferor and its agents.
2. Representations and Warranties.
Transferor hereby represents and warrants that: (I)It is the lawful owner of all of the Assets; (2)
all of the Assets are being transferred, free and clear of any and all liens, claims, obligations
and/or other interests of any kind,nature or description whatsoever, whether known or unknown;
(3) Transferor has good right and lawful authority to bargain and sell the Assets and rights
transferred in connection therewith in the manner and form set forth herein;(4)and the sale of the
Assets has been duly authorized by all the requisite corporate action.
Transferee hereby represents and warrants that it has good right and lawful authority to acquire
and purchase the Assets and rights transferred in connection therewith in the manner and form set

forth herein;and the purchase of the Assets has been duly authorized by all the requisite corporate
action.
All such representations and warranties shall survive the Closing for a period of one(1)year.
3. Obligations Regarding_Certain Assets. Transferor and Transferee agreed to certain obligations
regarding Licenses,Leases,Contract Rights,and Permits as set forth in Item 6 of the Agreement.
Transferor and Transferee hereby acknowledge that the assignment, transfer, and conveyance of
the Assets unto Transferee, its successor and assigns,shall be pursuant Item 6 of the Agreement
as evidenced by this Bill of Sale and Assignment of Assets and shall remain binding on
Transferor and Transferee in according with the terms of the Agreement.
This Bill of Sale and Assignment of Assets and the covenants and agreements herein shall be binding
upon Transferor, its successors and assigns and shall inure to the benefit of Transferee its successor and
assigns.
IN WITNESS THEREOF,Transferor has hereby executed this Bill of Sale and Assignment of Assets,as
of the date first above written

Division personnel have reviewed and approved your application for renewal of the subject permit.
Accordingly,we are forwarding the attached NPDES discharge permit. This permit is issued pursuant to the
requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement between North
Carolina and the U.S.Environmental Protection Agency dated October 15,2007(or as subsequently amended).
This final permit includes no major changes from the draft permit sent to you on May 29,2019.
If any parts,measurement frequencies or sampling requirements contained in this permit are unacceptable
to you,you have the right to an adjudicatory hearing upon written request within thirty(30)days following
receipt of this letter. This request must be in the form of a written petition,conforming to Chapter 150B of the
North Carolina General Statutes,and filed with the Office of Administrative Hearings(6714 Mail Service Center,
Raleigh,North Carolina 27699-6714). Unless such demand is made,this decision shall be final and binding.
Please note that this permit is not transferable except after notice to the Division. The Division may
require modification or revocation and reissuance of the permit. This permit does not affect the legal
requirements to obtain any other Federal,State,or Local governmental permit that may be required. If you have
