Representations and Warranties. Transferor hereby represents and warrants that: (I)It is the lawful owner of all of the Assets; (2) all of the Assets are being transferred, free and clear of any and all liens, claims, obligations and/or other interests of any kind,nature or description whatsoever, whether known or unknown; (3) Transferor has good right and lawful authority to bargain and sell the Assets and rights transferred in connection therewith in the manner and form set forth herein;(4)and the sale of the Assets has been duly authorized by all the requisite corporate action.
