attached.
This certificate of coverage shall become effective July 15, 2014.
This Certificate of Coverage shall remain in' effect for the duration of the General Permit.

ASSET PURCHASE AGREEMENT
THIS AGREEMENT is entered into and made effective as of % , 2014
(the "Agreement Date") by and between VCNA PRESTIGE CONCR19TE PRODUCTS, INC.
("Seller") a Delaware corporation, ("Seller"), and CHANDLER CONCRETE/PIEDMONT,
INC a North Carolina corporation ("Buyer"). Seller and Buyer are herein sometimes referred to
as the "Parties".
RECITALS:
A. Seller is engaged in the manufacture and sale of ready mixed concrete and
concrete products and building supplies in Greensboro and Winston-Salem, North Carolina (the
"Business"). Seller has agreed to sell to Buyer substantially all of the operating assets used by
Seller in the conduct of the Business at the price and upon the terms and conditions described
herein.
B. Buyer has agreed to purchase the assets of Seller used in its operation of the
Business at the price and upon the terms and conditions described herein.
NOW, THEREFORE, in consideration of the respective agreements and commitments set
forth herein, and other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged by each of the parties, it is hereby agreed by and between Seller and Buyer.

I. Basic Transaction. The forgoing RECITALS, the Disclosure Schedule and all Exhibits
are incorporated into and made part of this Agreement by this reference.
1.1 Purchase and Sale of Assets.
On and subject to the terms and conditions of this Agreement, Seller agrees to sell,
assign, convey, transfer and deliver to Buyer and Buyer agrees to purchase from Seller all of the
assets used or useful in the conduct of the Business as presently conducted by Seller, other than
the "Excluded Assets" as that term is defined herein, including without limitation the following
described assets (all such assets to be purchased pursuant to this Agreement being herein
sometimes referred to as the "Acquired Assets"):
(a) The real property used by Seller in the conduct of the Business located at
and commonly known as 3107 C South Elm -Eugene Street, Greensboro, North Carolina
consisting of approximately 9.4 acres and more particularly described on Exhibit 1.1 a-1
attached hereto, and the real property located at and commonly known as 2865 Lowery Street,
Winston-Salem, North Carolina consisting of approximately 4.08 acres more particularly
described on Exhibit 1.1(a-2) attached hereto (the two tracts being collectively herein sometimes

Subject: General Stormwater Permit Inspection NPDES Permit No. NCG140426
VCNA Prestige Concrete Products, Guilford County
Dear Mr. Long:
On March 24, 2014, Sue White of this office performed a Stormwater Permit Inspection
at VCNA Prestige Concrete Products, Inc., located at 3107 S. Elm Eugene Street, Greensboro,
NC in Guilford County. This facility holds General Stormwater Permit No. NCG140426 to
discharge Stormwater from activities associated with Ready Mix Concrete under the National
Pollutant Discharge Elimination System (NPDES).
1. Permit
The permit became effective July 1, 2011 and expires June 30, 2016.
2. Records/Reports
During the inspection, it was determined that your facility has a developed Stormwater Pollution
Prevention Plan (SPPP). The SPPP was not organized in a manner that made the
information readily available. It was discussed that the binder would be organized so
that employees and State Inspectors would be able to find the various components of the
plan.
3. Facility Site Review
This site is a concrete ready mix plant with a recycle system for their wastewater. The site is
well cared for and it is obvious that the owners and employees implement permit requirements.
This facility has one outfall, which is identified in the SPPP.
4. Effluent/Receiving Waters
Stormwater and occasional treated wastewater from the property discharges to S. Buffalo Creek
(Class C waters) in the Cape Fear River Basin.
5. Self -Monitoring Program
It was determined during the inspection that you have been performing the analytical self -
monitoring requirements of the General Permit for Stormwater. Monitoring requirements for
qualitative monitoring at each stormwater discharge outfali and the wastewater discharge were
discussed. Both types of stormwater monitoring must be done once per each 6 month period
and the wastewater discharge monitoring must be done quarterly. All analytical monitoring

results from stormwater and wastewater must be submitted to the Raleigh address as
shown on the forms.
