ASSET PURCHASE AGREEMENT
THIS ASSET PURCHASE AGREEMENT (together with all Schedules and
Exhibits hereto, this "Agreement"), dated as of March 27, 2017, is entered into by and among
SOUTHERN CONCRETE MATERIALS, INC., a North Carolina corporation having its principal
office at 120 %2 N. Church St., Salisbury, NC 28144, or its successors, assigns or affiliates
(collectively, "Buyer"), KERR'S HICKORY READY -MIXED CONCRETE COMPANY, INC.,
an North Carolina corporation having its principal office at 1126 1st Ave. SW, Hickory, NC 28602
("Kerr's HRM"), KERR SAND COMPANY, LLC, a North Carolina limited liability company
having its principal office at 17 121' St. SW, Hickory, NC 28602 ("Kerr Sand" and, together with
Kerr's HRM, "Seller"), and Roger S. Kerr ("Roger"), James P.. Kerr, Jr. ("James"), Katrina K.
Hayes ("Katrina") and Mary K. Luckadoo ("Marv"). Roger and James are sometimes collectively
referred to herein as "Selling Principals." Roger, James, Katrina and Mary are sometimes
collectively referred to herein as "Selling Owners." Seller and Selling Owners are sometimes
collectively referred to herein as "Selling_ Parties." The parties to this agreement are sometimes
referred to herein individually as a "Party" or collectively as the "Parties."
RECITALS:
Subject to the terms and conditions of this Agreement, Buyer has agreed to purchase from
Seller, and Seller has agreed to sell to Buyer, Seller's ready -mixed concrete business and related
assets as set forth herein (the "Business") for the consideration described herein.
ARTICLE I
SALE AND PURCHASE OF ASSETS
1.1 Transfer of Assets. Seller agrees to sell, assign, transfer and deliver to
Buyer, and Buyer agrees to purchase and accept from Seller, at the Closing (as defined below) all
of the assets and properties of Seller of every kind and description used by Seller in connection
with the operations of the Business, but excluding certain assets described in Section 1.3. The
assets being sold hereunder are collectively referred to as the "Purchased Assets," and the assets
described in Section 1.3 are collectively referred to as the "Excluded Assets."
1.2 Purchased Assets. The Purchased Assets specifically include, but are not
limited to, the following:
(a) Real Property. All real property and interests therein held, owned,
leased, subleased, licensed or otherwise occupied or used by Seller (with all easements and
other rights appurtenant to such property, the "Real Property").
(b) Tangible Personal Property. All machinery, equipment, furniture,
office equipment, supplies, materials, vehicles and other items of tangible personal
property of every kind owned by Seller and used in connection with the Business,
including, without limitation, those listed on Schedule 1.2(b) (the "Tangible Personal
Property'), and any additions or replacements made between the date of this Agreement
and the Closing Date, together with any express or implied warranty by the manufacturers
or sellers of any item thereof.

(c) Inventories. Except as determined by Buyer in its sole discretion
pursuant to Section 2.4, all inventories of the Business as of the Effective Time (defined
below) including, without limitation, all finished goods, work in process, raw materials and
spare parts (the "Invento '),the location and net values of which are included on Schedule
1.2(c).
(d) Contracts. All of Seller's interest in the contracts, leases of personal
property, other leases and other agreements described on Schedule 1.2(d) (the "Contracts").
(e) Intellectual Property. All of the intellectual property of Seller used
in connection with the operations of the Business, including, without limitation, the
following: (a) all trademarks, service marks, trade names, logos (the "Marks") and all
registrations relating thereto; (b) all copyrighted works and registrations therefor; (c) all
patents and applications therefor; and (d) all confidential or proprietary processes,
formulas, trade secrets and technical and other similar information, all of which are
described on Schedule 1.2(e) (the "Intellectual ProuertX"), together with the goodwill
related thereto and any royalty income therefrom accruing after the Effective Time.
(f) Permits. All permits, authorizations, certificates, approvals and
licenses relating to the operation of the Business, including, without limitation, those listed
on Schedule 1.2(f) (the "Permits").
(g) Records. All records, technical data, asset ledgers, books of
account, inventory records, budgets, customer and supplier records, payroll and personnel
records, computer programs, correspondence and other files of Seller created or maintained
in connection with the Business.
(h) Claims. All of Seller's rights to any causes of action or claims
arising in connection with the Business.
(i), Goodwill. Any and all of Seller's goodwill in and going concern
value of the Business.
0) OtherAssets. All other assets of any kind or description, tangible or
intangible, which are owned by Seller and used in or relate to the operations of the
Business.
In addition to the foregoing, Selling Principals shall sell, assign, transfer and convey to
Buyer, and Buyer shall purchase, acquire and accept from Selling Principals, free and clear of all
Liens and encumbrances, all of Selling Principals', right, title and interest in and to their own
general know-how and personal goodwill associated with the Business (the "Personal
Intangibles").
1.3 Excluded Assets. The following assets shall be excluded from the
Purchased Assets and shall be retained by Seller:
(a) Cash. All cash on hand and on deposit in banks, cash equivalents
and investments.

("Kerr's HRM"), KERR SAND COMPANY, LLC, a North Carolina limited liability company

Kerr's HRM, "Seller"), and Roger S. Kerr ("R ggf'), James P. Kerr, Jr. ("James"), Katrina K.
Hayes ("Katrina") and Mary K. Luckadoo ("Ma Roger and James are sometimes collectively
referred to herein as "Selline Princi als." Roger, James, Katrina and Mary are sometimes
collectively referred to herein as "Selling Owners." Seller and Selling Owners are sometimes
collectively referred to herein as "Selling Parties." The parties to this agreement are sometimes
referred to herein individually as a "Party" or collectively as the "Parties."
RECITALS:

Dear Mr. Kerr:
In accordance with your application for a discharge permit received on March 22, 2011,
we are forwarding herewith the subject certificate of coverage (COC) to discharge under the .
subject state — NPDES general permit. This permit is issued pursuant to the requirements of
North Carolina General Statute 143-215.1 and the Memorandum of Agreement between North
Carolina and the US Environmental Protection Agency dated October 15, 2007 (or as
subsequently amended).
Please take notice that this certificate of coverage is not transferable except after notice to
the Division of Water Quality. The Division of Water Quality may require modification or
revocation and reissuance of the certificate of coverage. This permit does not affect the legal
requirements to obtain other permits which may be required by the Division of Water Quality or
permits required by the Division of Land Resources, Coastal Area Management Act or any other
federal or local governmental permit that may be required.
An Authorization to Construct treatment facilities has been issued concurrently with
this COC. The Mooresville Regional Office, telephone number (704) 663-1699, shall be
notified at least forty-eight (48) hours in advance of operation of the installed facilities so that an
in -place inspection can be made. Such notification to the regional supervisor shall be made

On behalf of Kerr Concrete (KERR), CP Engineering and Environmental Solutions (CPEES) is
pleased to respond to your additional information request dated March 29, 2011. The responses
to your questions are as follows:
1) The calculations for the recycle system do not include a water balance analysis.
Information was provided on the amount of water needed daily but please show how all
the captured water from the 25-yr storm event will be reused so that the system does not
overflow?
Response
KERR had decided to reuse the water collected in the pits in their batch operations. As per
the attached calculations 40 to 50 batched per year and 250 gals/batch), approximately 7.8
days are required to use the collected water (86,394 gals) in the plant.
2) Please clarify the size of the drainage area (DA) going to the recycle system. The pits do
not look like they were included in the calculations based on the plans. Please make
sure this area is included.
Response
The drainage area including pits is 0.639 acres for the calculation of 25-yr and 24-hr storm
event. The calculations are shown on the attached worksheet and the drainage area is shown
on the Figure 3. The new dimensions of the pits and the construction details are shown on
Figure 4.

c. As stated above, the DA delineation does not appear to include the recycle pit
area, but needs to,

Response
a. The Maiden Plant stormwater recycle system consists of three pits and a sludge drying
area. The details of the pit are shown on Figure 3 and Figure4.
b. The drum wash area is located very close to Pit #1 in order mitigate contamination of
Pit#2 and #3. In addition, the entrance floor elevation of Pit #2 and #3 is above the
entrance floor elevation of Pit # I to control washwater flow into ONLY Pit #1 rather
than Pit #2 and #3. Figure 3 shows the location of drum washout area.
c. The attached Figure 3 shows the total DA including the three pits and the sludge drying
area. The attached calculations show the new area and the corresponding changes to the
pit dimensions.
d. The attached Figure 3 shows one outfall on the property.

1.0 FACILITY DESCRIPTION
Kerr Concrete -Maiden Plant located at 1625 West Madison Rd. Maiden, Catawba County,
North Carolina, is a dry batch ready mix concrete plant for commercial supply. The primary
Standard Industrial Classification (SIC Code) for the facility is 3273 (Ready Mixed Concrete).
The approximate location of the facility on a US Geological Survey Map is provided on
Figure 1. The geographic site location can also be given as 35' 35' 28.02" North Latitude and
810 14' 55.23" West Longitude. The subject facility is surrounded by wooded areas with light
residential and quarry on the southeast of the site. The stormwater from the facility drains to a
pond on the quarry area and eventually goes to Clark Creek via unnamed tributary. The
stormwater from Clark Creek Bows to Catawba River located south of the site. The details of
surrounding properties are displayed on an Aerial Map, Figure 2, attached with this report.
The Maiden Plant is a leased property from Martin Maritta and occupies approximately 2.66
acres of land with the paved area for operations. However, approximately 0.54 acres of area
will be. exclusively used for washwater/recycle. operations. Stormwater from this property
flows to Clark Creek located south of -the property, Figure 2. The stormwater from Claris
Creek flows to Catawba River located south of the site. Based on my review with NC
Division of Water Quality web site, it is our understanding that Clark Creek is classified as
Class C (see attached table obtained from NC DENR -- Division of Water Quality Section web
site for details -Attachment B). The stormwater from the facility is carried to Clark Creek via
swales and sheet flow (Figure 3). The Maiden Plant will consist of an office building, a ready
mix concrete plant next to the office building, cement and fly -ash silos, a temporary pit system
for washwater, and gravel storage areas, and a concrete truck drum wash area. Maiden Plant
will have approximately 2 to 10 trucks and operates 8 hrs/day, 5 days/wk and 30 to 50
wks/year, depending upon the weather and business conditions.
2.0 FACILITY OPERATIONS
The facility operations will include: a dry batch concrete plant with vacuum system for dust
control system, cement and fly -ash silos with a dust control central vacuum system, sand and a
small portion of gravel storage areas with limited water sprinkler system (taken into process
water consideration) and a truck washing area.

Based on the request from the user, typical operations from this plant include: loading the
sand, gravel, and cement and fly -ash into a weigh scale which drops the dry mix into cement
trucks as a dry batch concrete mix. The dust extracted from the cement silo will be processed
through a NC DENR Division of Air Quality permitted bag filter system before released into
the atmosphere.
The loaded cement truck with concrete mix will be brought to a truck washing area for a
surficial wash before it goes out for the delivery. Occasionally, any left over concrete in the
concrete drum will be either used in making blocks or washed of at the plant in a truck
washing bay. Thus, process water will be generated at the plant for either recycling or
disposal. Based on our understanding of the facility operations, wash chemicals are located
near the wash pit area to collect any potential spills from these storage vessels. The oil storage
tank was kept far from the pits and it is secondary contained. Therefore, no oily water or
stormwater contaminated with chemicals will be released to the environment from the facility.
The facility has not applied for a NPDES General Permit (NCG140000) in the past and
therefore, applying now to obtain the NPDES permit and be complaint with the State Division
of Water Quality regulation. To meet the NPDES General Stormwater Permit requirements, a
Stormwater Pollution Prevention Plan (SWPP Plan) with Best Management Practices for
potential stormwater pollutant sources shall be prepared and implemented at the site.
All truck drums and drum chutes will be washed at the end of the day before parked for good.
Therefore, the locations where process washwater will be generated at the plant are:
• Surficial cleaning of the drum before leaving the site,
• Cement drum washing if left over concrete is brought back to the plant; and
• Drum and drum chutes cleaning at the end of the day.
3.0 PROCESS WASHWATER CALCULATIONS
Based on our discussions with the Maiden Plant Manager, it is our understanding that
approximately 25 to 40 batches per day will be completed in the summer time and 25 batches
per day will be completed in the winter time using 10 trucks. Approximately 5 to 10 gals of
water will be used for surf cial washing of the truck per batch. Approximately 5 to 10 gals of
water will be used to wash drum chutes per truck per day at the end of the day.
Approximately 200 gals per day per drum will be used to wash at the end of the day.

4.0 STORMWATER RUNOFF CALCULATIONS FOR A 25 YEAR AND
24-IIR RAIN EVENT
According NC DENR-Division of Water Quality NPDES General Stormwater Permit
requirements, recycle systems are considered wastewater treatment per 15A NCAC 2H .0203,
and all wastewater discharges must meet a total suspended solids (TSS) limit of 30 mg/l, a
settleable solids (SS) limit of 5 ml/l, and pH between 6-9 SU or must demonstrate that the
recycle system has sufficient capacity to contain 25-year, 24-hr rainfall event plus one foot of
freeboard under the design operating conditions.
To obtain an economic and workable solution to the proposed recycling system design, the
truck washing operations and process washwater generating points are all brought to one
location to reduce the drainage area for 25-yr, 24-hr calculations.. Approximately 23,522 sq ft
or 0.54 acres of area including the small area for gravel washing is expected to contribute to
the process washwater from the facility (Figure 3). All washing operations beyond this
designated area are prohibited at the facility and the drivers will be trained to adhere to this
new policy for meeting the Stormwater regulations. CPEES has performed stormwater
calculations for a 25-yr, 24-hr rain event for 0.54 acres and approximately 9,311 cubic feet
(cft) of runoff capacity is required to hold the designed rain event. The runoff volume and
weir design calculations are provided in Attachment A.
Please note, during a rain event, no plant operations will be conducted. Therefore, no
washwater is accounted for in the proposed recycle system design when 25-yr, 24-hr rain
event for stormwater is considered.

5.0 STORMWATER 1 PROCESS WASHWATER RECYCLE SYSTEM
DESIGN AND CONSTRUCTION DETAILS
The proposed recycle system is designed to capture all process washwater and stormwater
from a 25-yr, 24-hr rainfall event from the subject plant wash areas. The.recycle system is
designed to hold entire runoff amount from the designed storm event. The approximate
drainage area involved in the process washwater is estimated to be 0.54 acres (Figure 3). The
25 year, 24-hr runoff volume from this drainage area is estimated to be 9,311 cft. A recycle
system designed for the estimated runoff is a three pit system with a drying bed for the waste
materials removed from the pit (Figure 3). The total volume of all the•three.pits were
designed to be sufficient to hold the entire 25 year, 24-hr run off volume. Please note KERR
strives very hard to control and mitigate migration of any contaminated stormwater from the
facility to the waters of US. Appropriate slopeslberms/walls. are. proposed to isolate the.0.54
acres of drainage area for the washwater / stormwater recycling operations (Figure 3).
All the:three pits in the recycling system are sloped at the entrance in order for a front-end
loader to go into the pit for a periodic cleanup. However, a berm or a slope away from the pit
is placed in front of the second and the third pit in order to divert the wash wastewater entry
into these pits. The cross -sectional and construction details of the pits are shown on Figure 4.
CPEES designed a pit sludge storage area next to the truck washing operations in order to.
control stormwater flow that is in contact with the pit sludge. The slopes of the -truck washing
operations and the pit sludge storage area are directed toward the first pit of the three pit
recycling system in order to control and mitigate migration of stormwater contamination from
the washing operations.
The location of the recycling system along with stormwater flow directions and wash areas are
displayed on Figure 3. The construction details for the recycling system are displayed on
Figure 4. The 25 year; 24-hr stormwater runoff calculations are provided in Table 1 of this
report.
A sump pump with a level switch will be provided to pump water from the third pit, as
required, to the plant or to the truck washing operations. This would help empty the third pit
to accommodate any possible rain event.
6.0 A to C CONSTRUCTION PERMIT APPLICATION
Based on our consultants' discussions with the State DWQ, it is our understanding that we
need to file a NCG 140000 Notice of Intent (NOI) Form to obtain A to C Permit to construct
the proposed process washwater / stormwater recycle system at the Maiden Plant. A copy of
the NCG 140000 N01 is attached with the A to C Report for an approval.

The overland flow portion of flow time may be determined from Figure 8.03a.
The flow time (in minutes) in the channel can be estimated by calculating the
average velocity in feet per minute and dividing the length (in feet) by the
average velocity.
Step 4. Determine the rainfall intensity, frequency, and duration (Figures 8.03b
through 8.03g—source: North Carolina State Highway Commission; Jan,
1973). Select the chart for the locality closest to your location. Enter the
"duration" axis of the chart with the calculated time of concentration, To. Move
vertically until you intersect the curve of the appropriate design storm, then
move horizontally to read the rainfall intensity factor,1, in inches per hour.
Step S. Determine peak discharge, Q (f?/sec), by multiplying the previously
determined factors using the rational formula (Sample Problem 8.03a).

The volume of runoff from the site can be calculated by multiplying the
area of the site by the runoff depth.
Step 4. Determine the peak rate of runoff for the design storm by adjusting for
watershed shape as follows:
a. Determine an "equivalent drainage area" from the hydraulic length of the
watershed using Figure 8.03n. Hydraulic length is the length of the flow
path from the most remote point in the watershed to the point of discharge.
b. Determine the discharge (cfs/inch of runoff) for the equivalent drainage
area from Figure 8.03o through 8.03q:
Figure 8.03o - for average watershed slopes 0-3%
Figure 8.03p - for average watershed slopes 3-7%
Figure 8.03q - for average watershed slopes 8-50%
Calculate the peak discharge, 01, of the equivalent watershed by multi-
plying equivalent watershed area by runoff from Table 8.03c in Step 3b.
