MacLeod Investments, a North Carolina general partnership (hereinafter
collectively referred to as "Sellers")
PURCHASER: Thomas Concrete of Carolina, Inc., a North Carolina corporation
(hereinafter referred to as "'Purchaser")
FOR IN AND CONSIDERATION OF the sum of Ten and no1100 Dollars ($10.00), and other
good and valuable consideration in hand paid by Purchaser to Sellers pursuant to an Asset
Purchase Agreement (the "Agreement") executed by Sellers, all of those persons who are
shareholders of MacLeod Construction, Inc., the partners of R&L MacLeod Investments, and
Purchaser dated as of August 7, 2008, the receipt and sufficiency of which axe hereby
acknowledged by the parties, Sellers do hereby grant, bargain, sell; assign, transfer and convey
and deliver unto the Purchaser all of the Assets (as such term is defined in the Agreement, except
that such term as used herein shall not include the Real Property, as defined in the Agreement).
The terms of the Agreement, including, but not limited to, Sellers' representations, warranties,
covenants, agreements and indemnities relating to the Assets, are incorporated herein by this
reference. Sellers acknowledge and agree that the representations, warranties, covenants,
agreements and indemnities contained in the Agreement shall not be superseded hereby but shall
remain in full force and effect to the full extent provided therein. In the event of any conflict or
inconsistency between the terms of the Agreement and the terms hereof, the terms of the
Agreement shall govern.

In accordance with your application for a discharge permit received on May 14; 2007, we
are forwarding herewith the subject certificate of coverage to discharge under the subject state —
NPDES general permit. This permit is issued pursuant to the requirements of North Carolina .
General Statute 143-215.1 and the Memorandum of Agreement between North Carolina and the
US Environmental Protection Agency dated May 9, 1994 (or as subsequently amended).
In concurrence with this COC we are authorizing you to operate treatment facilities. The
Mooresville Regional Office, telephone number [phone], shall be riotified at least forty-
eight (48) hours in advance of operation of the installed facilities so that an in -place inspection
can be made. Such notification to the regional supervisor shall be -made during the normal office
hours from 8:00 a.m. until 5:00 p.m. on Monday through Friday, excluding State Holidays.
Upon completion of construction and prior to operation of this permitted facility, a
certification must be received from a professional engineer certifying that the permitted facility
has been installed in accordance with the NPDES Permit and the approved plans and

The Mooresville Regional Office of the DWQ discovered from an inspection that the
treatment systems are already being constructed prior to receiving an Authorization to Construct
from the Division. Therefore, they are pursuing enforcement and recommendation for
assessment of civil penalties.
Please take notice that this certificate of coverage is not transferable except after notice to
the Division of Water Quality. The Division of Water Quality may require modification or
revocation and reissuance of the certificate of coverage.

Dear Mr. Brady:
Chapter 143, Article 21 of the North Carolina General Statutes (NCGS) authorizes and directs
the Environmental Management Commission of this Department to protect and preserve the water
resources of the State. The Division of Water Quality (DWQ) has the delegated authority to enforce
adopted pollution control rules and regulations.
On July 25, 2007, Mr. Samar Bou-Ghazale of this Office conducted a site visit as part of the
permit application review process (application No.NCG 140373). During the visit Mr. Bou-Ghazale
observed the construction of wastewater treatment units. A review of our files indicated that MacLeod
Construction Company had not received a permit for such construction. This constitutes a violation
North Carolina General Statutes 143-215.1 (a) (2) as follows:
143-215.1 (a)(2) No .person shall construct or operate any sewer system, treatment works,
or disposal system within the State without first applying for and receiving a permit from
the Environmental Management Commission.

Dear Mr. Houser,
On February 5, 2007, the Division of Water Quality, Stormwater Permitting Unit received your
Notice of Intent (NOI) to be covered under North Carolina's general permit NCG140000, submitted
for your proposed location in Charlotte at 4217 Keeter Drive. The submittal is significantly
deficient, and we are returning it unprocessed. Please ask your engineer to contact me for an
explanation of the minimum submittal requirements.
The submittal is deficient in the following particulars.
,[ 1. The required $80 submittal fee.was not included.
2. The Notice of Intent form (NOI) was not signed.
V' The NOI reported a start date of October or November 2006, but the application was not
submitted until February 2007, too late to allow the intended start date.
Your responses to Items 8 and 11 indicate that no stormwater will be discharged, which is
contradicted by inspection of the site plan.
5. Three copies of the submittal plans were not received, contrary to the instructions in the
final checklist of the NOI.
6. I note that the site plan is the work of Mansour-Edlin Consulting. The site plan must be
submitted under the stamp and signature of a Professional Engineer. Similarly, the recycle
system sizing calculations, and the demonstration that the whole design complies with the
requirements identified in the NOI must be stamped by a P.E.
The calculations page is presented without reference to a design basis, and it is unclear
from the presentation exactly how the proposed system meets the permitting requirements.
A design narrative stating the design basis, and the design objective, and illustrating
consistency with the same would be helpful.
L81. Maps available to the Division suggest that the 25-year, 24-hour rainfall in Charlotte is
closer to 6" than the 5.5" used in your calculations.
9. The 11"x17" site plan is illegible, in part. Please provide a full size site drawing for our
10,review.
.There are additional requirements in the content of the site plan. Please ask your engineer
to contact me for a further explanation of what constitutes an acceptable submittal.

Krebbs Model U6-gMAX Cyclostack system complete with:

panel is not powered).
