SELLERS: MacLeod Construction, Inc., a North Carolina corporation, and R&L
MacLeod Investments, a North "Carolina general partnership (hereinafter
collectively referred to as "Sellers")
PURCHASER: Thomas Concrete of Carolina, Inc., a North Carolina corporation
(hereinafter referred to as "Purchaser")
FOR IN AND CONSIDERATION OF the sum of Ten and no/I00 Dollars ($10.00), and other
good and valuable consideration in hand paid by Purchaser to Sellers pursuant to an Asset
Purchase Agreement (the "Agreement") executed by Sellers, all of those persons who are
shareholders of MacLeod Construction, Inc., the partners of R&L MacLeod Investments, and
Purchaser dated as of August 7, 2008, the receipt and sufficiency of which are hereby
acknowledged by the parties, Sellers do hereby grant, bargain, sell, assign, transfer and convey
and deliver unto the Purchaser all of the Assets (as such term is defined in the Agreement, except
that such term as used herein shall not include the Real Property, as defined in the Agreement).
The terms of the Agreement, including, but not limited to, Sellers' representations, warranties,
covenants, agreements and indemnities relating to the Assets, are incorporated herein by this
reference. Sellers acknowledge and agree that the representations, warranties, covenants,
agreements and indemnities contained in the Agreement shall not be superseded hereby but shall
remain in full force and effect to the full extent provided therein. In the event of any conflict or
inconsistency between the terms of the Agreement and the terms hereof, the terms of the
Agreement shall govern.
IN WITNESS WHEREOF, Sellers have executed this Bill of Sale and Assignment on this the

your notification that the Division of Water Quality (DWQ) has reissued the general permit and that your
facility's coverage will continue under the conditions of the reissued general permit. Please review the new
permit to familiarize yourself with the changes in the reissued permit. The permit is reissued pursuant to the
requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement between the state
of North Carolina and the U.S. Environmental Protection Agency, dated December 6, 1983.
Enclosed is a permit package which contains the following information:

* Five copies of the Analytical Monitoring form and five copies of the Qualitative Monitoring form

order, judgment, or decree.

In accordance with your application for discharge permit received on November 25, 1998, we are
forwarding herewith the subject certificate of coverage to discharge under the subject state - NPDES general
permit. This permit is issued pursuant to the requirements of North Carolina General Statute 143-215 .1 and the
Memorandum of Agreement between North Carolina and the US Environmental Protection agency dated
December 6, 1983.
The stormwater permit you are receiving, NCG140000, does not permit wasting concrete, dumping
excess concrete, directly into storm sewer outfalls or into waters of the state. Any facility which either dumps
excess concrete or washes excess concrete into storm sewers or waters of the state will be operating in direct
violation to both the terms of this permit and the North Carolina General Statutes. Such a discharge shall be
considered an illegal discharge and may subject the owner to enforcement actions in accordance with North
Carolina General Statutes 143-215.6A
If any parts, measurement frequencies or sampling requirements contained in this permit are unacceptable
to you, you have the right to request an individual permit by submitting an individual permit application. Unless
such demand is made, this certificate of coverage shall be final and binding.
Please take notice that this certificate of coverage is not transferable except after notice to the Division of
Water Quality. The Division of Water Quality may require modification or revocation and reissuance of the
certificate of coverage.
This permit does not affect the legal requirements to obtain other permits which may be required by the
Division of Water Quality or permits required by the Division of Land Resources, Coastal Area Management Act
or any other Federal or Local governmental permit that may be required.
