Inspection Summary:
On April 11, 2018, a follow up inspection was conducted to determine compliance and offer technics! guidance as
requested. Since the facility changed ownership in 2014 the SPPP has not been kept up to date and has not continued
analytical monitoring, however they are in the process of all updates necessary now and looking to upgrade the facility within
the year. Until the time the site meets the requirements of having non -discharging stormwater control measures analytical
monitoring will be conducted.

PURCHASE AND SALE AGREEMENT
THIS PURCHASE AND SALE AGREEMENT (herein the "Agreement") is made and
effective this I- day of June 2014 (the "Effective Date") by and between CEMEX
CONSTRUCTION MATERIALS PACIFIC, LLC, a Delaware limited liability company and
successor in interest to Metromont Materials ("CCM Pacific") and CEMEX CONSTRUCTION
MATERIALS ATLANTIC, LLC, a Delaware limited liability company ("CCM Atlantic") (CCM
Pacific, and CCM Atlantic are collectively, "Sellers" and each a "Seller") and STEVENSON-WEIR,
INC., a South Carolina corporation ("Buyer").
IN CONSIDERATION of the premises and the agreements herein, and for other good and
valuable consideration, the receipt and adequacy of which are hereby acknowledged, the parties hereby
agree as follows:
1) PURCHASE AND SALE
a) Purchased Assets. Subject to the terms and conditions of this Agreement,
Buyer shall purchase from the Sellers, and the Sellers shall sell, transfer, convey, assign and deliver to
the Buyer, for the consideration specified in Section 2 and the closing deliveries set forth in Section
3(b), all right, title and interest in and to the following (collectively, the "Purchased Assets"):
i) the real property and improvements thereon owned by CCM Pacific
situated at (A) 812 Seymour Street, Monroe, Union County, NC, containing approximately 9.486
acres, more or less, and bearing Union County TMS No. 09268029 (the "NC Real Property"); and (B)
4459 Richburg Road, Richburg, Chester County, SC, containing approximately 13.00 acres, more or
less, and bearing Chester County TMS No. 136-00-00-010-000 ( the "SC Real Property," and, with the
NC Real Property, collectively, the "Real Property," being as further described in Schedule I (a)(i),
attached hereto and incorporated herein by this reference), together with all easements, Sellers'
reversionary interests, and other rights appurtenant to the Real Property;
ii) except as set forth in Section 1(b), the fixed assets and equipment
owned by CCM Atlantic located at -or on the Real Property, including without limitation those set forth
on Schedule 1 a ii (the "Tangible Assets");
iii) any inventory consisting of construction aggregates owned by CCM
Atlantic located at the Real Property (subject to Section 2(f) (the "Inventory"); and
iv) to the extent transferrable, all current permits, licenses, or other
governmental approvals, including, without limitation, storm water discharge and air quality operating
permits, (excluding any performance bonds) necessary to or used by Seller in connection with the
operating of the concrete plant facilities which are located on the. SC Real Property and NC Real
Property as set forth on Schedule I(a)(iv) (the "Permits").
b) Excluded Assets. The Purchased Assets do not include the assets; properties
and rights of the Sellers as set forth on Schedule 1(b) (the "Excluded Assets").

permit. This permit is issued pursuant to the requirements of North Carolina General Statute 143-215 .1 and the
Memorandum of Agreement between North Carolina and the US Environmental Protection agency dated
December 6, 1983.
The stormwater permit you are receiving, NCG 140000, does not permit wasting concrete, dumping excess
concrete, directly into storm sewer outfalls or into waters of the state. Any facility which either dumps excess
concrete or washes excess concrete into storm sewers or waters of the state will be operating in direct violation to
both the terms of this permit and the North Carolina General Statutes. Such a discharge shall be considered an
illegal discharge and may subject the owner to enforcement actions in accordance with North Carolina General
Statutes 143-215.6A
If any parts, measurement frequencies or sampling requirements contained in this permit are unacceptable to
you, you have the right to request an individual permit by submitting an individual permit application. Unless
such demand is made, this certificate of coverage shall be final and binding.
Please take notice that this certificate of coverage is not transferable except after notice to the Division of
Environmental Management. The Division of Environmental Management may require modification or revocation
