For valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, LEXAMAR CORPORATION, a Delaware corporation ("Assignor"), being the
sole member of and owning one hundred percent (100%) of the issued and outstanding
membership units (the "Magna Composites Units") of Magna Composites L.L.C., a Delaware
limited liability company ("Magna Composites"), hereby sells, conveys, assigns, transfers, and
delivers to CONTINENTAL STRUCTURAL PLASTICS OF NORTH CAROLINA, INC., a
Delaware corporation ("Assignee"), all of Assignor's right, title, and interest in and to the Magna
Composites Units, free and clear of all Encumbrances.
The undersigned hereby grants power -of -attorney to Magna Composites to transfer, or
cause to be transferred, all of such membership interest on the books of Magna Composites, with
full power of substitution.

Ronald Boone, of the Divison of Water Quality's (DWQ) Raleigh Regional Office (RRO) conducted stormwater and
wastewater Compliance Evaluation Inspections (CEI) of the subject facility on 2 August 2006. Your assistance and
cooperation were helpful and appreciated. Inspection reports are attached for your records. Inspection findings are
listed below. Please use the permit references listed throughout this report for further details as needed.
INDUSTRY AND SITE DESCRIPTION
Belt Systems of America Inc. (BSA) manufactures belt products for conveyor systems, placing it under standard
industrial classification code (SIC) 30, rubber and miscellaneous products. Stormwater run-off generated at such
facilities is regulated by general NPDES stormwater permit NCG050000. DWQ has therefore issued BSA certificate of
coverage (COC) NCG050066, which became effective on 1 May 2003 and expires on 30 April 2008.
Stormwater generated at the site is collected via a system of in -ground drains. The drains convey stormwater to one of
four stormwater discharge outfalls (SDO) located on the southern and western sides of the property. Before being
discharged from SDO 001, on the west side of the property, the stormwater flows into a holding pond. This holding
pond only discharges in the event of a very heavy rain. Stormwater from all SDOs is discharged into an unnamed
tributary to Turkey Creek, a Class C, nutrient sensitive water (NSW), in the Tar -Pamlico River Basin.
Additionally, BSA discharges boiler blowdown at this facility, regulated by general NPDES wastewater permit
NCG500000. DWQ has therefore issued BSA certificate of coverage (COC) NCG500304, which became effective on 1
August 2002 and expires on 31 July 2007. All boiler blowdown is also discharged into the holding pond on the west
side of the facility.
INSPECTION SUMMARY
SITE/FACILITY
1. The stormwater collection system, the SDOs, the boiler blowdown drainage system and blowdown outfalls were all
identified and inspected. There was no visible evidence of spills, overflows or similar incidents. No significant
erosion was found and the discharge was clear and free of excessive solids, sheens and/or foams. The site was very
clean and well maintained. No significant stormwater/wastewater related issues were identified.
