ASSET PURCHASE AGREEMENT
This Asset Purchase Agreement (this "Agreement"), dated as of September 26, 2014, is
entered into between Carolina Forge Company, LLC, a Delaware limited liability company
("Seller"),, Linamar Forgings, Inc., an Arizona corporation ("Buyer"), and Keller Group, Inc., an
Illinois corporation ("Keller").
RECITALS
WHEREAS, Seller is engaged in the business of forging and machining steel parts (the
"Business");
WHEREAS, Seller is a wholly -owned subsidiary of Meadville Forging Company, L.P., a
Pennsylvania limited partnership ("MFC");
WHEREAS, Keller is the sole general partner and a 1% owner of MFC and Keller Group
Services, Inc. is the sole limited partner and a 99% owner of MFC;
WHEREAS, Keller Group Services, Inc. is a wholly -owned subsidiary of Keller;
WHEREAS, Seller wishes to sell and assign to Buyer, and Buyer wishes to purchase and
assume from Seller, substantially all the assets, and certain specified liabilities, of the Business,
subject to the terms and conditions set forth herein; and
WHEREAS, in connection with, and as a condition to, such purchase and assumption,
Keller agrees, and will cause Seller, MFC and its other subsidiaries to agree, to such terms and
take such actions as are set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants and agreements
hereinafter set forth and for other good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the parties hereto agree as follows:
ARTICLE I
DEFINITIONS
The following terms have the meanings specified or referred to in this Article I:
"Accounts Receivable" has the meaning set forth in Section 2.01(b).
"Accounts Receivable Statement" has the meaning set forth in Section 6.09.
"Action" means any written claim, action, cause of action, demand, lawsuit, arbitration,
audit, notice of violation, proceeding, litigation, citation, summons or subpoena.
"Affiliate" of a Person means any other Person that directly or indirectly, through one or
more intermediaries, controls, is controlled by, or is under common control with, such Person.

In response to your renewal application for continued coverage under stormwater General Permit NCG030000
the Division of Water Quality (DWQ) is forwarding herewith the reissued General Permit. This permit is
reissued pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of
Agreement between the state of North Carolina and the U.S. Environmental Protection Agency, dated October
15, 2007 (or as subsequently amended).
The following information is included with your permit package:
• A new Certificate of Coverage (COC)
• A copy of General Permit NCG030000
• A copy of the Technical Bulletin for the General Permit
• Two copies of the Discharge Monitoring Report (DMR) Form
• Two copies of the Qualitative Monitoring Report Form
The General Permit authorizes discharges of stormwater, and it specifies your obligations for discharge
controls, management, monitoring, and record keeping. Please review the new permit to familiarize yourself
with all the changes in the reissued permit. Your facility has six (6) months from the time of receipt of the
permit to update your current SPPP to reflect all new permit requirements.
The first sample period of your permit begins January 1, 2013. Your facility must sample a "measureable
storm event" beginning during the periods beginning January 1 and July 1 of every year (or, if applicable,
report "No Flow," as outlined in Part III, Section E). Also, please note that Tier 3 Actions in Part 11 of your
permit are triggered by benchmark exceedances on four occasions beginning on the effective date of this
permit and do not count prior exceedances.
The more significant changes in the General Permit since your last COC was issued are noted either in the
Draft Permit Fact Sheet that accompanied the public notice (http://portal.ncdenr.org/web/wg/ws/su/curlent-
notice ), or in the Response to Comments / Summory of Changes and Technical Bulletin documents that are
posted on the Stormwater Permitting Unit's website with the new General Permit. Please visit
http://portal.ncdenr.org/web/wq/ws/su/npdessw (click on 'General Permits' tab) to review that information
for your specific General Permit carefully.

Some of the changes include:
• Part II:
• Section A: The Stormwater Pollution Prevention Plan (SPPP) section, if applicable, has been updated
to the most current language of our permits. Additional conditions for specific industry sectors have
been added to the SPPP requirements in some cases.
• Sections 6, C: Failure to perform analytical stormwater monitoring may result in the Division requiring
that the permittee begin a monthly sampling scheme.
• Sections 8, C: A lower TSS benchmark of 50 mg/I for HQW, ORW, PNA and Tr Waters applies to these
more sensitive waters.
• Sections 6, C. The monitoring parameter Oil & Grease (O&G) has been replaced by the parameter
Total Petroleum Hydrocarbons (TPH) for vehicle maintenance areas, and in some cases, other
analytical monitoring requirements.
• Sections 8, C, D: Inability to sample due to adverse weather must be recorded in the SPPP, or in
separate on -site records if your General Permit does not require an SPPP. Adverse weather is defined
in the "Definitions" section of the permit.
• Sections &, C: The term "Representative Storm Event" has been replaced by "Measurable Storm
Event." A measurable storm event is defined in the permit.
• Section D: If the permittee fails to respond effectively to problems identified by qualitative
monitoring, DWQ may require the permittee to perform corrective action.
Please review Parts III and IV to understand the Standard Conditions of your new NPDES General Permit,
including Compliance and Liability, Reporting, Monitoring and Records requirements; Operation and
Maintenance obligations; and Definitions. Please note that all samples analyzed in accordance with the terms
of this permit must be submitted to the Division on Discharge Monitoring Report (DMR) forms available on
the Stormwater Permitting Unit's website above. DMR forms must be delivered to the Division no later than
30 days from the date the facility receives the sampling results from the laboratory. Also note that existing
permittees do not need to submit a renewal request prior to expiration unless directed by the Division.
Your coverage under the General Permit is transferable only through the specific action of DWQ. This permit
does not affect the legal requirements to obtain other permits which may be required by DENR, nor does it
relieve the permittee from responsibility for compliance with any other applicable federal, state, or local law,
rule, standard, ordinance, order, judgment, or decree. If you have any questions regarding this permit
package, please contact the Division's Stormwater Permitting Unit at (919) 807-6300.

Guidelines for Access: The staff of the -Raleigh Regional Office is dedicated to making public

Appointments are scheduled between 9:00 a.m. and 3:00 p.rn on Tuesday Wednesday and
Thursday. Viewing time ends at 4.45 p.m. Anyone arriving without an appointment may view
the files to the extent that time and staff supervision are available.
2. You must specify files you want to review by facility name or incident numbers as appropriate.
The number of files that you may review at one appointment will be limited to five.
3. You may make copies of a file when the copier is not in use by the staff and if time permits.
Cost Per copy is 5 cents for ALL copies, front and back will be 10 cents per co . Payment is
to be made by check, money order, or cash in the administrative offices.
4. FILES MUST BE KEPT IN THE ORDER YOU RECEIVED THEM. Files may not be taken
from the office. No briefcases, large totes etc. are permitted in the file review area. To
remove, alter, deface, mutilate, or destroy material in one of these files is a misdemeanor for
which you can be fined up to $500.00.
5. In accordance with General Statute 25-3-512, a $25.00 processing fee will be charged and
collected for checks on which payment has been refused.

on August 31, 2002. The Division staff is currently in the process of rewriting this permit and is scheduled to have
the permit reissued by late summer of'2002. Once the permit is reissued, your facility would be eligible For
continued coverage under the reissued permit.
In order to assure your continued coverage under the general permit, you must apply to the Division of Water
Quality (DWQ) for renewal of your permit coverage. To make this renewal process easier, we are informing you in
advance that your permit will be expiring. Enclosed you will find a General Permit Coverage Renewal
Application Form. The application must be completed and returned by March 4, 2002 in order to assure continued
coverage under the general permit.
Failure to request renewal within this time period may result in a civil assessment of at least $250.00. Larger
penalties may be assessed depending on the delinquency of the request. Discharge of stormwater from your facility
without coverage under a valid stormwater NPDES permit would constitute a violation of NCGS 143-215.1 and
could result in assessments of civil penalties of up to $10,000 per day.
Please note that recent federal legislation has extended the "no exposure exclusion" to all operators of industrial
facilities in any of the I 1 categories of "storm water discharges associated with industrial activity," (except
construction activities). Ihyou feel your facility can certify a condition of "no exposure", i.e. the facilty industrial
materials and operations are not exposed to stormwater, you can apply for the no exposure exclusion. For additional

C00030118. A condition of the permit requires certain facilities to perform testing and
reporting of Total Toxic Organics (TTO). A waiver of this sampling requirement is
allowed by the permit for those facilities which, certify that they have a solvent management
plan in place.
Nucor Bearing Products is an industry which requires such TTO sampling as referred to
above. Your TTO sampling waiver request dated May 1, 1998 included a Solvent
Management PIan for your facility and certification that the plan was in place. Having met
the conditions set forth in NCG030000 for waiver, your request is hereby approved by the
Division.
The Solvent Management Plan shall be incorporated into your Stormwater Pollution
Prevention Plan as per the conditions of NCG030000. To maintain permit compliance, the
Solvent Management plan shall be updated anytime solvents are added to or deleted from
the facility's inventory.

Dear Mr. Holley:
As required in Part II, Section B of our General Stormwater Permit, this provides written notice
that our facility's stormwater outfall (SDO#004) has just fallen into Tier 3 status for copper.
Prior to this, Tier 1 and Tier 2 protocols were implemented for the outfall due to the facility's
Tier 3 status for zinc. This outfall is currently being sampled monthly because of zinc
concentrations, according to the Tier 2 requirement. A summary of the analytical copper results
for this outfall is attached for your information.
Copper concentrations in this outfall have been periodically above benchmark since inception of
the copper monitoring permit requirement in January of last year. In an attempt to reduce the
copper concentrations we have increased our house keeping and grounds keeping efforts, and
have reviewed and minimized our industrial stormwater exposures insofar as possible.
However, the concentrations still periodically have been above benchmark values. On February
24, 2014 we collected a grab sample from our roof downspout for laboratory analysis. The
results indicated that the roof run-off contained 0.010 mg/I of copper, which is 0.003 mg/I
above the permit benchmark value. Additionally, we are located at the intersection of two
major urban thoroughfares and are adjacent to an active railroad siding.

Zinc concentrations in this outfall have consistently been above benchmark since inception of
the zinc monitoring permit requirement in January of last year. In an attempt to reduce the zinc
concentrations we have increased our house keeping and grounds keeping efforts, and have
reviewed and minimized our industrial stormwater exposures insofar as possible; however, zinc
concentrations remain above benchmark values. Like many other facilities, we have galvanized
roof equipment and ducting, as well as metal roof downspouts, which may be contributing to
the increased zinc levels at our facility. Additionally, we are located at the intersection of two
major urban thoroughfares and are adjacent to an active railroad siding. We are currently
waiting for the next rain event so that we can capture a water sample from the
roof/downspouts to determine if they are the major sources of zinc and copper
As mentioned above, we are collecting monthly analytical stormwater samples for analysis and
reporting. In view of the persistent zinc values and increased monitoring cost, we request that
DEMLR consider allowing us to revert back to semi-annual monitoring or reducing the monthly
monitoring parameters to just zinc.

Dear Mr. Viverette:
On December 17, 2009, Mitch Hayes of the Raleigh Regional Office conducted a compliance
evaluation inspection of the subject facility. I greatly appreciate your time and assistance with this
inspection. Below is a list of recommendations and findings developed from the inspection:
1. The subject permit was reissued and became effective July 28, 2009 and will expire October
31, 2012. Request for permit renewal and paid associated fees must be made 180 days prior
to expiration to receive automatic authorization to discharge beyond the expiration date.
2. Carolina Forge Company manufactures wheel hubs and transmission gears for the
automotive industry.
3. There are four Stormwater Discharge Outfalls (SDO's) listed for the facility:
• Stormwater from the south side of the original facility receives flow from the truck
loading/unloading areas and discharges into a ditch on the south end of the railroad
spur at SDO #004. There was no discharge or water in the ditch.
• Storm drains along the truck access drives and the shipping overhead doors are
conveyed to SDO #003 that discharges into a ditch on the east side of the railroad
spur. There was no discharge or water in the ditch.
• SDO #002 receives stormwater from parking lot drainage and from the area around
the oil/water separator pits.
• Flow from SDO #001 receives stormwater flow from catch basins at the shipping dock
and truck access road on the south side of the original facility and is discharged into a
settlement basin. Stormwater from SDO #002 discharges into the same settlement
basin. There was no discharge from SDO #002. There was very little discharge at
SDO #001. Clarity of the water in the settlement basin rated a 5 on a 1 to 10 scale.
4. The Stormwater Pollution Prevention Plan was updated and certified 12/16/2009 and is
reviewed annually. Employee training occurs every March and is documented on computer.
There have been no significant spills within the past three years. The receiving stream, an

5. SDO #004 has been designated as the Representative Outfall (RO) for all other outfalls.
Qualitative and analytical monitoring was last completed 11/09/2009. You stated that
qualitative monitoring was only being performed on SDO #004. Qualitative monitoring is
required at all SDO's regardless of RO status. All analytical results were below benchmark
values. Microbac Labs performs all analyses for the facility. All Chain of Custody Sheets are
maintained. Records are maintained on computer and paper.
6. Guidance for rating stormwater discharge clarity has been developed to help with filling out
qualitative monitoring forms. The guidance document can be found at the web page

7. Your facility is currently implementing a Solvent Management Plan in place of analyzing for
Total Toxic Organics (TTO). All provisions of the Solvent Management Plan are being
maintained. There have been no spills during the last three years.

Inspection Summary:

Your facility is currently covered for stormwater discharge under General Permit NCG030000. This permit expires
on August 31, 2002. The Division staff is currently in the process of rewriting this permit and is scheduled to have
the permit reissued by late summer of 2002. Once the permit is reissued, your facility would be eligihle for
continued coverage under the reissued permit.
In order to assure your continued coverage under the general permit, you must apply to the Division of Water
Quality (DWQ) for renewal of your permit coverage. To make this renewal process easier, we are informing you in
advance that your permit will be expiring. Enclosed you will find a General Permit Coverage Renewal
Application Form. The application must be completed and returned by March 4, 2002 in order to assure continued
coverage under the general permit.
Failure to request renewal within this time period may result in a civil assessment of at least $250,00. Larger
penalties may be assessed depending on the delinquency of- the request. Discharge of stormwater from your facility
without coverage under a valid stormwater NPDES permit would Constitute a violation of NCGS 143-215.1 and
could result in assessments of civil penalties of up to $10,000 per day.
Please note that recent federal legislation has extended the "no exposure exclusion" to all operators of industrial
facilities in any of the I I categories of "storm water discharges associated with industrial activity," (except
construction activities). If you feel your facility can certify a condition of "no exposure", i.e. the facilty industrial
materials and operations are not exposed to stormwater, you can apply for the no exposure exclusion. For additional

minor modification fee. Recent legislative changes have resulted in changes to the permit fee structure
for all of the permits handled by the Division of Water Quality. Under the new fee structure there is no
fee required for'minor modifications to a permit.

Enclosed you will find the original and a copy of the form MR03. Also enclosed
are the originals of the sampling results from Southern Testing & Research Labs
and a copy of the latest Sedimentation Inspection Report. We have recently
completed an expansion of our facility and sedimentation and landscaping is in
the process of completion.
Please note the TSS results from Outfall #001 and #003. These two outfalls are
effected by the on going sedimentation from the construction. Outfall #002 is on
the back side of the older building and was not effected by the addition to the
facility. Shortly after collected the samples from #001 and #003 1 informed Mr.
Darren England that I expected a high TSS because of muddy water coming
from these outfalls during the sampling. We have recently completed grading
and seeding of a large area behind our new building. Please advise if any furth.,r•
sampling or action is needed concern the sampling results.
During the sampling of Outfall #003 the sample container for lead was
accidentally knocked over and because a preservative is required for lead
sampling, an additional container had to be obtained. The sampling for lead at
Outfall #003 was collected on 911/98 and as of this date we do not have the
results. The results will be sent in the near future.

under the Stormwater General Permit NCG030000, Certificate of Coverage Number
C00030118. A condition of the permit requires certain facilities to perform testing and
reporting of Total Toxic Organics (TTO). A waiver of this sampling requirement is
allowed by the permit for those facilities which certify that they have a solvent management
plan in place.
Nucor Bearing Products is an industry which requires such TTO sampling as referred to
above. Your TTO sampling waiver request dated May 1, 1998 included a Solvent
Management Plan for your facility and certification that the plan was in place. Having met
the conditions set forth in NCG030000 for waiver, your request is hereby approved by the
Division.
The Solvent Management Plan shall be incorporated into your Stormwater Pollution
Prevention Plan as per the conditions of NCG030000. To maintain permit compliance, the
Solvent Management plan shall be updated anytime solvents are added to or deleted from
the facility's inventory.

Your certificate of coverage is not transferable except after notice to DWQ. The Division of Water
Quality may require modification or revocation and reissuance of the certificate of coverage.
This permit does not affect the legal requirements to obtain other permits which may be required by
DWQ or permits required by the Division of Land Resources, Division of Air Quality, Coastal Area
Management Act or any other Federal or Local governmental permits that may be required.
