Please note that Suzanne cannot process an on-line Ownership Transfer form because final sale documents are not
available. It is our Program's practice not to make those changes in our permit database until the transfer is final, in
the event that something changes. Rather, the notification and signed agreement you provided us is for the permit file
record and allows for an "automatic transfer" as described in the federal regulations —in the event no further action is
taken subsequent to the sale.
Please submit the Name/Ownership on-line form when those documents are available so we can process the changes in
our permitting database and create a new Certificate of Coverage (COC) in the new Owner's name. Suzanne will do her
best to process it as promptly as possible at that time.

Todd,
If this short period of not having a COC that reflects the new owner name is a concern, I recommend
submitting the best documentation you can in the meantime, and then complete the on-line form when the
transaction is finalized next month.
We rarely have anyone attempting to reflect the transfer on their COC immediately because our program does
not have a process to turn that around ahead of the actual completion date. Suzanne processes
name/ownerships all the time, often for very large companies, and routinely they follow our process for this
transfer as soon as they are able to with the documentation. All permittees are subject to this waiting period
for a revised COC after the fact, and I do not know of any compliance or enforcement actions that have
resulted as long as the company has made the effort to transfer the permit as soon as finalized documents are
available. Furthermore, a prompt application date on the permittee's part will be reflected in our repository
when that on-line application comes through.
With advanced notice, Suzanne might be able to get started, so that as soon as that request comes in for this
particular COC, she can get it through as soon as possible. Perhaps this helps alleviate some concern.

According to Stormwater Program Permitting Performance Expectations I have 7 calendar days after receipt of the
ownership change request.
There is not a grace period. The prior Permitee is responsible for any discharges until the new Certificate of Coverage is
issued.

I wanted to follow up on our conversations regarding Coats acquisition of the Pharr Yarns facility and the transfer of the
stormwater permit. This project is a top priority for Coats globally and I am being asked for daily updates on the transfer
of environmental permits. The actual closure date on the purchase is likely to be late January or early February as the
legal process is under review. I understand the process of submitting the online permit transfer request and have a
DRAFT copy of the request saved in the DEQ NPDES online portal.

I am sure you have assisted other companies with permit transfers in the past. What is the time line as far as submitting
a permit transfer request and receipt of the permit issued to Coats? Is there a grace period for obtaining the permit?

I've looked back at the regulations to try and answer your question better. The NPDES federal regulations actually
provide for "automatic transfer" (Transfer Option (b)) if you provide notice 30 days ahead of the transfer with a written
agreement containing the following information. If you provide this to us, and then fill out the Name/Ownership
transfer on-line form with the final documentation once the sale is completed so DEQ can process a transfer of the COC
by modification (Transfer Option (a)), you will cover all your bases during the transition period. I don't think it's
absolutely necessary given our process, but we will be happy to include the advance notification with the agreement in
the permit file (housed in our public repository) if that serves extra assurance.
§ 122.61 Transfer of Dermits (applicable to State programs, see § 123.25).

It is Coats aim to ensure a seamless permit transition from Pharr to Coats and to remain in compliance at the closure of
the sale, which is expected to happen in early January 2020. Coats will continue operation from day 1 without
interruption. Is there a grace period, or period of time that we will be able to have to run while transferring the
stormwater permit?
Will a signed copy of a permit transfer agreement as attached suffice as evidence of the sale?
