PERMIT TRANSFER AGREEMENT
This Agreement is entered into this date by Pharr Yarns, LLC (Pharr Yarns) and Coats HP Inc.
(Coats) in order to effect a transfer of the following permits issued by the North Carolina
Department of Environmental Quality:
• Air Permit No. 04349R14, issued by the Division of Air Quality on August 18, 2015;
• Certificate of Coverage No. NCG170358, issued by the Division of Energy, Mineral and
Land Resources on August 1, 2014 to permit stormwater discharges under NPDES
General Permit No. NCG 170000; and
• Certificate of Coverage No. NCG500214, issued by the Division of Water Quality on
August 13, 2012 to permit the discharge of non -contact wastewater under NPDES
General Permit NCG500000.
Pursuant to the Asset Purchase Agreement by and between Pharr Yarns and Coats dated as of
November 25, 2019, Coats agreed to purchase the assets and operate the facilities covered by the
aforementioned permits and the responsibility, coverage, and liability thereunder is to transfer
from Pharr Yarns to Coats.
This Agreement is entered into by both parties this December 13, 2019, with said transfer
anticipated to become effective on February 1, 2020.
