EXECUTION VERSION
ASSET AND CAPITAL CONTRIBUTION AGREEMENT
THIS ASSET AND CAPITAL CONTRIBUTION AGREEMENT (this "Agreement") is
made and entered into this P day of September, 2013, by and among Concrete Supply Co., allorth
Carolina corporation ("CSC"), CEMEX Construction Materials Atlantic, LLC, a Delaware limited
liability company ("CEMEX'), and Conmex Joint Venture, LLC, a North Carolina limited liability
company (the "Company").
W-I-T-N-E-S-S-E-T-H :
WHEREAS, CSC is currently the sole member of the Company; and
WHEREAS, CSC and CEMEX have agreed to each make an asset and capital contribution
(the "Contribution") to the Company pursuant to terms contained herein; and
WHEREAS, subsequent to the Contribution, the Company will own and operate the CSC
Assets and the CEMEX Assets, both of which terms are defined below, in connection with the
business of producing and selling ready -mix concrete;
NOW, THEREFORE, in consideration of the mutual promises, covenants and agreements
contained herein, the receipt, adequacy and sufficiency of which are hereby acknowledged, CSC,
CEMEX and the Company hereby agree as follows:
ARTICLE 1
TRANSFER OF ASSETS
L I Assets To Be Contributed By CSC. Subject to the terms hereinafter set forth,
CSC hereby transfers, conveys, assigns and delivers, and agrees to cause each of its Affiliates (as
defined herein) to transfer, convey, assign and deliver, to the Company those assets or leasehold
interests in leased assets described on Schedule 1.1(a) which are currently owned or leased by CSC
or any of its Affiliates and used or intended for use primarily in the production, sale and distribution
of ready -mix concrete in North Carolina and South Carolina, or which are being utilized or operated
by CSC or any of its Affiliates primarily at its ready -mix concrete business locations in North
Carolina and South Carolina (the "CSC Assets'), and the business associated with said assets (the
"CSC Business"). The CSC Assets include, without limitation, (1) the owned real property
contributed by CSC set forth on Schedule 1.1(a)(i) (the "CSC Owned Real Property'), (ii) the leased
real property contributed by CSC set forth on Schedule 1.1(a)(ii) (the "CSC Leased Real Pro a "),
and (iii) the insurance policies contributed by CSC set forth on Schedule 1.1(a)(iii) (the "CSC
Insurance Policies'). The CSC Owned Real Property and CSC Leased Real Property are referred to
collectively sometimes herein as the "CSC Real Property." Notwithstanding the foregoing, the
assets, properties and rights described on Schedule 1.1(b) (the "Retained CSC Assets"), including,
without limitation, the owned real property listed on Schedule 1.1(b)(i) (the "Retained CSC Owned
Real Property") and the leased real property listed on Schedule 1.1(b)(ii) (the "Retained CSC Leased
Real Property"), shall not be transferred, conveyed, assigned or delivered to the Company under this
Agreement.

On April 12, 2013, Gary Hudson of this office met with Mike Holt to perform a General
Stormwater Permit Inspection at the CEMEX Ready Mix Division facility located off of Highway
52 in Mount Airy. This inspection evaluated the areas as designated on the attached inspection
form. Observations from each area are addressed below:
1. Permit
CEMEX Ready Mix Division holds Certificate of Coverage # NCG140012 for the discharge of
stormwater from the facility. The General Permit became effective July 1, 2011 and expires
June 30, 2016.
2. Records/Reports
All monitoring and laboratory records are maintained as specified by the.permit.
3. Facility Site Review
The site appeared very clean and well managed. No concerns were noted.
4._ Effluent/Receiving Waters
Stormwater runoff from the facility reaches the Lovill's Creek, Class "C" waters in, the
Yadkin/Pee-Dee River Basin.

5. Monitoring Program
Part III, Section B of the permit requires that semi-annual qualitative (visual) monitoring be
performed and documented once in the spring (April - June) and once in the fall (September —
November). A review of the facility files found that the qualitative monitoring has been
conducted as required.
Part 111, Section C of the permit requires that analytical monitoring be performed. A review of
the facility files found that the analytical monitoring has been conducted as required.
The analytical monitoring for on -site vehicle maintenance fisted in Section B of the permit is not
required since the CEMEX plant uses less than 55 gallons of new motor oil per month when
averaged over the calendar -year.

On February 28, 2012, Gary Hudson of this office met with Mike Holt to perform a
General Stormwater Permit Inspection at the CEMEX Ready Mix Division facility located off of
Highway 52 in Mount Airy. This inspection evaluated the areas as designated on the attached
inspection form. Observations from each area are addressed below:
1. Permit
CEMEX Ready Mix Division holds Certificate of Coverage # NCG140012 for the discharge of
stormwater from the facility. The General Permit became effective July 1, 2011 and. expires
June 30, 2016.
2. Records/Reports
All monitoring and laboratory records are maintained as specified by the permit.
3. Facility Site Review
The site appeared very clean and well managed. No concerns were noted.
4. Effluent/Receiving Waters
Stormwater runoff from the facility reaches the Lovill's Creek, Class "C" waters in the
Yadkin/Pee-Dee River Basin.

Part III, Section B of the permit requires that semi-annual qualitative (visual) monitoring be
performed and documented once in the spring (April - June) and once in the fall (September —
November). A review of the facility files found that the qualitative monitoring has been
conducted as required.
Part Ili, Section C of the permit requires that analytical monitoring be performed. A review of
the facility files found that the analytical monitoring has been conducted as required.
The analytical monitoring for on -site vehicle maintenance listed in Section B of the permit is not
required since the CEMEX plant uses less than 55 gallons of new motor oil per month when
averaged over the calendar year.

This certificate of coverage shall become effective November 14, 2008.
This Certificate of Coverage shall remain in effect for the duration of the General Permit.

On March 19, 2008, Gary Hudson of this office met with you to perform a General
Stormwater Permit Inspection at the CEMEX Mount Airy facility located on Highway 52 in
Mount Airy. This inspection evaluated the areas as designated on the attached inspection
form. Observations from each area are addressed below:
1. Permit
CEMEX Ready Mix Division holds Certificate of Coverage # NCG140012 for the discharge of
stormwater from the facility. The General Permit became effective August 1, 2004 and
expires July 31, 2009.
2. Records/Reports
Part 11, Section A of the permit requires the development of a Stormwater Pollution
Prevention Plan (SPPP). A copy of the SPPP was available for review. The plan contained
all of the items required by the stormwater permit.
3. Facility Site Review
Observations of the two outfalls at the facility did not reveal any concerns. The site appeared
very clean and well managed.
4. Effluent/Receiving Waters
Stormwater runoff from the facility reaches Lovill's Creek, Class "C" waters in the
Yadkin/Pee-Dee River Basin.

5. Monitoring Program
Part 11, Section F of the permit requires that semi-annual qualitative (visual) monitoring be
performed and documented once in the spring (April - June) and once in the fall (September
— November). A review of the facility files found that the qualitative monitoring has been
conducted as required.
Part 11, Section C of the permit requires that analytical monitoring be performed. A review of
the facility files found that the analytical monitoring has been conducted as required.
The analytical monitoring for on -site vehicle maintenance listed in Section B of the permit is
not required since the CEMEX plant uses less than 55 gallons of new motor oil per month
when averaged over the calendar year.
