PURCHASER) This Bill of Sale is dated as of June 1, 2017 (this "Bill of Sale"), by and between (i) Valspar Holdings 1, Inc., a Delaware corporation {"Holdi� P') and Valspar Holdings 11, Inc., a Delaware corporation. ("Holdings Ir' and, together with Holdings I, the "Seller Parties") and (ii) Axalta Coating Systems U.S.A., LLC, a Delaware limited liability company ("Purchaser A iliate'). The Seller Parties and Purchaser Affiliate are sometimes collectively referred to herein as the "Parties" and individually referred to herein as a "Part ." Capitalized terms used herein without definition will have the respective meanings given to such terms in the Purchase Agreement. WHEREAS, Axalta Coating Systems Ltd., a Bermuda exempted company ("Purchaser") and The Valspar Corporation, a Delaware corporation ("Seller"} are parties to that certain Asset Purchase Agreement, dated as of April 11, 2017 (as amended, the "Purchase Agreement"), relating to the sale, assignment, transfer and conveyance by, Seller and the Industrial Wood Subsidiaries and the purchase and assumption by Purchaser (or its assignee) of the Purchased Assets and the Assumed Liabilities referred to in the Purchase Agreement; WHEREAS, Purchaser Affiliate is a wholly owned direct or indirect Subsidiary of Purchaser, and Purchaser has assigned its rights to acquire the Purchased Assets that are owned by the Seller Parties (other than the Industrial Wood Business Intellectual Property) (such Purchased Assets, the "U.S Non IP Purchased Assets") to Purchaser Affiliate; and WHEREAS, the Purchase Agreement provides that, in connection with the consummation of the transactions contemplated thereby. the Parties will enter into this Bill of Sale. NOW, THEREFORE, in consideration of the foregoing and the mutual agreements and covenants set forth herein, Purchaser Affiliate and the Seller Parties hereby agree as follows: Section 1. Sale of U.S. Non-IP Purchased Assets. In accordance with the Purchase Agreement, the Seller Parties hereby sell, assign, transfer and convey to Purchaser Affiliate, and Purchaser Affiliate purchases, acquires and accepts from the Seller Parties, all their respective right, title and interest in and to the U-S. Non-IP Purchased Assets, free and clear of all Liens (other than Permitted Liens). Section 2, Excluded Assets. The U.S. Non-IP Purchased Assets do not include the Excluded Assets, and Purchaser Affiliate is not purchasing, acquiring or accepting any right, title or interest in and to any Excluded Asset pursuant to the Purchase Agreement or this Bill of Sale. Section 3. No Waiver or Modification, Subject to Purchase Agreement. Nothing contained in this Bill of Sale may be construed as a waiver of any of the rights or remedies of the Parties, Seller or Purchaser as set forth in, or arising in connection with, the Purchase Agreement or any other instrument or document delivered by the Parties, Seller or Purchaser pursuant to the Purchase Agreement. The Seller Parties make no representations or warranties with respect to the U.S. Nan-IP Purchased Assets except as specifically set forth in the Purchase Agreement. This Bill of Sale is not intended to limit in any manner the terms of the Purchase Agreement nor is it NAI-1502722826v3 intended to create any right or obligation broader (or more limited) than those specifically set forth in the Purchase Agreement. In the event of any ambiguity or conflict between the terms of this Bill of Sale and the Purchase Agreement, the terms of the Purchase Agreement will govern and control. No provision of this Bill of Sale may be changed, waived, discharged or terminated other than by an instrument in writing signed by the Parties. No failure to enforce any provision of this Bill of Sale will be deemed to or will constitute a waiver of such provision and no waiver of any of the provisions of this Bill of Sale will be deemed to or will constitute a waiver of any other provision of this Bill of Sale nor will such waiver constitute a continuing waiver. This Bill of Sale is subject to all of the representations, warranties, covenants, exclusions and indemnities set forth in the Purchase Agreement. Section 4. Assignment. Neither this Bill of Sale nor any of the rights, interests or obligations hereunder shall be assigned or delegated by any Party without the prior written consent of the other Parties; provided, however, Purchaser Affiliate may assign any of its rights under this Bill of Sale (i) to a wholly owned direct or indirect Subsidiary of Purchaser without the prior written consent of the Seller Parties, but no such assignment shall relieve Purchaser Affiliate of any of its obligations under this Bill of Sale or (ii) to any Person in connection with a merger or consolidation or a sale of all or substantially all of the assets of the Industrial Wood Business. Any attempted assignment in violation of this Section 4 shall be null and void. Subject to the two preceding sentences, this Bill of Sale shall be binding upon and shall inure to the benefit of the Parties and their respective successors and assigns. Section 5. Ca Lions. The captions and headings herein are included for convenience of reference only and will be ignored in the construction or interpretation hereof. Section 6. Governing Law_ This Bill of Sale, and all claims or causes of action (whether at Law, in contract or in tort or otherwise) that may be based upon, arise out of or relate to this Agreement or the negotiation, execution or performance hereof, shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Delaware. Section 7. Further Assurances. From and after the date of this Bill of Sale, Purchaser Affiliate and the Seller Parties shall use their respective reasonable best efforts to take, or cause to be taken, all actions, and to do, or cause to be done; all things reasonably necessary, proper or advisable under any applicable Law to consummate and make effective the provisions hereof as promptly as practicable, including the execution and delivery of any additional instruments necessary to consummate the transactions contemplated by this Bill of Sale and to fully carry out the purposes of this Bill of Sale. Section S. Counte arts' Effectiveness. This Bill of Sale may be executed in counterparts, each of which shall be an original,,with the same effect as if the signatures thereto and hereto were upon the same instrument, and shall become effective when one or more counterparts have been signed by each of the Parties to this Bill of Sale and delivered (by telecopy, electronic delivery or otherwise) to the other Parties to this Bill of Sale. It was also stated from the phone call that pressure washing activities were being conducted on site as well. Upon arriving on scene, field personnel noticed a chemical pollutant that had been discharged to the stream (as can be viewed in the pictures belouo). After further investigating into the source, the field personnel traced the drainage system to the facility located at 1717 English Road (Valspar Coatings). The discharge of pollutants into the stormwater drainage system is prohibited under the City of High Point Illicit Discharge and Connection Ordinance (copy enclosed). Per Section 12-3-9 of the City of High Point Code of Ordinances, failure to comply with the City of High Point Illicit Discharge and Connection Ordinance could result in civil penalties. The following steps should be taken below in order for this facility to be brought back into compliance: 1. Please be sure that you are meeting all requirements for the Stormwater Pollution Prevention Plan (SWPPP) that you hold for the facility's National Pollutant Discharge Elimination System (NPDES) permit. This involves educating and training employees, including members of the management team on proper pollution prevention and good housekeeping measures. 2. It is strongly recommended that staff follow a designated Spill Response Plan as part of the SWPPP that allows for the appropriate procedures to be met with proper notification steps if a future incident happens. The tote was needed to draw off reclaim from a tank. The employee then drove toward the tank when he realized the tote had become unstable. He proceeded to lower and back out when the tote flipped on its side. The lid was not secured on the tote which allowed product to spill. The employee used his forks to quickly tilt the tote upright. The employee then called the 2nd shift supervisor and maintenance to report the incident. Oil dry absorbent was applied to spill. October 9, 2013 Early Wednesday morning morning and throughout the day the H5E manager and maintenance group leader monitored the creek for any signs of contamination. None was ever observed. A contractor was then called to pressure wash the affected area at the Plant to remove the stain. On Wednesday afternoon, the City of High Point contacted Dan Delozier in reference to an odor complaint. They also came out and took samples. They highly advised we clean it out. A second contractor was summoned to pump out the creek. October 10, 2013 The NCDENR paid a visit to follow up and review SPCC plan. It looks to me like CTW did clean out the stream pretty effectively. There is still some staining where the acetone substance flowed down the curb into the storm drain, but there was no sheen or residue. I also did not detect an acetone odor. Mr. DeLozier was very honest and cooperative with me during the inspection and let me know exactly what happened. You probably know a lot of this already, but I just wanted to list out the sequence of events. Tuesday night, one of the forklift operators spilled about 60-80 gallons of acetone -based reclaim outside the facility (the spill location is shown in photo DSCN0476). The night shift supervisor called the production -nanager, who instructed him to pressure wash and put down oil dry, but not to notify the City or State. Mr. DeLozier discovered the spill the next morning and notified us around 13:30 or so, even after being told not to do so. After he notified us, Mr. DeLozier did have CTW come out and pump the stream. CTW arrived at around 16:30 and left by 19:00. reviewed Valspar's Spill Response/Prevention Plan (SPRP) during the inspection and found that while the plan is good, it was obviously not implemented. The rest of the Stormwater Pollution Prevention Plan (SWPPP) looked good, as did the facility and its outfalls. Based on the facility's history of good compliance, the fact that they did mitigate the effects of the spill, and the compliance with reporting (by Mr. DeLozier anyway), I am going to recommend to my supervisor that we issue a Notice of Deficiency. The NOD is a step below NOV, and I think the fact that it is not a "violation" will help Mr. DeLozier while also getting the attention of his superiors. I'm going to ask that they conduct remedial training for all employees and have everyone review the SPRP. I also want them to check and make sure they have adequate spill response materials and look into getting berms, etc. to have on site. I reminded Mr. DeLozier to fill out a spill report, send me a copy, and file it in the SWPPP. That's a State requirement, but I will definitely send you a copy if you'd like. He's also going to send me the invoices for CTW when he gets them. Let me know what the City decides to do on this one. I'll send you a copy of the NOD letter when I get it signed and sent. The inspection consisted of two parts: an on -site inspection of the stormwater facilities and an in -office file review. The following are the findings from the subject inspection. L Permit The NPDES permit for Valspar.Coatings became effective on November 1, 2007 and expires on October 31, 2010.- I L . Records/Reports A review of the Stormwater Pollution Prevention Plan (SPP Plan) revealed that all areas of concern had been addressed. The SPP Plan was very comprehensive. well organized and had been implemented. 111. Facility Site Review All outfalls noted in the SPP Plan were inspected and found to be satisfactory. IV. Effluent & Receiving Waters Valspar Coatings discharges stormwater to an unnamed tributary to Payne Creek in the Yadkin River Basin, V. Self -Monitoring Program A review of the discharge monitoring reports (DMRs) showed that Valspar Coatings was in compliance with the self - monitoring requirements contained in the NPDES General Perini[. Qualitative and quantitative monitoring data was reviewed and it demonstrated compliance with permit requirements.' Overall, the facility was deemed to be in compliance with NCG090020. The tote was needed to draw off reclaim from a tank. The employee then drove toward the tank when he realized the tote had become unstable. He proceeded to lower and back out when the tote flipped on its side. The lid was not secured on the tote which allowed product to spill. The employee used his forks to quickly tilt the tote upright. The employee then called the 2"d shift supervisor and maintenance to report the incident. Oil dry absorbent was applied to spill. October 9, 2013 Early Wednesday morning morning and throughout the day the HSE manager and maintenance group leader r-nonitored the creek for any signs of contamination. None was ever observed. A contractor was then called to pressure wash the affected area at the Plant to remove the stain. On Wednesday afternoon, the City of High Point contacted Dan Delozier in reference to an odor complaint. They also came out and took samples. They highly advised we clean it out. A second contractor was summoned to pump out the creek. October 10, 2013 The NCDENR paid a visit to follow up and review SPCC plan. Recommendations for action and prevention: • Place a spill kit in the area by the compressor at Lacquer pit and Office • Investigate putting a berm in the lot to prevent the possibility of an incidental spill getting to the storm drain. • Refresher Training for all PIT Drivers by the end of October o Make proper transportation of totes a safety huddle ■ Visually inspect load (tote) ■ Make sure lid is secured ■ Tap on tote for sound (hollow or thud) ■ Make sure forks are properly spaced under load ■ Keep forks low or at least ■ Move at appropriate speed RECEIVED is N.C.
