On April 14, 2017, Glen White of the North Carolina Department of Environmental Quality —
Division of Energy, Minerals and Land Resources met with you at the facility located at 350
Elkin Wildlife Road, to conduct a compliance inspection. Inspection consists of review of the
Stormwater Pollution Prevention Plan (SPPP), facility outfalls and possible exposures. Your
assistance was greatly appreciated.
Permit:
This facility holds General Stormwater Permit NCG210306 to discharge stormwater from
industrial activity associated with Lumber and Wood Products, Except Furniture [SIC 241
under the National Pollutant Discharge Elimination System (NPDES). The permit became
effective August 01, 2013 and expires on July 31, 2018. The current permit was available for
review and was included in the SPPP.
Records/Reaorts•
This facility was required to develop and maintain a Stormwater Pollution Prevention Plan
(SPPP) in accordance with Part II, Section A of the permit. All required documentation is up to
date including responsible party/emergency contacts, employee training, spills and response
plan, siteplan, vicinity map, etc. All qualitative and analytical monitoring records are required to
be maintained with the SPPP for a minimum of five (5) years. Monitoring has been conducted as
required by the permit.
Facility Site Review:
This facility manufactures lumber products from timber. Raw timber is stored neatly on the
yard. This facility is on both sides of Elkin Wildlife Road and has four (4) documented outfalls.
All outfalls were observed during inspection. The only thing the inspector noticed that does not
appear to meet requirements of the permit is the lack of secondary containment for two small 1-
300 Gallon'tanks. All liquid fuel tanks must have secondary containment.

Effluent Receiving Waters:
Effluent from the sawmill flows toward Turkey Creek and water from the tract on the opposite
side of road drains toward Willowbrook Lake, both bodies are listed as Class "C" waters of the
Yadkin Pee -Dee River Basin,
Self -Monitoring Program:
This facility is required to provide Qualitative and Analytical Monitoring twice annually.
Records indicate that since inspection August 13, 2015 monitoring has been conducted as per the
permit.

Sue White and Glen White of the Winston-Salem Regional Office of the NC Division of Energy, Mineral, and
Land Resources (DEMLR) conducted a compliance evaluation inspection at the subject facility on August 13,
2015. Both you and Mr. Ricky Miller assisted us and guided us throughout the inspection. It was a pleasure
to meet both of you and your cooperation was greatly appreciated. An inspection checklist is attached for
your records and the inspection findings are summarized below.
1. Permit
This facility holds General Storm water Permit No. NCG210306 to discharge Storm water from activities
associated with Lumber and Wood Products under the National Pollutant Discharge Elimination System
(NPDES). The permit became effective October 1, 2014 and expires September 30, 2019. Your permit
renewal package must be received in the Central Office in Raleigh no later than 180 days prior to the
expiration date of the permit.
2. Records/Reports
Part 11, Section A of the permit requires the development of a Stormwater Pollution Prevention Plan (SPPP).
The plan must include all nine (9) subsections of Part 11, Section A of the permit. The site plan needs to be
updated to include the dry kiln area across the road from the main facility. Qualitative monitoring is
required to be completed and documented twice yearly as defined in Part 11, Section C of the permit.
Qualitative monitoring has been conducted and is up to date with records provided for review. Analytical
monitoring is also required for this facility but has not been conducted as required for compliance. Please
begin conducting the analytical monitoring immediately. Monitoring forms for qualitative and analytical
monitoring as well as a6,updated copy of your permit can be found online at

and monitoring must be conducted semi-annually to maintain compliance with the permit.

3. Facility Site Review
This site manufactures raw lumber products. Mr. Farthing and Mr. Miller met with the inspector's onsite
and observed its general condition. Raw timber is stored onsite and is neatly stacked and into its own
species. Overall the site appeared to be well maintained but sawdust accumulation in areas near outfalls
need to be cleaned up. The dry kiln area on tract across the road from the office needs to be added to the
siteplan.
4. Effluent/Receiving Waters
Stormwater from the sawmill flows toward Turkey Creek and stormwater from the tract with the kiln flows
toward Willowbrook Lake, both bodies are listed as Class "C" waters of the Yadkin -Pee -Dee River Basin.
5. Self -Monitoring Program
a. Analytical Monitoring: This site is required to conduct analytical monitoring bi-annually but has not
been doing so for some time. Begin collecting samples for monitoring at the same time qualitative
monitoring is conducted. Keep Records onsite-in the SPPP binder for 5 years. Submit of copy of any
result that exceeds benchmark values to Glen White at NCDMLR. Monitor motor oil consumption.
If monthly usage exceeds 55 gal, monitoring at the maintenance shop will be required.
Qualitative_Monitoring: Qualitative records do not need to be submitted to DEMLR, however, the
records must be kept on file at the facility for a period of five years. Begin monitoring twice years as
required for permit compliance.
This site has several discrepancies with permit requirements that need be addressed immediately.
a. Provide an updated SPPP (Stormwater Prevention Protection Plan). Your outfalls are 1, 2, 4 & 9 of
those listed in your plan. 3, 5, 6, 7 & 8 currently listed on the plan are not outfalls and do not
require monitoring. The small ditch near 3 should be added as an outfall and testing done at that
location. Keep SPPP plan, permit, monitoring records and spill records together in 3-ring binder.
b. Clear a path to each outfall so monitoring can be accomplished and samples collected.
c. Provide Analytical and Qualitative monitoring twice yearly as per Part II, section C. Take pH reading
at the time of collection. Keep all records in binder with SPPP for 5 years.
d. Document all spills and corrective action performed to minimize environmental impact.
e. Remove sawdust near outfall 4 and near banks. Create berms to minimize sawdust accumulating on
adjoining properties.
This site may be re -inspected in January or February of 2016 to verify improvements and check compliance

Inspection Summary:
Site inspection was conducted on August 13, 2015 at 9:35am by Sue White and Glen White of the NCDENR .
Winston-Salem office. Tom Farthing, facility Director of Environmental Health and Safety and, Ricky Miller of the facility
guided the inspectors through the facility and to all outfall locations. The site was keeping up it qualitative monitoring but
no analytical monitoring was being done. Analytical is required at outfall locations. Vehicle mainenance being conducted
onsite. If excess of 55 Gal of motor oil is used per month, analytical minitoring will be required at the mainenance shop as
well.
Clear path to all outfall Locations. Only 1, 2, 4 & 9 are outfalls. Ditch near discharge point 3 should be added as outfall 3.
Monitoring required at those locations. Once areas near outfalls have been cleared of sawdust debris, add a berm where
applicable to minimize sawdust collecting on adjoining properties_
Site may be revisited in January or February of 2016 to for a compliance check once owner has had time to implement
changes.

BILL OF SALE, ASSIGNMENT AND ASSUMPTION AGREEMENT
:;I.S BILL OF SALE, ASSIGNMENT AND ASSUMPTION AGREEMENT (the "Bill
of Sale") is given as of March 8, 2013 (the "Effective Date" or the "Consummation Date"), by
Miller Brothers' Lumber Co., Inc. (a/k/a Miller Brothers Lumber Co., Inc.), a North Carolina
corporation ("Seller"), to Independence Lumber, Inc., a Virginia corporation
WITNESSETH:
WHEREAS, the Seller is the debtor, debtor -in -possession and reorganized debtor in
chapter 11 case no. B-11-51405 (the "Case") in the United States Bankruptcy Court for the
Middle District of North Carolina Winston-Salem Division (the "Court"); and
WHEREAS, after notice and hearing, the Court confirmed the Plan of Reorganization For
Miller Brothers Lumber Co., Inc. Proposed By Independence Lumber, Inc. dated December 4,
2012, as amended (the "Independence Plan"), by order entered in the Case on January 31, 2013
(the "Confirmation Order," a copy of which is attached hereto as Exhibit A), and
WHEREAS, pursuant to the Confirmation Order and the Independence Plan, the Seller
shall sell, assign, transfer, convey and deliver to the Buyer all right, title and interest in and to the
Acquired Assets, as defined in Section 2.3 of the Independence Plan and described in Section 3.2
of the Independence Plan, including, without limitation, the Acquired Assets set forth on Exhibit
B attached hereto, but specifically excluding the assets of the Seller enumerated in Sections 3.3
and 3.4 of the Independence Plan (the "Excluded Assets"); and
WHEREAS, for purposes of this Bill of Sale, the term Acquired Assets excludes the real
property of the Seller referred to in Section 3.2 of the Independence Plan, which is being sold,
assigned, transferred, conveyed and delivered to the Buyer by deed of even date herewith; and
WHEREAS, pursuant to the Confirmation Order and the Independence Plan, the Seller
shall assume and pay only those liabilities and obligations of the Seller specifically enumerated
in Section 3.7 of the Independence Plan (the "Assumed Liabilities"), but specifically excluding
all other liabilities and obligations of the Seiler, including, without limitation, the liabilities and
obligations of the Seller listed in Section 3.8 of the Independence flan (the "Excluded
Liabilities").
NOW, THEREFORE, in consideration of the mutual benefits and the respective
covenants and agreements set forth in this Bill of Sale, the Confirmation Order and the
Independence Plan, and for other good and valuable consideration, the receipt, adequacy and
legal sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
1. Transfer of Acquired Assets. Effective as of 11:59:51) p.m. on the Effective Date
hereof, for the payment of $2,970,254.44 and the assumption of the Assumed Liabilities by the
Seller in accordance with the Court Order and the Independence Plan, and for other good and
valuable consideration, the receipt, adequacy and legal sufficiency of which are hereby
acknowledged, Seller does hereby grant, bargain, sell, transfer, convey, assign, alienate, remise,
release and deliver to Buyer and its successors and assigns, and Buyer does hereby accept, all of
Seller's right, title and interest in, to and under all of the Acquired Assets, together with

possession or constructive possession thereof. The Acquired Assets do not include the Excluded
Assets.
2. Assumption of Liabilities. Effective as of 11:59:59 p.m. on the date hereof, Seller
hereby assigns, sells, transfers and sets out to Buyer all of Seller's burdens, obligations and
liabilities in connection with each of the Assumed Liabihties, and Buyer hereby accepts said
assignment and agrees to observe and perform all of the duties, terms, obligations, provisions
and covenants, and to pay and discharge all of the obligations with respect to the Assumed
Liabilities. Buyer does not hereby assume any of the Excluded Liabilities.
3. Title To Acquired Assets. Seller hereby warrants that (a) Seller has good and
marketable title to, and is the outright owner of all of the Acquired Assets, (b) Seller has good
and transferable leasehold or other possessory interests in the Acquired Assets leased or licensed
by it, and (c) the Acquired Assets are hereby transferred by the Seller to the Buyer free and clear
of all liens, claims and other interests pursuant to sections 363(f) and 1123(a)(5)(B) of Title 11 of
the United States Code, as amended from time to time.
4. Further Assurances. Seller, for itself and its successors and assigns, does hereby
covenant with Buyer, and its successors and assigns, that it will perform, execute and deliver, or
,M cause to be perfor-med, executed and delivered, all such further acts, transfers, assig means
and conveyances and assurances, and will take such further action, in order to assure, convey and
confirm unto Buyer, and its successors and assigns, the Acquired Assets hereby sold, conveyed,
assigned, transferred and delivered as Buyer and its successors and assigns shall reasonably
request.
5. Governing Law. This Bill of Sale shall be governed by and construed and
enforced in accordance with the laws of the State of North Carolina without giving effect to the
choice -of -law provisions thereof.
6. Counterparts, Facsimiles. This Bill of Sale may be executed and delivered
simultaneously and by manual, facsimile or electronic means and in any number of counterparts,
each of which shall be deemed an original, but all of which together shall constitute one and the
same instrument.

Dear Permittee:
In response to your renewal application for continued coverage under stormwater General Permit NCG210000 the Division of
Water Quality (DWQ) is forwarding herewith the reissued stormwater General Permit. This permit has been reissued pursuant to
the requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement between the state of North
Carolina and the U.S. Environmental Protection Agency, dated October 15, 2007.
The following information is included with your permit package:
• A new Certificate of Coverage
• A copy of stormwater General Stormwater Permit NCG210000
• A copy of the Technical Bulletin for the General Permit
• Five copies of the Discharge Monitoring Report (DMR) Form
• Five copies of the Qualitative Monitoring Report Form
The General Permit authorizes discharges of stormwater only, and it specifies your obligations with respect to stormwater
discharge controls, management, monitoring, and record keeping. Please review the new permit to familiarize yourself with all
the changes in the reissued permit.
The more significant changes to the General Permit include the following:
• Permit cover page, second paragraph — The General Permit now may cover activities that DWQ determines to be similar in
either the process, or in the exposed materials, to the Timber Products Industry.
• Part I Section A — A new provision that facilities draining to 303(d) listed waters, or in watersheds with an approved TMDL,
may not be eligible for continued coverage at the next renewal of the General Permit.
• Part I Section B second paragraph — A new clarification that the permit does not authorize discharges that DWQ determines

• Part II Section A — The required contents of the Stormwater Pollution Prevention Plan have been expanded and clarified.
• Part 11 Section B Table 1 — A new requirement to sample stormwater discharges twice per year for those facilities with
exposed piles of certain materials remaining on site longer than seven days.
• Part II Section B Tables 2 and 3 and following — For permittees with exposed piles, there are new provisions requiring the
permittee to execute Tier One and Tier Two response actions, based on the first benchmark exceedence (Tier One) and the
second consecutive benchmark exceedence (Tier Two). Tier Two requires that the permittee institute monthly monitoring
instead of twice -per -year monitoring, until three consecutive monitoring events show no benchmark exceedences.
• Part II Section B — For permittees with exposed piles, a new provision that four exceedences of any particular benchmark
will trigger increased DWQ involvement in the permittee's stormwater management and control actions. DWQ may direct
the permittee to apply for an individual permit, or may direct the implementation or installation of specific stormwater control
measures.
• Part 11 Section C — Clarification that under the qualitative monitoring provisions of the permit, the permittee is obligated to
respond to repeated observations of stormwater pollution. DWQ may impose additional stormwater management
requirements if the permittee is non -responsive, or if the responses are ineffective.

Bill Overbey to perform a General Stormwater Permit Inspection at the Miller Brothers
Lumber facility located off Elkin Wildlife Road. This inspection evaluated the five (5) areas as
designated on the attached inspection form. Observations from each area are addressed
below:
1. Permit
Miller Brothers Lumber Company holds Certificate of Coverage # NCG210306 for the
discharge of stormwater from the facility. The General Permit became effective May 1, 2003
and expires April 30, 2008.
2. Records/Reports
Part II, Section A of the permit requires the development of a Stormwater .Pollution
Prevention Plan (SPPP). A copy of the SPPP was available for review during the inspection.
As was discussed, the site map of the facility needs to be updated to show the new dry kiln
and planning operation across the road.
3. Facility Site Review
Observations at the facility did not reveal any environmental concerns. However, the
sawdust and wood debris around outfall # 4 (near the sawmill) should be cleaned up to
prevent the material from reaching surface waters during rainfall events.
4. Effluent/Receiving Waters
Stormwater from the sawmill facility reaches Turkey Creek and stormwater from the
kiln/planning operation flows to Willowbrook Lake, both Class "C" waters in the Yadkin -Pee
Dee River Basin.

5. Monitoring Program
Part 11, Section B of the permit requires that semi-annual qualitative (visual) monitoring be
performed and documented once in the spring (April - June) and once in the fall (September
— November). A review of facility files found that Miller Brothers Lumber Company was only
performing monitoring yearly in the spring. The fall monitoring event was not being
performed. Please make sure that the visual monitoring is conducted semi-annually as
required.
The analytical monitoring for on -site vehicle maintenance listed in Section C of the permit is
not required if the facility does not use more that 55 gallons of new motor oil per month when
averaged over the calendar year.
You are requested to respond, in writing, to this office on or before October 26, 2007
adressing the above deficiencies. Specifically, please provide t) a copy of the updated site
map, 2) a copy of the visual monitoring form for this fall, 3) confirm that the sawdust debris
around outfall # 4 has been removed and, 4) provide documentation showing that monthly
motor oil usage is < 55 gallons per month when averaged over the calendar year.
