ASSIGNMENT OF JEFFERSON ASPHALT PLANT LEASE
THIS AGREEMENT, entered into as of the 31s1 day of March, 2012, by and between
ADAMS CONSTRUCTION COMPANY, a Virginia corporation ("Assignor") and
CARDINAL QUARRIES, LLC, a Virginia limited liability company ("Assignee"), provides:
PRIME LEASE
A. General. James R. Vannoy & Sons Construction Company, Inc. and Cardinal
Paving, LLC entered into a Lease dated October 16, 2003 (the "Lease"), whereby Cardinal
Paving, LLC ]eased from Landlord the Leased Premises (as defined in the Lease) located at 180
Andy Fowler Road, Jefferson, North Carolina 28640. Cardinal Paving, LLC in turn assigned the
Lease to Assignor by Agreement dated January 1, 2004, Assignor now desires to transfer the
Lease and leasehold improvements to Assignee. A copy of the Lease has been furnished to
Assignee and is incorporated herein by reference.
B. Assig=ent. For value received, effective April 1, 2012 (the "Effective Date"),
Assignor hereby grants, conveys, transfers and assigns unto Assignee all its right, title and
interest in the leasehold estate, all rights and benefits under the Lease and all leasehold
improvements, except Assignor retains title to the existing asphalt plant.
C. Assumption. Assignee hereby assumes and agrees to keep, observe and perform
all of the obligations of the Lessee arising from and after the Effective Date, specifically
C including, without limitation, the payment of all rent or other charges or payments to accrue or
become due. Assignee agrees that Assignor, and its subtenant, may use the existing asphalt plant
until December 31, 2012, after which Assignor agrees at its cost and expense to promptly
remove the existing asphalt plant.
IN WITNESS WHEREOF, the parties have caused this Agreement to be executed on
their behalf as of the day and year first above written.

On October 2, 2008 a Compliance Stormwater Inspection was performed by George Smith of this
office. Mr. Tom Sproule and Mr. R.D. Greer were present for the inspection.
This report evaluates four (4) areas, and the observations and comments during the inspection
are addressed below:
Permit
The permit identifies stormwater discharges associated with Asphalt Paving Mixtures and Blocks.
Records & Reports
The following permit requirements were evaluated:
Stormwater Pollution Prevention Plan (SPPP) per Part 11, Section A is required. Please insure that a
Site Plan is developed before the next inspection cycle during October - December of 2009.
Analytical Monitoring per Part 11, Section B is not required since all stormwater is controlled by a
retention pond, and it does not discharge.
Qualitative monitoring per Part 1.1, Section B must be performed even if the retention pond does not
discharge. Per Table 1, footnote 2-please perform the qualtitative as required twice ate.
On -site vehicle maintenance is not present on the site. Analytical monitoring per Part II, Section D is
not required.

Facility Site Review
A general overview of the grounds showed that site stormwater from the processing area drains to
the retention pond.
The retention pond has greater than 2-feet of freeboard, and did not appear to overflow at anytime.
There was a location that had a container of liquid that is used to keep the asphalt from sticking in
the trucks. -This storage location had a stormwater discharge. This area needs to be bermed or
diverted to the retention pond otherwise analytical monitoring will be required for this location.
Self-Monitoring,Program
The qualtitative monitoring at the retention pond must be performed semi-annually.
Action Items
✓ The SPPP in Dart 11, Section A will need to be addressed more thoroughly.
✓ Qualitative monitoring will need to be performed at the retention pond, semi-annually.
✓ Address the container storage area that discharges stormwater.
The stormwater inspection is considered satisfactory. Please address the above mentioned action
items as described in this report prior to the next stormwater inspection during 2009. If you have any

Your facility is currently covered for Stormwater discharge under General Permit NCG 160000. This permit will
expire on July 31, 2004. North Carolina General Statute 143.215.1(c) requires that an application for permit
coverage renewal be filed in a timely manner. A prior notice of renewal was sent for this site on December I,
2003. To date, no response has been received by the Division of Water Quality (DWQ). In order to assure your
continued coverage under the general. permit, you must apply to DWQ for renewal of your pert -nit coverage.
Enclosed you will find a general permit renewal application form. The application must be completed and returned
by April 19, 2004 in order to assure continued coverage under the general permit.
Failure to request renewal by April 9, 2004 can result in a civil assessment of at least $250.00. Larger penalties
may be assessed depending on the delinquency of the request. Discharge ol-stormwater from your facility without
coverage under a valid stormwater NPDES permit would constitute a violation of NCGS 143-215.1 and could
result in assessments of civil penalties of up to $10,000 per day.

This permit does not affect the legal requirement to obtain other permits which may be required by the
Division of Water Quality, the Division of Land Resources, Coastal Area Management Act, or any other Federal or

In response to your renewal application for continued coverage under general permit NCG160000, the Division of
Water Quality (DWQ) is forwarding herewith the reissued stormwater general permit. This permit is reissued
pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement
between the state of North Carolina and the U.S. Environmental Protection Agency, dated December 6, 1983,
The following information is included with your permit package:
* A copy of general stormwater permit NCG160000
* A Stormwater Pollution Prevention Plan (SPPP) Certification Form. Completion of this form is required to
certify that you have developed and implemented the SPPP as per the conditions of the permit. This form
must be completed and returned to the Division within 30 days of receipt of this letter.
DO NOT SEND the SPPP with the signed form.
* Five copies of the Analytical Monitoring form and five copies of the Qualitative Monitoring form
* A copy of a Technical Bulletin for the general permit which outlines changes in the permit, key requirements,
and addresses frequently asked questions
* A Certificate of Coverage
Your coverage under this general permit is not transferable except after notice to DWQ. The Division may require
modification or revocation and reissuance of the Certificate of Coverage. This permit does not affect the legal
requirements to obtain other permits which may be required by DENR or relieve the permittee from responsibility
for compliance with any other applicable federal, state, or local law, rule, standard, ordinance, order, judgment, or
decree.

In accordance with your application for discharge permit received on December 12, 1994, we are
forwarding herewith the subject certificate of coverage to discharge under the subject state - NPDES general
permit. This permit is issued pursuant to the requirements of North Carolina General Statute 143-215.1 and
the Memorandum of Agreement between North Carolina and the US Environmental Protection agency dated
December 6, 1983.
If any parts, measurement frequencies or sampling requirements contained in this permit are
unacceptable to you, you have the right to request an individual permit by submitting an individual permit
application. Unless such demand is made, this certificate of coverage shall be final and binding.
Please take notice that this certificate of coverage is not transferable except after notice to the Division
of Environmental Management. The Division of Environmental Management may require modification or
revocation and reissuance of the certificate of coverage.
This permit does not affect the legal requirements to obtain other permits which may be required by the
Division of Environmental Management or permits required by the Division of Land Resources, Coastal
Area Management Act or any other Federal or Local governmental permit that may be required.
