On August 4, 2016 Glen White of the North Carolina Department of Environmental Quality;
Department of Energy, Minerals, and Land Resources met with you and Neil Huffman at S.
Swing Road at your request to assist with determining a new location where stormwater
monitoring can be conducted in compliance with your stormwater permit. This facility has one
monitored outfall. Currently, monitoring is performed at the property line below the water
quality pond and near S. Swing Road. The sampling point is in a hole in a wooded area. It does
not appear to be a safe location to conduct required monitoring and samples collected at this
location are likely to be contaminated by stormwater flowing from Swing Rd during storm
events.
Your request is to monitor at the ponds concrete spillway. Monitoring at this location would
likely eliminate street contamination and appears to be a much safer location for the person
conducting monitoring. We don't feel the sample will be negatively impacted by this change.
Therefore, your request to relocate your Outfall monitoring location is approved. Please update
your SPPP siteplan to reflect this change. If you have questions or need additional assistance

Dear Mr. Davis:
On June 10, 2015 the City of Greensboro Stormwater Management Division completed an
industrial compliance inspection of Procter & Gamble. Local regulations permit an inspection of
industrial facilities under authority granted by City of Greensboro Code of Ordinance Chapter
30, Article 12, Section 7.1 (C-5). This inspection consisted of two parts: a review of the facility
files/records and an on -site facility inspection.
The inspection was performed by Debbie Shoff ner and McKenzie Smith, and the following
deficiencies/observations were noted during the inspection.
Stormwater Pollution Prevention Plan/Spill Plan Review
Site Maps and SWP3
♦ Add drains and other stormwater features to map.
Spill Prevention and Response Plan
♦ Place spill kits close to loading docks, especially those with nearby drains.
Monitoring
♦ Resume analytical monitoring as required by this permit, as this has not been
performed since 2012.
Employee Training
♦ No deficiencies observed.
Site Inspection
Preventative Maintenance/Good Housekeeping
♦ Move dumpster to a location that poses less risk to the storm drain. Also consider
replacing the rusting dumpster to eliminate the exposure to precipitation.

A request to transfer a permit will not be approved by the Division of Water Quality (DWQ) unless all
of the applicable required items listed below are included with the submittal. Failure to provide the
listed items may result in processing delays or denial of the transfer.
1. This completed and signed form. This certification must be completed and signed by both the
current permit holder and the new applicant if this is a change of ownership.
2. Legal documentation of the property transfer to a new owner.
3. A copy of any recorded deed restrictions, covenants, or easements, if required by the permit.
4. The designer's certification (DWQ Engineer and Designer Certification Forms are available from
each DWQ Regional office), if required by the permit and if not already submitted to DWQ.
5. If the proposed permittee is a firm, partnership, association, institution, corporation, limited liability
company, or other corporate entity, provide documentation showing the authority of the named
representative to act on behalf of the proposed permittee.
6. The $40.00 processing fee. If this is an initial transfer from the original permittee the processing
fee is not required. Subsequent ownership transfers will require the $40.00 processing fee.

GENERAL ASSIGNMENT AND BILL OF SALE
This GENERAL ASSIGNMENT AND BILL OF SALE (this "Bill of Sale") is made
and delivered as of the 1st day of July, 2014 by Teva Pharmaceuticals USA, Inc., a
Delaware corporation (the "Seller"), in favor of The Procter & Gamble Manufacturing
Company, an Ohio corporation (the "Purchaser").
RECITALS
A. This Bill of Sale is delivered pursuant to a Transaction Agreement by and
between The Procter & Gamble Company, an Ohio corporation (" P&G"), and Seller,
dated April 1, 2014.
B. Under the terms of the Transaction Agreement, Seller agreed to, or to
cause the applicable member of the Teva Group to, assign, transfer, deliver and convey
to P&G (or P&G's designated Affiliate) all right, title and interest of every kind and
nature in, to and under the Purchased Assets.
C. P&G has designated the Purchaser to acquire and accept from the
applicable member of the Teva Group, all of such member's right, title and interest in, to
and under the Purchased Assets.
D. Seller is delivering this Bill of Sale to consummate the assignment,
transfer, delivery and conveyance of the Purchased Assets to Purchaser.
Accordingly, Seller and Purchaser agree as follows:
1. Defined Terms. Capitalized terms used herein and not defined have the
meanings given to such terms in the Transaction Agreement.
2. Bill of Sale. Seller irrevocably assigns, transfers, delivers and conveys to
Purchaser all of its right, title and interest of every kind and nature in, to and under the
Purchased Assets, free and clear of all Liens, other than Permitted Liens; and Seller for
itself and for its successors and assigns, warrants and defends the transfer of said
property, rights, business and assets unto the Purchaser and its successors and
assigns, against all and every Persons whomsoever.
3. Excluded Assets. The Purchased Assets do not include any Excluded
Assets.
4. No Waiver_ or Modification; Subiect to Transaction Agreement.
Nothing contained in this Bill of Sale shall be (a) construed as a waiver of or limitation
upon any of the rights or remedies of the parties hereto as set forth in, or arising in
connection with, the Transaction Agreement, or any instrument or document delivered
pursuant to the Transaction Agreement; (b) construed to create any broader obligations

of the parties hereto than those contemplated in the Transaction Agreement. If there is
any ambiguity or conflict between the terms hereof and the Transaction Agreement, the
terms of the Transaction Agreement shall govern and control. This Bill of Sale is subject
to all of the representations, warranties, covenants, exclusions and indemnities set forth
in the Transaction Agreement, all of which are incorporated herein by reference.
5. Further Assurances. From and after the date hereof, each party hereto
shall take, or cause to be taken, such actions, or execute and deliver, or cause to be
executed and delivered, to the other party such other agreements or instruments, in
each case as the other party may reasonably request, in order to further evidence the
sale and transfer of the Purchased Assets in accordance with the terms of the
Transaction Agreement.
6. Headings. The descriptive headings contained in this Bill of Sale are
inserted for convenience of reference only and are not intended to be a substantive part
of or to affect the meaning or interpretation of this Bill of Sale.
7. Governing Law. The validity, interpretation and enforcement of this Bill of
Sale will be governed by the Laws of the Skate of Delaware, other than any choice of
Law provisions thereof that would cause the Laws of another state to apply.
8. Counterparts; Electronic Signatures. This Bill of Sale may be executed
in multiple counterparts (any one of which need not contain the signatures of more than
one party), and counterparts may be exchanged by electronic transmission, each of
which will be deemed to be an original but all of which taken together will constitute one
and the same instrument.

In response to your renewal application for continued coverage under stormwater General Permit NCGO60000
the Division of Water Quality (DWQ) is forwarding herewith the reissued General Permit. This permit is
reissued pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of
Agreement between the state of North Carolina and the U.S. Environmental Protection Agency, dated October
1S, 2007 (or as subsequently amended).
The following information is included with your permit package:
• A new Certificate of Coverage (COC)
• A copy of General Permit NCG060000
• A copy of the Technical Bulletin for the General Permit
• Two copies of the Discharge Monitoring Report (DMR) Form
• Two copies of the Qualitative Monitoring Report Form
The General Permit authorizes discharges of stormwater, and it specifies your obligations for discharge
controls, management, monitoring, and record keeping. Please review the new permit to familiarize yourself
with all the changes in the reissued permit. Your facility has six (6) months from the time of receipt of the
permit to update your current SPPP to reflect all new permit requirements.
The first sample period of your permit begins January 1, 2013. Your facility must sample a "measureable
storm event" beginning during the periods beginning January 1 and July 1 of every year (or, if applicable,
report "No Flow," as outlined in Part III, Section E). Also, please note that Tier 3 Actions in Part II of your
permit are triggered by benchmark exceedances on four occasions beginning on the effective date of this
permit and do not count prior exceedances.
The more significant changes in the General Permit since your last COC was issued are noted either in the
Draft Permit Fact Sheet that accompanied the public notice (http://portal.ncdenr.org/web/wq/ws/su/current-
notices), or in the Response to Comments / Summary of Changes and Technical Bulletin documents that are
posted on the Stormwater Permitting Unit's website with the new General Permit. Please visit

Some of the changes include:
Part II:
• Section A: The Stormwater Pollution Prevention Plan (SPPP) section, if applicable, has been updated
to the most current, language of our permits. Additional conditions for specific industry sectors have
been added to the SPPP requirements in some cases.
• Sections B, C: Failure to perform analytical stormwater monitoring may result in the Division requiring
that the permittee begin a monthly sampling scheme.
• Sections B, C. A lower TSS benchmark of 50 mg/I for HOW, ORW, PNA and Tr Waters applies to these
more sensitive waters.
• Sections B, C: The monitoring parameter Oil & Grease (O&G) has been replaced by the parameter
Total Petroleum Hydrocarbons (TPH) for vehicle maintenance areas, and in some cases, other
analytical monitoring requirements.
• Sections B, C, D: Inability to sample due to adverse weather must be recorded in the SPPP, or in
separate on -site records if your General Permit does not require an SPPP. Adverse weather is defined
in the "Definitions" section of the permit.
• Sections B, C: The term "Representative Storm Event" has been replaced by "Measurable Storm
Event." A measurable storm event is defined in the permit.
• Section D: If the permittee fails to respond effectively to problems identified by qualitative
monitoring, DWQ may require the permittee to perform corrective action.
Please review Parts III and IV to understand the Standard Conditions of your new NPDES General Permit,
including Compliance and Liability, Reporting, Monitoring and Records requirements; Operation and
Maintenance obligations; and Definitions. Please note that all samples analyzed in accordance with the terms
of this permit must be submitted to the Division on Discharge Monitoring Report (DMR) forms available on
the Stormwater Permitting Unit's website above. DMR forms must be delivered to the Division no later than
30 days from the date the facility receives the sampling results from the laboratory. Also note that existing
permittees do not need to submit a renewal request prior to expiration unless directed by the Division.
Your coverage under the General Permit is transferable only through the specific action of DWQ. This permit
does not affect the legal requirements to obtain other permits which may be required by DENR, nor does it
relieve the permittee from responsibility for compliance with any other applicable federal, state, or local law,
rule, standard, ordinance, order, judgment, or decree. If you have any questions regarding this permit

On April 12, 2012, Mike Mickey of this office met with you to perform a NPDES Stormwater
Permit Inspection of the Teva Pharmaceuticals operation on Swing Road. The facility was found to be
compliant with the stormwater permit. This inspection evaluated the five (5) areas as designated on the
attached inspection form. Observations from each area are addressed below:
1. Permit
At present, Proctor & Gamble still holds NPDES Stormwater Permit No. NCG060264 for the discharge of
stormwater from the facility. The permit expires on October 31, 2012. Teva has already submitted the
necessary paperwork to the Division for renewal and change of ownership of the permit.
2. Records/Reports
Part II, Section A of the permit requires the development of a Stormwater Pollution Prevention Plan
(SPPP). A copy of the SPPP was available for review during the inspection. This plan was found to be
thorough and complete. The plan was prepared by Pyramid Environmental in 2009 for Procter & Gamble.
Item 3(7) of Section A of the permit requires that the SPPP'be reviewed and updated on an annual basis.
It is our understanding that Teva is in the process of updating the plan.
3. Facility Site Review
A tour of the property found the site to be clean and well managed. Observations did not reveal any
problems or concerns. The ethanol and nitric acid/sodium hydroxide unloading areas are set up to route
any spills to the industrial pretreatment system. There are no secondary containment structures that
require the release of accumulated stormwater.

4. Effluent/Receiving Waters
Stormwater from the site is routed to a detention pond that discharges to South Buffalo Creek "WS-V;
NSW" waters in the Cape Fear River Basin. Observations of the outfall did not reveal any concerns.
Please note that the semi-annual stormwater sampling should only occur when stormwater is actually
leaving the retention pond. If the pond level is down during a rainfall event, simply note in your files that
the spillway was dry and samples could not be collected.
5. Monitoring Program
Part 11, Section B of the permit requires the collection of semi-annual analytical samples of the stormwater
discharge during a representative storm event. A review of the facility files found that this monitoring
was being performing as required. The last two sampling events occurred on November 23, 2011 and
June 11, 2011. The results for all parameters were below their respective benchmark levels.
Part II, Section C of the permit requires that qualitative (visual) monitoring be performed and documented
semi-annually at the same time that the analytical monitoring is performed. The file review showed that
this monitoring had not been performed by Procter & Gamble since 2009. Please make sure that Teva
performs this monitoring semi-annually as required.
The analytical monitoring for on -site vehicle maintenance referenced in Part 11, Section D of the permit is
not required since the facility uses less than 55 gallons of new motor oil when averaged over the calendar
year.

renewal information to the Division. The stormwater permit should be reissued to Teva
in the near future.

Comment: Stormwater sampling occurs at the outfall from the retention pond spillway
located at the SE corner of the site along Swing Road. Stormwater from the retention
pond discharges to the headwaters of South Buffalo Creek, class "WS-V; NSW" waters
in the Cape Fear River Basin. Additionally, the back SW section of the property drains
to the headwaters of Long Branch, Class "WS-IV:*" waters in the Cape Fear River
Basin. An 10/18/06 inspection letter from this office noted that the stormwater discharge
to Long Branch occurs by "sheet flow" and is therefore not a point source discharge and
does not require analytical and qualitative monitoring.
Observations revealled that the Teva site is clean and well managed. The ethanol and
nitric acid/sodium hydroxide unloading areas are set up to route any spills to the
wastewater pretreatment system. No environmental concerns or problems were noted.

A Compliance Evaluation Inspection was performed on the Procter & Gamble, Inc. stormwater
facilities on March a, 2010 by Corey Basinger of the Winston-Salem Regional Office. Ms. Myra
Gore was present during the inspections. The inspections consisted of two parts: an on -site
inspection of the stormwater facilities and an in -office file review. The following are the findings
from the subject inspections.
I. Permit
'The NPDES permits for Procter & Gamble, Inc. (Swing Road & Browns Summit) became effective
on November 1, 2007 and expires on October 31, 2012.
II. Records/Reports
A review of the laboratory reports and Discharge Monitoring Reports (DMRs) revealed no
discrepancy between the generated data and the data submitted to DWQ. A copy of the laboratory
data is kept on file. All applicable data is collected as per the NPDES permit requirements. All
required documentation is well organized and comprehensive,

All outfalls noted in the Stormwater Plan were observed during the inspection. At the Swing Road
facility, the emergency spillway from the stormwater pond showed evidence of eroding under
the concrete structure. The emergency spillway concrete structure should be
repaired/improved such that this erosion does not continue. At the Browns Summit facility,
there was a 500 gallon above ground storage tank for 92 Diesel Fuel (MDO Drop Lot). The
secondary containment structure surrounding the fuel tank had a cracked and leaking
drainpipe. This drainpipe must be repaired immediately. It is important to remember that
any drainpipe from a secondary containment structure must have a locking mechanism.
IV. Effluent & Receiving Waters
Procter & Gamble, Inc. (Swing Rd) discharges stormwater to South Buffalo Creek and via sheet
flow to Long Branch (Cape Fear River Basin). Procter & Gamble, Inc. (Browns Summit)
discharges stormwater to and unnamed tributary to Reedy Fork Creek (Cape Fear River Basin).

A review of the discharge monitoring reports (DMRs) showed that Procter & Gamble, Inc. was in
compliance with the self -monitoring requirements contained in the NPDES General Permit.

A Compliance Evaluation Inspection was performed on -the -Procter & Gamble, Inc. stormwater
facility on October 18, 2006 by Corey Basinger of the Winston-Salem Regional Office. In addition
to yourself, Myra Gore (P&G), Virginia Spillman (City of Greensboro) and Erik Glover (City of
Greensboro) were present during the inspection. The inspection consisted of two parts: an on -site
inspection of the stormwater facilities and an in -office file review. The following are the findings
from the subject inspection.
I. Permit
The NPDES permit for Procter & Gamble, Inc. (Swing Road) became effective on January 31, 2003•
and expires on August 31, 2007.
II. _Records/Reports
A review of the laboratory reports and Discharge Monitoring Reports (DMRs) revealed no
discrepancy between the generated data and the data submitted to DWQ. A copy of the laboratory
data is kept on file. All applicable data is collected as per the NPDES permit requirements. All
required documentation is well organized and comprehensive.
III. Facility Site Review
All outfalls noted in the Stormwater Plan were observed during the inspection. Those labeled
Outfall 1 and Outfall 2 should be combined into a single outfall. These two outfalls discharge into
the stormwater retention pond. It is important to note that stormwater runoff from Swing Road
discharges into this pond. This Office recommends that samples taken from this pond should be
taken in such a manner as to prevent cross contamination from the Swing Road discharge.
The outfall labeled Outfall 3 can be eliminated from the Stormwater Plan. This is not considered an
outfall due to the fact that the runoff draining to this area is "sheet flow" and therefore not a point
source discharge. It will be necessary to update your Stormwater Plan and all maps to reflect tl�e

VI. Other
The Stormwater Pollution Prevention Plan (SPPP) will require modification as result of the outfall
changes mentioned above. Please be sure to update all maps, verbage, and monitoring forms to
reflect these changes.
Permit No. NCG500066' is an inactive permit formerly issued for a non -contact cooling water
and/or boiler blowdovrn discharge. This wastewater is now discharged to the City of Greensboro
sanitary sewer system. Reference to this permit can be removed from the Stormwater Plan.
