date, Acquisition Sub, Inc., a Minnesota corporation ("Merger Sub"), will merge with and into`

of January 25, 2015, by and among Post Holdings, Inc, MOM Brands Company, Merger Sub,

On March 7, 2013, Jenny Graznak of this office performed a Compliance Evaluation
Inspection at Mom Brands located at 2525 Bank Street in Asheboro, Randolph County. This facility
holds General Stormwater Permit No. NCG060257 under the National Pollutant Discharge
Elimination System (NPDES) to discharge Stormwater from manufacturing activities classified as
Food and Kindred Products. Specifically, Mom Brands manufactures cereal and oatmeal products.
You were present for the inspection. This type of inspection consists of two basic parts: an in -office
review of facility files and self -monitoring data and an on -site inspection of the facility's discharge.
These inspections evaluated five (5) areas, and observations from each area are addressed below:
1. Permit
The General Permit was reissued December 1, 2012 and expires October 31, 2017.
2. Records/Reports
As required by the permit, the facility has a Stormwater Pollution Prevention Plan (SPPP). All
sections of the SPPP were complete. The last revision occurred in 2012. Employee Training
occurred on June 28, 2012.
3. Facility Site Review
The site appeared to be clean and well managed on the day of the inspection. The facility has
loading and unloading areas, but no petroleum storage on site. There is a large tank outside which is
used to adjust the pH of process wastewater before its contents are released to Asheboro POTW.
The site also has a trash compactor for refuse. No concerns were noted during the facility site
review.
4. Effluent/Receiving Waters
Stormwater from the facility is discharged from two outfalls. One is located in front of the facility
along Bank Street (from the stormwater retention pond). The other outfall is near the entrance to the
facility. A third outfall is listed in the SPPP; however this outfall does not discharge. Stormwater from
the outfalls drains to Haskett Creek, a Class C stream in the Cape Fear River Basin. .

5. Self -Monitoring Program ,
The stormwater permit requires semi-annual - analytical and qualitative monitoring at stormwater
outfalls. On -site vehicle maintenance monitoring requirements at the site are waived, since these
activities are not performed on site. An on -site review of the monitoring data during the inspection
showed that all parameters were evaluated per the specifications of the permit. The last monitoring
events occurred on November 13, 2012.

In response to your renewal application for continued coverage under stormwater General Permit NCG060000
the Division of Water Quality (DWQ) is forwarding herewith the reissued General Permit. This permit is
reissued pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of
Agreement between the state of North Carolina and the U.S. Environmental Protection Agency, dated October
15, 2007 (or as subsequently amended).
The following information is included with your permit package:
• A new Certificate of Coverage (COC)
• A copy of General Permit NCG060000
• A copy of the Technical Bulletin for the General Permit
• Two copies of the Discharge Monitoring Report (DMR) Form
• Two copies of the Qualitative Monitoring Report Form
The General Permit authorizes discharges of stormwater, and it specifies your obligations for discharge
controls, management, monitoring, and record keeping. Please review the new permit to familiarize yourself
with all the changes in the reissued permit. Your facility has six (6) months from the time of receipt of the
permit to update your current SPPP to reflect all new permit requirements.
The first sample period of your permit begins January 1, 2013. Your facility must sample a "measureable
storm event" beginning during the periods beginning January 1 and July 1 of every year (or, if applicable,
report "No Flow," as outlined in Part III, Section E). Also, please note that Tier 3 Actions in Part II of your
permit are triggered by benchmark exceedances on four occasions beginning on the effective date of this
permit and do not count prior exceedances.

Draft Permit Fact Sheet that accompanied the public notice (http://portal.ncdenr.org/web/wq/ws/su/current-

Some of the changes include:
Part II:
• Section A: The Stormwater Pollution Prevention Plan (SPPP) section, if applicable, has been updated
to the most current language of our permits. Additional conditions for specific industry sectors have
been added to the SPPP requirements in some cases.
• Sections B, C: Failure to perform analytical stormwater monitoring may result in the Division requiring
that the permittee begin a monthly sampling scheme.
• Sections B, C: A lower TSS benchmark of 50 mg/I for HQW, ORW, PNA and Tr Waters applies to these
more sensitive waters.

of this permit must be submitted to the Division on Discharge Monitoring Report (DMR) forms available on
the Stormwater Permitting Unit's website above. DMR forms must be delivered to the Division no later than
30 days from the date the facility receives the sampling results from the laboratory. Also note that existing
permittees do not need to submit a renewal request prior to expiration unless directed by the Division.

This letter is to follow-up on our phone call conversation on December 7, 2011 about our storm water incident at the
Asheboro Malt-O-Meal plant (Permit No. NCG060257). In our conversation, I informed you that on the night of 12/6/11,
we had a tanker of waste liquid sugar over flow while parked outside. The tanker spilled about 40-50 gallons of waste
liquid sugar to a storm drain on the property, The immediate actions were as follows: 1) Stop the spill from the tanker
truck. 2) Utilize the carbon filter located in the storm drain. 3) Apply a barrier at the outfall location before any waste liquid
sugar could leave the property. 5) Any residual water at the outfall was tested for the sugar content and read to be zero.
6) An environmental investigation report was internally written and placed with the SWPP. As a future preventative
measure we will install a flow gauge to measure the amount of liquid sugar going into the tanker and prevent over -filling.
As agreed in our phone call no further course of action would be necessary. We apologize for the error and will make
every effort to prevent this type of incident from happening in the future. If there is anything further that you need from us
please let me know.

course of action would be necessary to correct this oversight. We apologize for the error and will

Dear Mr. Mike Mickey,
This letter is to inform you about the incident that occurred on August 6,2010 at Malt-o-Meal in Asheboro (Permit No.
NCG060257). The incident was -concerning an outdoor spill from our trash compactor. It was discovered that one of our
employees placed a container with vitamin liquid residue into the trash compactor. When the container with about 20 oz of
residue was compressed it seeped from the compactor and mixed with the storm water to look like a milky white liquid.
This liquid was noticed by our City wastewaster sampler, Michele Dawes. Michele informed us of the milky white liquid
and we immediately took action. The source was found and we began a clean-up effort of the material. All of the material
was removed and cleaned from the storm drain by Garco. There was a sample taken by the City of Asheboro and the
results were seen as not harmful to the environment. Please see the attached PDF file of the sampling results. We
apologize for the error and will make every effort to retrain all employees concerning the importance of not placing
containers containing liquid residue into the compactor. If there is anything further that you need from us please let me
know.

to receiving waters designated as Deep River in the Cape Fear River Basin in accordance with the effluent
limitations, monitoring requirements, and other conditions set forth in Parts I, II, III, IV, V, and VI of General
Permit No. NCG060000 as attached.
This certificate of coverage shall become effective April 19, 2002
This Certificate of Coverage shall remain in effect for the duration of the General Permit.
