WHEREAS, Landlord is the owner of land and improvements commonly known and numbered as 6900 Konica Drive, Whitsett, North Carolina, 27377 and 6890 Konica Drive, Whitsett, North Carolina, 27377 (the "Pro e "). WHEREAS, Landlord desires to lease the entire Property (the "Leased Premises") to Tenant, and Tenant desires to lease the Leased Premises from Landlord, for the term, at the rental and upon the covenants, conditions and provisions herein set forth. THEREFORE, in consideration of the mutual promises herein, contained and other good and valuable consideration, it is agreed: a. Term. Landlord hereby leases the Leased Premises to Tenant, and Tenant hereby leases the same from Landlord, for a term beginning as of the date hereof and ending on the date that is thirty (30) calendar days from the date hereof (a "Term"). Such Term shall be extended for additional successive Terms of equivalent length automatically unless and until the earlier of (i) the end of the Term in which Tenant notifies Landlord or Landlord notifies Tenant, as the case may be, at least two business days prior to the expiration of such Term, that Tenant or Landlord, as the case may be, does not wish to renew this Lease, or (ii) transfer of title to the Leased Premises pursuant to the foreclosure by Tenant of its mortgage on the Property. Notice of an intention not to renew will not be effective for purposes of avoiding automatic extension of any Term unless given strictly in accordance with the foregoing. Each Term shall be subject to the same covenants, conditions and provisions as provided in this Lease. b. Rental. Tenant shall pay to Landlord rental of Ten Thousand Dollars ($10,000.00) for the first Term and Five Thousand Dollars ($5,000.00) for each Term thereafter. Such rental payment shall be made on the first day of each Term in advance. c. Use. Tenant shall be permitted to use the Leased Premises generally consistent with Landlord's use of the Leased Premises in the prior calendar year and for no other purpose. d. Sublease and Assignment, Tenant shall have the right without Landlord's consent, to assign this Lease to a corporation with which Tenant may merge or consolidate, to any subsidiary of Tenant, to any corporation under common control with Tenant, or to a purchaser of substantially all of Tenant's assets. Notwithstanding any assignment, Tenant shall remain primarily liable for the payment, performance and observance of all agreements, covenants and obligations on the part of the tenant hereunder to be paid, performed or observed. e. Repairs. During the period during which this Lease shall be in effect, inclusive of each Term, Tenant shall make, at Tenant's expense, all necessary repairs and replacements to the Leased Premises, whether interior or exterior, structural or non-structural, ordinary or extraordinary, or foreseen or unforeseen, and shall at all times maintain the Leased Premises, and at the termination of this Lease shall surrender the Leased Premises to Landlord, in good condition, damage by fire fully insured against or other casualty fully insured against, and reasonable wear, only excepted, and free of Tenant's personal property, equipment, machinery, trade fixtures and temporary installations. f. Alterations and Improvements. Tenant, at Tenant's expense, shall have the right to remodel, redecorate, and make additions, improvements and replacements of and to all or any part of the Leased Premises from time to time as Tenant may deem desirable, provided the same are made in a workmanlike manner and utilizing good quality materials and in conformity with all applicable laws, by-laws, ordinances, codes, orders, rules and regulations. Tenant shall have the right to place and install personal property, trade fixtures, equipment and other temporary installations in and upon the Leased Premises, and fasten the same to the premises. All personal property, equipment, machinery, trade fixtures and temporary installations, whether acquired by Tenant at the commencement of the first lease Term or placed or installed on the Leased Premises by Tenant thereafter, shall remain Tenant's property free and clear of any claim by Landlord. Tenant shall have the right to remove the same -at any time during the term of this Lease provided that all. damage to the Leased Premises caused by such removal shall be repaired by Tenant at Tenant's expense. g. Property Taxes. Tenant shall pay, prior to delinquency, all real estate taxes and installments of special assessments of or with respect to the Leased Premises, coming due during or with respect to any period falling wholly or partially within the period during which this Lease shall be in effect, inclusive of each Term, and all personal property taxes with respect to Tenant's personal property at the Leased Premises. Landlord shall be responsible for paying all personal property taxes with respect to Landlord's personal property, if any, at the Leased Premises. h. Insurance. a. if the Leased Premises or any other part of the building constituting part of the Leased Premises (the `Building") is damaged by fire or other casualty, Tenant shall at Tenant's expense promptly repair and restore the same, whether or not covered by insurance. The Tenant's obligations under this Section h.a shall survive any termination of this Lease. If the Leased Premises or any other part of the Building is damaged by fire or other casualty resulting from any act or negligence of Tenant or any of Tenant's agents, employees or invitees, rent shall not be diminished or abated while such damages are under repair, whether or not covered by insurance. b. Tenant shall at Tenant's expense maintain throughout the period during which this Lease shall be in effect, inclusive of all Terms, commercial property insurance with respect to the Leased Premises and all fixtures, equipment and tenant improvements which shall, at a minimum, insure against the perils normally covered by the so-called special causes of loss or special form insurance policy or its equivalent, with all such insurance to be written on the replacement cost basis at 100% of replacement cost, with a so-called replacement cost endorsement, and suitably written so that the same is non-contributory as to all parties, including any mortgagees, and such other insurance as the then holders of any mortgage may require, and with only such commercially reasonable deductibles as Landlord reasonably approves. Such insurance shall insure the interest of Landlord and Tenant, and shall contain the standard mortgagee's clause, naming as mortgagees those parties holding outstanding mortgages of record on the Leased Premises or any part thereof or interest therein. Any such policy must provide that the coverage thereunder may not be canceled without at least 30 days' prior written notice to Landlord and the holder of any 2 mortgage of record of the Leased Premises or any part thereof or interest therein, and that any notice to Tenant that such coverage will not be renewed shall be given simultaneously to Landlord. Evidence of the coverage required hereunder shall be furnished to Landlord upon execution of this Lease and prior to the expiration or alteration of the policy or policies of insurance providing such coverage. Each policy shall be issued by insurers having a minimum policyholders rating of "A" VIII per the latest rating publication Property and Casualty Insurers by A.M. Best Company (or who are otherwise approved by Landlord) and who are lawfully doing business in North Carolina. All insurance proceeds shall be paid to the first mortgagee of the Leased Premises or, if there is none, or if if such mortgagee declines, to a national bank or trust company selected by Landlord, and such proceeds shall be disbursed in connection with restoration of the Leased Premises in accordance with such procedures as are customarily followed by construction lenders in connection with the ..... disbursement of a construction loan; and in the case of_the first mortgagee, if any, such other procedures as the mortgagee my reasonably impose. c. Tenant shall be responsible, it its expense, for fire and extended coverage insurance on all of its personal property, including removable trade fixtures, located at the Leased Premises. d. Tenant shall, at its own expense, maintain throughout the period during which this Lease shall be in effect, inclusive of all Terms, a policy or policies of comprehensive commercial general liability insurance, without any so-called employee exclusion or the like, naming the Landlord as an additional insured on a primary basis and the Tenant as the primary insured and providing coverage on an occurrence basis. Such insurance shall provide that the insurer agrees to indemnify and hold Landlord harmless from and against all cost, expense and/or liability arising out of or based upon any and all claims, accidents, injuries and damages referred to in Section v hereof, treating said Section v for purposes hereof as though it did not contain any exception for claims arising from the act, omission, fault, negligence or misconduct of Landlord or its agents, contractors or employees. Such insurance shall be non - cancellable with respect to Landlord without 30 days' prior written notice to Landlord. Tenant shall deliver to Landlord a duplicate original of the insurance policy providing such insurance upon the execution of this Lease. The minimum limits of liability of such insurance shall be $5,000,000 each occurrence; $10,000,000 general aggregate limit; $10,000,000 products — completed operations aggregate limit; $5,000,000 personal and advertising liability; $2,000,000 fire legal liability; and $250,000 medical expenses limit (each person). In addition, Tenant shall maintain throughout the period during which this Lease shall be in effect, inclusive of all Terms, at least $10,000,000 excess liability coverage, naming Landlord as an additional insured. e. Landlord shall not be required to maintain insurance against thefts within the Leased Premises or the Building or any other insurance. i. Utilities. Tenant shall directly pay all charges for water, sewer, gas, electricity, telephone and other services and utilities used by Tenant on the Leased Premises during the term of this Lease unless otherwise expressly agreed in writing by Landlord. j. Entrv. Landlord shall have the right to enter upon the Leased Premises at reasonable hours to inspect the same, provided Landlord shall not thereby unreasonably interfere with Tenant's business on the Leased Premises. k. Default. If (i) default shall be made in the payment when due of ally rent, or (ii) default shall be made in the payment when due of any real estate tax or assessment, or (iii) Tenant shall default with respect to any of its obligations to maintain the insurance required of Tenant under this Lease, or (iv) the Leased Premises or any part thereof shall be used for a purpose not permitted by this Lease; or (v) default shall be made in the payment when due of any other sum required to be paid by Tenant under this Lease and such default shall continue for ten (10) business days after written notice thereof from Landlord, or (vi) default shall be made in the full and prompt performance of any of the other covenants, conditions or obligations which Tenant is required to observe or perform under this Lease, which default continues for thirty (30) days after written notice to Tenant (plus such further time, not exceeding an additional thirty (30) days, in the case of a default of the nature described in this subsection (vi) which cannot reasonably be cured within thirty (30) days after such written notice, if Tenant commences to cure the default within thirty (30) days after such written notice and diligently and with continuity pursues the curing of the default to completion and such completion is effectuated within sixty (60) days after such written notice), or (vii) Tenant's interest in this Lease shall be taken on execution or other process of law directed against Tenant, or (viii) Tenant shall admit in writing its inability to pay its debts generally as they become due, or (ix) there occurs a dissolution, termination of existence, cessation of normal business operations, insolvency, appointment of a receiver of any part of the property of, legal or equitable assignment, conveyance or transfer of property for the benefit of creditors by, or a commencement of any proceedings under any bankruptcy or insolvency laws by or against, the Tenant (and in the case of the commencement of any such proceedings against the Tenant, such proceedings shall not be dismissed within ninety [90] days front the date of the commencement of such proceedings), then in any of such cases an Event of Default shall have occurred under this Lease. In the event of the occurrence of an Event of Default, then, in addition to any other rights of Landlord on account thereof under this Lease or afforded by law, Landlord shall have the right to terminate this Lease by written notice to the Tenant (a "Termination Notice"), specifying a termination date that is not less than five (5) days following the date on which such Termination Notice shall be deemed given in accordance with this Lease, in which event this Lease shall come to an end on the termination date so specified. In the event of any such termination, -then, without derogation from or,impairment or limitation,of any of Tenant's other obligations under this Lease that survive a termination of this Lease, the Tenant shall pay to the Landlord, on demand, all rent and additional rent and all other sums that shall have become due from Tenant under this Lease up to and including the date of termination and that shall not already have been paid. The Tenant's obligations under the provisions of this Section k shall survive any termination of this Lease. 1. Notice. Tenant represents that Tenant was not shown the Premises by any real estate broker or agent and that Tenant has not otherwise engaged in, any activity which could form the basis for a claim for real estate commission, brokerage fee, finder's fee or other similar charge, in connection with this Lease. n. Waiver. No waiver of any default of Landlord or Tenant hereunder shall be implied from any omission to take any action on account of such default if such default persists or is repeated, and no express waiver shall affect any default other than the default specified in the express waiver and that only for the time and to the extent therein stated. One or more waivers by Landlord or Tenant shall not be construed as a waiver of a subsequent breach of the same covenant, term or condition. o. Memorandum of Lease. The parties hereto contemplate that this Lease should not and shall not be filed for record, but in lieu thereof, at the request of either party, Landlord and Tenant shall execute a Memorandum of Lease to be recorded for the purpose of giving record notice of the appropriate provisions of this Lease. p. Headings. The headings used in this Lease are for convenience of the parties only and shall not be considered in interpreting the meaning of any provision of this Lease. q. Successors. The provisions of this Lease shall extend to and be binding upon Landlord and Tenant and their respective legal representatives, successors and assigns. r. Consent. Landlord,shall not unreasonably withhold or delay its consent with respect to any matter for which Landlord's consent is required or desirable under this Lease. s. Compliance with Law. Tenant shall comply with all laws, orders, ordinances and other public requirements now or hereafter pertaining to Tenant's use of the Leased Premises. Landlord shall comply with all laws, orders, ordinances and other public requirements now or hereafter affecting the Leased Premises, which are not the responsibility of Tenant hereunder. t. Final Agreement. This Agreement terminates and supersedes all prior understandings or agreements on the subject matter hereof, other than any loan documents entered into among the Parties which this Agreement shall not derogate from Tenant's rights from in any respect whatsoever. This Agreement may be modified only by a further writing that is duly executed by both parties. U. Governing Law, This Agreement shall be governed, construed and interpreted by, through and under the Laws of the State of North Carolina. v. Indemnity. Except to the extent any such claims arise from the act, omission, fault, negligence or misconduct of Landlord or its agents, contractors or employees, Tenant agrees to indemnify and hold Landlord and its members, managers, employees and agents harmless for, from and against all claims, loss, cost, damage, liability and expense of whatever nature arising from (i) any accident, injury or damage whatsoever to any person or property, including death, occurring in or abort the Leased Premises, (ii) any accident, injury or damage whatsoever to any person or property, including death, occurring outside of the Leased Premises and resulting from or claimed to have resulted from the act, omission, fault, negligence or misconduct of Tenant or any of Tenant's agents, employees, invitees, contractors, assignees or sublessees, or (iii) the use or occupancy of the Leased Premises or of any business therein, or any thing or work whatsoever done, or any condition created (other than by Landlord at its own expense and not'for the benefit or at the request of Tenant) in or'about the Leased Premises. This indemnity and hold harmless agreement shall include indemnity against all losses, costs, damages, expenses and liabilities incurred in or in connection with any such claim or proceeding brought thereon, and the defense thereof, including without limitation reasonable attorneys' fees and costs at both the trial and appellate levels. The Tenant's liability under this Section v shall survive any termination of this Lease. x. Waiver. Tenant hereby waives any and every claim for recovery from Landlord for any and all loss of or damage to the Leased Premises or to the contents thereof, which loss or damage is covered by valid and collectible physical damage insurance policies, to the extent that such loss or damage is recoverable under said insurance policies. Further, Tenant waives, and releases Landlord of and from, any claim for any loss, damage or injury against which Tenant is required by the provisions of this Lease to maintain insurance or cause insurance to be maintained, but which Tenant fails to maintain or cause to be maintained, or which Tenant fails to maintain or cause to be maintained in the amounts required by this Lease. To the extent that this waiver will preclude the assignment of any such claim by subrogation (or otherwise) to an insurance company (or any other person), Tenant agrees to give to each insurance company which has issued, or in the future may issue, to it policies of physical damage insurance, written notice of the terms of this waiver and to have said insurance policies properly endorsed, if necessary, to prevent the invalidation of said insurance coverage by reason of said waiver. y. Mortgages. This Lease shall be subject and subordinate to all mortgages of record affecting the Leased Premises or any part thereof or interest therein. z, Hazardous Materials. Tenant shall not conduct nor permit to be conducted on the Premises any business which is contrary to any public law, ordinance or governmental regulation. Tenant hereby represents and warrants to Landlord that Tenant shall not use or store in the Leased Premises any materials hazardous to human health or the environment as the same may be defined and listed in any applicable governmental statute or regulation. Tenant will indemnify, defend and save Landlord harmless from any and all actions, proceedings, claims, costs (including attorneys' fees), expenses and losses of any kind arising in connection with any 6 failure by Tenant to comply with the provisions of this Section z and/or from any release or threat of release of oil or hazardous materials or substances within the meaning of any applicable law, by-law, rule, order or regulation relating to environmental protection, in, on or from the Leased Premises caused by Tenant or any of its agents, contractors, servants, employees or invitees. The Tenant's obligations under this Section z shall survive any termination of this Lease. (1). Holding Over. Any holding over by Tenant shall be treated as a daily tenancy at sufferance at a rate equal to two hundred percent (200%) of the rent last in effect prior to termination of Lease, prorated on a daily basis, and Tenant shall also pay to Landlord all damages sustained by reason of any such holding over. Tenant's obligations under this Section (i) shall survive any termination of this Lease. (2). Liability of Landlord. Each holder of the landlord's interest in this Lease shall be liable under this Lease only for the performance of those obligations of the landlord hereunder that accrue during the period of such holder's ownership of the landlord's interest. In the event of any transfer of title to the Leased Premises or an assignment of a ground lessee's interest in a ground lease of the Leased Premises, the transferor or ground lessee shall automatically be entirely freed and relieved of all covenants and obligations of Landlord hereunder, accruing subsequent to such transfer or assignment. This Lease shall be deemed and construed as a covenant running with the Leased Premises without further agreement between the parties or their successors in interest. Upon any such transfer of the Leased Premises or the assignment of a ground lessee's interest in a ground lease of the Leased Premises, the transferee or the ground lessee's assignee shall be deemed to have assumed and agreed to carry out any and all covenants and obligations of the landlord hereunder, accruing subsequent to such transfer or assignment. Tenant shall neither assert nor seek to enforce any claim for breach of this Lease against any of the Landlord's assets other than Landlord's equity interest in the Leased Premises and in the rents, issues and profits thereof, and Tenant agrees to look solely to such interest for the satisfaction of any liability of Landlord under this Lease. It is agreed that in no event shall any of the Landlord's officers, trustees, directors, partners, beneficiaries, joint venturers, members, stockholders, or other principals or representatives, disclosed or undisclosed, ever be personally liable for any liability of Landlord under this Lease. The provisions of this Section (2) shall not limit any right that Tenant might otherwise have to obtain injunctive relief against Landlord, or to take any action not involving the liability of Landlord (original or successor) to respond in monetary damages from Landlord's assets other than Landlord's equity interest in the Leased Premises and Landlord's interest in the rents, issues and profits therefrom. The provisions of this Section (2) shall survive any termination of this Lease. (3). Time of Essence. Time is of the essence of this Lease. (4). Snow and Ice. The removal of snow and ice from the Leased Premises, the sidewalks adjoining the same and the parking areas serving the same, and from the roof of the Building, shall be the Tenant's responsibility. 7 (5). Landlord Services. The Landlord shall have no obligation under this Lease to furnish any service or perform any work of any kind. The Tenant accepts the Leased Premises hereunder on an "As is", "Where Is" basis. (6). Rent. All sums payable by Tenant tinder this Lease shall be deemed to constitute rent. Rent shall be payable without offset, abatement, deduction or demand of any kind. Rent shall not be prorated. (7). Triple Net Lease. All operating, maintenance, repair, restoration, replacement, insurance and real estate tax expenses associated with the Leased Premises or the use thereof shall be the responsibility of and shall be borne by Tenant. (8). Covenant of Quiet Enjoyment. So long as Tenant is not in default hereunder (beyond any applicable notice or cure period), and subject to the provisions of this Lease and matters of record, Tenant shall during the term Hereof peacefully and quietly enjoy the Premises without hindrance by Landlord, or by anyone claiming by, through or under Landlord. The foregoing provision of this Section (8) shall be in lieu of any other covenant of quiet enjoyment, express or implied. (9). Landlord's Right of Entry. Landlord shall have the right to enter the Leased Premises at all reasonable hours upon reasonable notice for the purpose of (i) inspecting the Leased Premises; (ii) curing any default of Tenant (it being acknowledged and agreed that Landlord shall have the right, but not the obligation, to do so); and (iii) showing the Leased Premises to prospective or existing mortgagees, purchasers, or tenants. To effectuate the Landlord's foregoing rights of access, at Landlord's request Tenant shall promptly deliver to the Landlord a duplicate set of keys to the Leased Premises. In connection with any such entry, Landlord shall use reasonable efforts to minimize interference with the operation of Tenant's business in the Leased Premises. All costs paid or incurred by Landlord in curing Tenant defaults shall be paid by Tenant to Landlord on demand, with interest thereon at the rate of eighteen percent (18%) per annum from the date paid or incurred to the date of payment in full. (10). Accrued Obligations. All obligations of Tenant hereunder that shall have accrued prior to termination of this Lease shall survive any termination of this Lease. 0 1). Non -Merger. It is the express intention of the parties hereto that the lien of the Tenant's Deed of Trust covering the Leased Premises shall not merge with the interest in the Leased Premises granted by Landlord to Tenant herein, by virtue of the execution, delivery, acceptance, recording or existence hereof, but that the two estates shall be kept and held separate and distinct and that the Deed of Trust, the Note secured thereby, the indebtedness of the Note, and the loan and security documents, and the collateral thereof, remain frilly withstanding and enforceable in accordance with their terms. (12). Junior Mortgagees. It is understood that Tenant's aforesaid Deed of Trust ("Tenant's Mortgage") is a first mortgage or deed of trust of record on the Leased Premises. Tenant represents and warrants to Landlord that Tenant has the right, power and authority, on behalf of each and all of the holders ("Junior Lienholders") of mortgages or deeds of trust affecting the 8 Leased Premises or any part thereof or interest therein, junior to Tenant's Mortgage, pursuant to one or more instruments, binding upon the Junior Lienholders, conferring such right, power and authority, to consent to Landlord's entry into this Lease, and Tenant does hereby so consent. Tenant shall indemnify Landlord and hold Landlord harmless for, from and against any and all liability to the Junior Lienholders or any of them, including without limitation reasonable attorneys' fees and legal costs, on account of, relating to or in any way connected with Landlord's entry into this Lease. The obligations of Tenant under this Section 12 shall survive any termination of this Lease. (13). Tenant's Loan Documents. I can't really think of a good administrative short cut on this one. It looks like they should combine our rescission request form from our website, along with our NOI on NCG05 also from our website. Our paper files indicate that KONICA was issued their first COC under NCG03 in 1993. Wow, 20 years. (Small caution: Facilities very rarely mis-report their proper SIC code, but when they do we have to correct them. if they really are SIC 2672 Coated and laminated Paper, then we should make this correction as indicated by the actions above. On the other hand, if coated paper is a side activity, but the facility mainly makes copiers or other such imaging equipment, NCG03 should stick.) Under NCG05 their obligation to update their SPPP continues, and their obligation for visual monitoring continues. 1 note that while NCG03 contains analytical monitoring, NCG05 does not contain any monitoring. Permit Zink Imaging holds NPDES Stormwater Permit No. NCG030237 for the discharge of stormwater from the .facility. The permit was just reissued on November •1, 2012. Expiration occurs next on October 31, 2017. . Significant changes to the new general permit involve the following: 1) addition of analytical monitoring for copper and zinc, 2) analytical sampling. can now occur at a measurable storm event rather than a representative storm event, and 3) vehicle maintenance monitoring is now triggered by the total usage of motor oil plus hydraulic oil (>55 gallons per month, average). 2. Re_ cords/Reports Part 11, Section A of the permit requires the development of a Stormwater Pollution Prevention Plan (SPPP). A copy of the SPPP was available for review during the inspection. The plan was found to be thorough and complete and covered all items specified by the permit. The SPPP was last updated in November 2011. 3. Facility Site Review A tour of the property found the site to be clean and well managed. Observations did not reveal any problems or concerns with the handling or storage of materials or chemicals. Numerous storage tanks at the tank farm were removed when Zink Imaging took over the site from Konica. The file review showed that this monitoring was performed as required. The 2012 analytical sampling occurred on May 9th and December 16"'. The inspection consisted of two parts: an on -site inspection of the facility and an in -office file review. The following are the findings from the subject inspection. I. Permit The NPDES general stormwater permit for 'Link Imaging, Inc. became effective on November 1, 2007 and expires on October 31, 2012. 11. Records/Reports A review of the reports revealed no discrepancies. A copy of the data is kept on file_ All applicable data is collected as per the NPDES general permit requirements. III, Facility Site Review The subject facility only discharges stormwater pursuant to NPDES General Permit NCG030237. The three (3) stormwater ponds were inspected and found to be functioning properly. IV. Effluent & Receiving' Waters "Link Imaging, Inc, discharges stormwater to an unnamed tributary to Lake Macintosh.
