I have yet anther question. Please find the compilation of questions below: 1. Since 2022, we were in receipt of the Blackwood Purchaser, Inc. 100% purchase and owner of Blackwood Resources, LLC; Blackwood Associates, LLC, and West Farm Real Estate. Currently the legal entity of the State issued permit is to "Blackwood Associates, LLC, a wholly owned subsidiary of Blackwood Resources, LLC'. With the ownership change in 2022, is the company requesting the permit be issued to Blackwood Purchaser, Inc. or will the legal entity stay as Blackwood Associates, LLC? 2. The legal entity that should be on the permit is questioned due to the financial assurance needing to match the permit holder. Which legal entity will be responsible for both the permit and the financial assurance? 3. Please provide an organization chart at the corporate/executive level. 4. From review of the NC Secretary of State: i. Blackwood Associates, LLC is the name of the limited liability company. ii. West Farms Wood Products, LLC is a fictitious name that may be used in NC. iii. Blackwood Resources, LLC is current with the NC Secretary of State iv. Blackwood Purchaser, Inc. is currently not listed with the NC Secretary of State Please let us know who will be the legal entity responsible for the permit/financial assurance. If Blackwood Purchaser, Inc. will be replacing the legal entity, then they will need to register with the NC Secretary of State. The standby trust with Old North State Trust, LLC will still need to be in effect. I found the address for Old Second National. I have the direction letter for the bank drafted but felt it pertinent to get a better handle on the ownership change in 2022 and ensure the efficiency on our end. If I can get all my questions resolved, I will be able to send out this letter by the end of the week at the latest. Feel free to reach out with any questions or concerns. Currently you are approved for a storage of up to 200,000 tons of treated wood on site. Should you need to store more treated wood onsite then the cost would need to be revised, submitted, and approved by the Section. The 2023 closure cost to maintain financial assurance for a storage of up to 200,000 tons of treated wood onsite would be $229,065.60. Please let us know if you have any additional questions or concerns.
