C&D Permit No. 9226-SCLF-2001 Capitol Waste Transfer Station, LLC, Transfer Station Permit No. 92-37T-Transfer-2010 Morrisville Transfer Station, LLC, Transfer Station Permit No. 9241 Shotwell Transfer Station II, Inc., Transfer Station Permit No. 92-29T- Transfer- 2009 Dear Mr. Mussler: This firm represents the above -referenced affiliate entities. As you know, Shotwell Landfill, Inc. owns and operates the Shotwell construction and demolition debris landfill located in Wake County. The other entities listed operate solid waste transfer stations, also all located in Wake County. They are collectively referred to below as the "Shotwell Entities." We understand that David King informed you several weeks ago about a pending transaction by which all stock or membership interest in each of the Shotwell Entities will be sold to Meridian Waste North Carolina, LLC, an affiliate of Meridian Waste. Each of the above -referenced permits provides that thirty (30) days advance notice be given to your Section of any significant change in the parent company (i.e., ownership) in the owner or operator of the facility. The purpose of this letter is to confirm what Mr. King told you about the pending transaction. _ _ _ As a result of this pending transaction by which all stock or membership interest in each of the Shotwell Entities will be conveyed to Meridian Waste, there will be no change in the owner or operator of the Shotwell landfill. Shotwell Landfill, Inc. will continue to be the owner and operator of that facility. Hence, no change to the permit for the Shotwell landfill will be necessary. As to the transfer stations, the permitted operators will also not change. However, the entities that own the real property where two of the transfer stations operate will change. That will occur for Capitol Waste's facility (Warehouse Drive, Raleigh), and the one being constructed now by Morrisville Transfer Station (International Drive, Morrisville). December 5, 2019 Page 2 those two transfer stations will need to be amended, for the sole purpose of reflecting that change in ownership of the real property.
