construction of Phase III, Cell 9, of the East Carolina Regional Landfill. As certified
by the Project Engineer and the Quality Assurance Consultant, Cell 9, has been
completed in accordance with the project specifications. The Section has determined
that East Carolina Environmental has met pre -operative conditions of the Permit to
Construct, issued March 27, 2000, for this cell. In accordance with G.S. 130A-294,
Cell 9 is hereby approved to receive waste.

Dear Chmn. Bazemore,
East Carolina Environmental, Inc. ("East Carolina) is a subsidiary of Republic
Services, Inc. ("Republic") and is currently involved in a corporate reorganization. This
corporate reorganization will allow us to capitalize on certain operational efficiencies
within the State of North Carolina.. Pursuant to this corporate reorganization, East
Carolina is merging into Republic Services of North Carolina, LLC, a North Carolina
limited liability company and a subsidiary of Republic.
All aspects of the services and operations at the East Carolina landfill that East
Carolina is performing under the Agreement of May, 1992 and Franchise Ordinance of
April 19, 1994 will remain the same. You will be working with the same people at the
same location and the quality of service will remain the same and not be interrupted.
Republic Services of North Carolina, LLC will continue to comply with all of the terms
and conditions of the Agreement and Franchise Ordinance, which terms and conditions
will remain the same except for the name change, including, but not limited to, the
population of the area to be served, the geographic service area, the volume and
characteristics of the waste stream and the projected useful landfill life.
By executing below, you hereby agree and consent to the above referenced
corporate reorganization and change of name on the Agreement, Franchise Ordinance and
Landfill Permit No. 08-03 to Republic Services of North Carolina, LLC.

RESOLUTION
WHEREAS, Bertie County entered into an agreement ("Agreement") with East
Carolina Environmental, Inc. ("East Carolina") in May, 1992 for the development, use
and operation of the East Carolina landfill in Bertie County; and
WHEREAS, the Board of Commissioners adopted a Solid Waste Franchise
Ordinance ("Franchise Ordinance') dated April 19, 1994 granting East Carolina 20 year
solid waste and landfill franchise; and
WHEREAS, the agreement and Franchise Ordinance collectively satisfy the
requirements of G.S. 130A-294(bi)(3) for sanitary landfill franchises; and
WHEREAS, East Carolina is currently involved in a corporate reorganization
that will result in it merging into Republic Services of North Carolina, LLC for
operational efficiency within North Carolina; and
WHEREAS, the East Carolina merger into Republic Services of North Carolina,
LLC will not alter the terms and conditions of the Agreement and Franchise Ordinance
and will result in a name change only; and
WHEREAS, Permit No. 08-03 has been issued for the East Carolina landfill and
NCDENR has requested that Bertie County consent to the above -referenced
reorganization and name change.
NOW, THEREFORE, BE IT RESOLVED by the Bertie County Board of
Commissioners that it consents to the reorganization and name change from East
Carolina Environmental, Inc. to Republic Services of North Carolina, LLC for purposes
of the Agreement, Franchise Ordinance and Landfill Permit No. 08-03 and that the terms
and conditions of the Agreement and Franchise Ordinance shall remain the same except
for the change in name, including, but not limited to, the population of the area to be
served, the geographic service area, the volume and characteristics of the waste stream
and the projected useful landfill life.

Dear Mr. Hodges,
The hydrogeologic review has been .completed for the
December 1999 revisions to the Site Application And
Facility Plan for the East Carolina Regional Landfill.
While most of my initial review comments and questions
have been addressed in a satisfactory manner, there are
still a few items that need to be addressed before the
hydrogeologic review can be completed. Please consider
the following questions and comments and respond as
necessary:
Regional Characterization Study Drawing
There are a number of the drawings that show a triangle
of land to the north of the existing permitted facility
to be inside the proposed facility boundaries. This
property is not a part of the existing facility and has
not been characterized or proposed for inclusion in the
expanded facility. The drawings need to be revised to
exclude this area from the facility boundaries.
Local Characterization Study Drawing
It appears that the 100 year flood line is incorrectly
offset to the north a couple of hundred feet.
.1620 Engineering Plan
Thank you for the additional background information on
the issue of "the base of the Layer 1 soils being
equivalent to the seasonal high water table". While this
information is sufficient for Site Suitability, it will
be necessary to provide additional locally specific
information in the area of future phases of development
in the Construction Plan Application(s).

.1622 Location Restrictions
Water Supply Watersheds: What is the 15A NCAC 2B surface water
classification for the receiving streams of the site? On page 40
the report states: "The facility will obtain an NPDES Permit..."
Why is this necessary, since leachate is being recirculated or
transported off -site?
Geologic and Hydrogeologic Investigations
Pg 3-7 There is a water mark on this page that makes part of the
text illegible.
3.5.4 What are the pumping rates for the on -site water supply
wells? Additional, more specific information will be needed
in the Construction Plan Application regarding "Man-made
Influences to Ground -water levels".
3.6.5 Excavation: More detailed information is needed on the
exact location, limits, and depths of borrow areas. What
ditching and pumping may be associated with excavation, and
how will this affect the hydrology of the area? The proposal
to fill the deep ditches needs to be evaluated in detail in
the Construction Plan Application (s), to determine the overall
effect on hydrology. (If the deep ditches are lowering the
water table two feet, it may be better to retain some of the
perimeter ditches.)
Table 1 There are errors in the USCS soil classifications for two
of the B-57 entries.
Tables 3 & 4 Are there any revisions in the new Tables 3 and 4
that were submitted in the December 1999 revision package?
Table 6 Why were some of the K values revised in the Dec. 1999
revision of Table 6? In converting T values to K values, how
was aquifer thickness determined, especially for the Layer 4
aquifer, where the bottom of the aquifer is unknown?
Figure 8 Now that I better understand how you are interpreting the
data, it appears the revised Figure 8 is reasonable. However,
in the cover letter for the December 1999 Addendum to Site
Hydrogeologic Report, on page 8 the Layer III thicknesses
appear to be listed in an incorrect order.
Appendix F Soil Laboratory Test Results: On the sheet plotting
Atterberg Limits, the data for B-57 UD1 and UD3 were plotted
correctly on the original submittal, and are now plotted
incorrectly on the revised submittal.

None of the comments for Volume 2, on page 7 of my previous review
letter of November 4, 1999, appear to have been addressed in the
December package of revisions.
In summary, while most of the substantive issues in my initial
hydrogeologic review letter have been addressed, there are still a
few items that need clarification or revision. Please address
these issues as soon as possible, so we can complete the Site Study
Application review.

PART I:
GENERAL FACILITY CONDITIONS
1. This permit approves the Facility Plan which, in accordance with 15 NCAC 13B .1619,
defines the comprehensive development of the facility including the total municipal
solid waste landfill capacity, the municipal solid waste stream, all onsite solid waste
management facilities and related facility infrastructure.
The approved plans are described in Attachment 1,"Approved Documents", Part II,
Document 1 and 4. Where discrepancies may exist, the most recent approved submittal
and Conditions of Permit shall govern.
2. This facility has an anticipated total municipal solid waste disposal capacity of
11,000,000 cubic yards consistent with the approved final contours, which will be
developed in multiple construction phases. Construction of cells within each phase and
subsequent phases will be in accordance with the Division approved plans.
3. The landfill is permitted to receive solid waste generated by and in the counties of
North Carolina, consistent with local government waste management plan(s), with local
government approval and contract and the franchise agreement, and as defined in 15A
NCAC 13B .0101(36), except where prohibited by North Carolina General Statutes
Article 9 of Chapter 130A, and rules adopted by the Commission for Health Services.
4. This facility is subject to the requirements of all applicable sections of the most recent
version of the North Carolina Solid Waste Management Rules, 15A NCAC 13B and the
specific conditions contained herein.
5. This facility shall conform to the specific conditions set forth in this permit and the
provisions of 15A NCAC 13B .1604(b)(2).
6. This facility permit is issued under the criteria set forth in 15A NCAC 1313.1603(a)(5).
Any facility changes that effect the criteria established in 15A NCAC 1313.1603(a)(1)
may require a new permit.
7. The East Carolina Environmental shall submit an amendment to this permit pursuant to
15A NCAC 13B.1603(a)(2) for any subsequent phase of development.

8. East Carolina Environmental, Inc. shall conduct a preconstruction meeting, on site, prior
to initiating construction of any unit/cell at the site and shall notify the Solid Waste
Section 10 days prior to said meeting.
9. Construction of all solid waste management units within this facility shall be in
accordance with the pertinent approved plans and only for those phases of
development approved for construction as described in Attachment 1, Part II,
Document 1 and 4, "Approved Documents".
10. Additional conditions and revisions of the approved documents or changes during
construction of any landfill unit/cell require approval by the North Carolina Solid Waste
Section.
11. Any modifications in sedimentation and erosion control activities require approval by
the Land Quality Section. The Section shall be notified of any sedimentation and
erosion control modifications.
FACILITY PRE -OPERATIVE CONDITIONS
12. Prior to receiving waste at any new cell or subcell of this facility, a Permit to Operate,
must be obtained from the Solid Waste Section in accordance with 15A NCAC 13B
.0201(b).
13. The following requirements shall be met prior to waste disposal for any new cell or
subcell of this facility:
a. Site preparation shall be in accordance with the approved plans, and the
conditions specified herein.
b. Site inspection shall be made by a representative of the Solid Waste Section.
C. Prior to waste disposal for any cell, a pre -operative meeting shall be held on -site
with key landfill personnel and representatives of the Solid Waste Section.

MUNICIPAL LANDFILL UNIT SPECIFIC CONDITIONS
PRE -OPERATIONAL CONDITIONS
Ground water monitoring wells and surface water sampling locations shall be sampled
for the Appendix I constituent list prior to issuing the Permit to Operate.
CONSTRUCTION CONDITIONS
2. The owner's geologist shall be in the field to supervise all well installations. Any
modifications to the approved water quality monitoring plan require approval by the
Section Hydrogeologist. Documentation of all changes to the approved plan shall be
submitted with the well construction records.
3. For each monitoring well constructed, a well construction record, well schematic,
boring log and a description of well development activities shall be submitted to the
Section within 30 days upon well completion.

Mr. Hodges opened the meeting stating that Republic Services, Inc. was prepared to begin construction on Cell
No. 9. Project plans and specifications for the construction of Cell No. 9 were briefly reviewed. The cell will
be constructed immediately north of the existing Cell No. 8 and will be of similar construction to the previous
cells. A clay liner and flexible membrane liner will be employed. The following items were reviewed.
1.) Mr. Hodges requested information on issuance of the permit to construct the cell. Mr. Mussler
indicated that the permit would be issued in the next two days.
2.) Projects document distribution: Mr. Mussler requested 2 sets of plans and specifications for Cell No. 9.
Mr. Barber and Ms. Coghill stated that they did not need a set.
3.) Piezometers located within the cell area have been abandoned with Mr. Bobby Lutfey's approval. A
report of the piezometer abandonment will be issued. No new monitoring wells are to be installed as a
part of the pending Cell No. 9 construction. Mr. Barber noted that the piezometer abandonment report
should be provided as an attachment to the CQA Report.
4.) Mr, Mark Preddy, P.G. of Bunnell-Lammons Engineering, Inc. will make geologic inspections of the
Cell No. 9 site following site stripping and excavation to reach the subgrade elevation. Mr. Preddy
made his first geologic inspection of the construction progress during the previous week. His
inspections will be documented in written reports.

5.) Organic Waste Technologieg, Inc. (OWT) will perform the earthwork and general construction for the
cell. Serrot International, Inc will manufacture and install the flexible membrane liner. BLE will
perform the CQA monitoring and testing. As Built Surveys will be performed by Donaldson, Garrett &
Assoc. Inc.
6_) Timely construction and approval of the cell is critical to continue to have available space_ The landfill
has oxperieneed a large volume of C & D waste resulting from storm debris. Construction and approval
of a partial cell may be required.
7.) He was nowd that the Site financial assurance documentation requires updating.
8.) Protective cover sand delivery is to begin within the next few days. The material sill be mined from an
off sit borrow pit.

Dear Nancy,
As we discussed over the phone on January 12, 2000, this Firm serves as counsel to Republic
Services, Inc., a Delaware Corporation, with its principal offices in Ft. Lauderdale, FL. Republic
Services, Inc. wholly owns a number of subsidiaries incorporated in North Carolina which own
and/or operate a number of solid waste related businesses, including hauling operations, transfer
stations, compost facilities and landfills. Republic also owns Addington Environmental, Inc., a
Kentucky corporation. Addington in turn owns three (3) subsidiaries which are incorporated in
Kentucky but do business in North Carolina: 1) East Carolina Environmental, Inc., 2) Upper
Piedmont Environmental, Inc. and 3) Uwharrie Environmental, Inc.
As I informed you, Republic Services, Inc. is planning to merge all of its North Carolina
subsidiaries into one company, which will be known as "Republic Services of North Carolina, LLC"
and which will be formed under the laws of North Carolina. Republic Services, Inc. also plans to
merge its three Kentucky corporations which operate in North Carolina (East Carolina
Environmental, Inc., Upper Piedmont Environmental, Inc. and Uwharrie Environmental, Inc.) into
Republic Services of North Carolina, LLC.' After the completion of this corporate consolidation
Addington Environmental, Inc. will no longer have any corporate interests in North Carolina and all

of Republic Services, Inc.'s North Carolina operations will be wholly owned by Republic Services
of North Carolina, LLC. Republic Services of North Carolina, LLC will then register the names of
Republic Services, Inc.'s existing North Carolina operations as d/b/a's ("doing business as") and
continue operating under the existing names so as to maintain goodwill and other value associated
with the established names.
During our conversation I requested your guidance with respect to obtaining appropriate
name change amendments of North Carolina Department of Environment and Natural Resources
("NCDENR") permits held by Republic Services, Inc.'s subsidiaries to reflect the consolidation of
such subsidiaries into Republic Services of North Carolina. LLC. As noted above, ultimate parent
comi)anv ownership of the facilities holding the permits is not changing rather the names of the
Republic subsidiaries which own and/or operate facilities are changing to that of another Republic
subsidiarv. Moreover, Republic Services, Inc. would like the names of the facilities to stay the same
and for correspondence related to the facility to continue going to the appropriate facility contacts
on the existing permits. For instance, facilities currently registered as owned and operated by
Garbage Disposal Service, Inc. would, after the merger, be registered as owned and operated by
Republic Services of North Carolina, LLC d/b/a Garbage Disposal Service.
Pursuant to our conversation you explained that you would let us know what type of
documents need to be filed to, effectuate the consolidation planned by Republic Services, Inc. after
you receive a chart showing the various subsidiaries of Republic Services, Inc. as well as a list of
NCDENR permits currently held by Republic subsidiaries. Attached hereto please find a Republic
Services, Inc. corporate chart as well as a table listing NCDENR permits held by various subsidiaries
of Republic Services, Inc. I look forward to hearing back from you and, in the meantime, please do
