Pursuant to paragraph ten Contract Number V6022, the Department of
Environment and Natural Resources would like to amend said contract to
increase the amount payable by $10,000.00. making the total amount
payable under the contract ONE HUNDRED FORTY-NINE THOUSAND TWO
HUNDRED NINETY-SIX DOLLARS ($149.296.00).
In addition, the Department desires to change the contract ending date from
May 31, 1998 to July 31, 1998.
It is the intent of this amendment to address provisions noted only, and in no
way should this amendment be construed to further modify this contract.

Last week, I asked your office for copies of documents related to your contract
with a consultant, Mr. Patrick Barnes. I asked for that information out of concern that
Mr. Barnes may have been practicing the profession of geology in this state without
having been licensed by the N. C. Board of Licensing of Geologists. The information
your office provided to me was sent to the Board, and the Board's administrator has
advised Mr. Barnes of the requirements of the N. C. Geologist's Licensing Act.
It has come to my attention that there is another consultant under contract with
your division who may not have a required North Carolina license. As a member of the
N. C. Board of Licensing of Geologists, and as a licensed N. C. Professional Engineer, I
believe it is my duty to ask that you provide me with copies of documents in your files
concerning the services of Mr. Joel Hirschhorn of L1.urel, Maryland. In particular, I
would like to have a copy of the Department's contract with Mr. Hirschhorn and any
reports, letters, or memoranda submitted by him in your files.

Dear Joel:
I am holding your invoice #08377 dated 8/25/97. It was sent in by fax on August 26th, the
original has not yet been received.
Your current contract extension sets out certain amounts of money that you would be paid upon
completion of the tasks associated with those items. The August invoice is for hours worked on
two of these tasks, neither of which have been completed.
I also need additional information from you describing the work done for the 28 hours during
this time frame for "Phase I Detoxification Report Review". Neither of the Phase I reports had
been received prior to August 3, the cutoff date of your invoice. EcoLogic's report was received
on August 11 and the ETG report on August 19.
Also, please be advised that any expense account monies requested for reimbursement will come
out of the fee budgeted for the particular task. Likewise, airline tickets which are billed directly
to the Department will be paid from the appropriate account.

After approving your last invoice, and subtracting out the one that had not been paid from
February, we have determined that you only have $3,204.76 remaining in your previous contract
instead of the estimated $15,000. As a result, we will have to add $14,795.24 to make the
$18,000 you quoted to complete the final site investigation report.
I have already submitted paper work to the department to insure that this happens and to
make certain that you have sufficient funding to complete this project.
We have, therefore, closed out all monies in your previous contract and cannot pay any
additional funds or expenses not related to completion of one of the specific tasks included in
your contract extension.
You will be receiving a contract amendment for the final site investigation report, as well
as amendments to provide funding for the additional work which we feel is of priority. As you
are aware, there are not sufficient funds available to pay the amount you requested for the other
tasks we discussed. The amendment will provide an additional $7,000 for Phase I detoxification
report review, and $15,000 for Phase II detoxification activities and analysis. No other tasks will
be funded for you at this time.

REPORT ON THE PCB t-A'FfDFILL
As you are aware, your contract expired on June 30, 1997. Yesterday, I met with
department Purchase & Contract's Personnel to discuss the future projects and tasks still
remaining to be completed. We will be sending a contract amendment to you soon detailing the
remaining tasks.
This letter serves as authorization for you to complete work on the Site Investigation /
Assessment Final Report. I am authorizing you an additional three thousand dollars ($3 ,000) to
the current $15,000 remaining in your previous contract to complete this report, based on your
letter of June 19 in which you stated that it would take $18,000 to complete. For a sum not to
exceed the $18,000, we will require a completed final report which details the findings, your
conclusions and basis for your conclusions. The report should be a joint report signed by you
and Patrick Barnes. Patrick, in his letter of June 16, 1997, indicated that it would take
approximately 30-45 days to complete (you did not provide a time frame as I had requested in
my letter of June 17). Although we want the report as quickly as possible, I would hope that it
can be completed no later than August 1 (assuming you and Patrick started work on it last
month).
Please be advised that we will not pay the above amount until the report is satisfactorily
delivered to us. Your invoice should indicate the number of hours and charges associated with
its preparation.
We are reviewing the current available funds and will soon be allocating the balance of
money for specific projects as detailed in my June 17th letter.

THIS AGREEMENT, made and entered into this 7th day of · March, 1996 ,
by and between Joel Hirschhorn/Hirschhorn & Associates , hereinafter referred to as
"CONTRACTOR", and North Carolina Department of Environment, Health, and Natural
Resources, hereinafter referred to as "DEPARTMENT";
WITNESSETH:
THAT WHEREAS, the CONTRACTOR has submitted to the DEPARTMENT a
proposal for the performance of certain technical or professional services as Science Advisor for
the Joint State/Warren County PCB Landfill Working Group (Work Group); and
WHEREAS, the DEPARTMENT desires to enter into a contract ~th the
CONTRACTOR to perform the services set out in the proposal; ·
NOW, THEREFORE, for and in consideration of the mutual promi~'!s to each other, as
hereinafter set forth, the parties hereto do mutually agree as follows:
I. The CONTRACTOR hereby agrees to perform in a manner satisfactory to the
DEPARTMENT, the work described in the Science Advisor Scope ofWork-PCB Landfill -Joel
Hirschhorn which is incorporated as a part of this contract. (Attachment A)
2. The DEPARTMENT hereby agrees to pay the CONTRACTOR a sum of money
not to exceed one hundred thousand dollars ($100,000) unless completion of assigned task(s) and
availability of funds warrant additional amounts as determined by the DEPARTMENT. Payment
will be made at the rate of one hundred dollars ($100) per hour for accomplishing assigned task(s)
in the Scope of Work (Attachment A). This payment(s) will be full and complete compensation
for services rendered under this agreement.
(a) Payment for services will be made upon receipt of expenditure reports
(DEHNR 2481) or invoices from the CONTRACTOR documenting the
costs incurred, compliance with schedules, percent of completion of
assigned task(s) in the performance of work under this contract. Travel,
subsistence and personal vehicle use will be paid in accordance with
DEPARTMENT'S travel reimbursement policy which is incorporated in
Attachment B of this contract.

(b) Expenditure invoices, work schedules and degree of completion of task( s)
are to be submitted to the Contract Administrator at least monthly.
Payment will be made monthly. Final expenditure reports must be received
by the DEPARTMENT within 45 days after the end of the contract.
( c) Amended or corrected expenditure reports must be received by the Office
of the Comptroller within six months after the end of the contract period.
Any reports received after six months will be returned without action.
3. The CONTRACTOR represents that he has, or will secure at his own
expense, all personnel required in performing the services under this agreement.
Such personnel shall not be employees of the DEPARTMENT.
4. None of the work to be performed under this contract which involves the
specialized skill or expertise of the CONTRACTOR or his employees shall be
subcontracted without prior approval of the Contract Administrator. Sub-
contracting includes the implementation of any recommendation(s) by the
CONTRACTOR to the Work Group. The DEPARTMENT reserves the right to
sub-contract the implementation of any recommendation(s) of the
CONTRACTOR The DEPARTMENT must approve all subcontracts.
5. The CONTRACTOR is an independent contractor and assumes all
responsibility for self and does, therefore, hold harmless the Contract
Administrator for the DEPARTMENT, the DEPARTMENT or any other state
government persons for payment of federal and state taxes and any other required
payments. This Agreement will in no way be construed to constitute an
employer/employee relationship.
6. The services of the CONTRACTOR are to commence on the 15th day of
February, 1996 and shall be undertaken and completed in such sequence as to
assure their expeditious completion in light of the purposes of this agreement, but
in any event, all of the services required hereunder shall be completed by the 30th
day of June, 1997.
7. If, through any cause, the CONTRACTOR shall fail to fulfill in timely and
proper manner the obligations under this agreement, the DEPARTMENT shall
there upon have the right to terminate this contract by giving written notice to the
CONTRACTOR of such termination and specifying the reason thereof and the
effective date thereof In that event, all finished or unfinished documents, data,
studies, surveys, drawings, maps, models, photographs, and reports prepared by
the CONTRACTOR shall at the option of the DEPARTMENT, become its
property, and the CONTRACTOR shall be entitled to receive just and equitable
compensation for any satisfactory work completed on such documents and other

materials. The CONTRACTOR shall not be relieved of liability to the
DEPARTMENT for damages sustained by the DEPARTMENT by virtue of any
breach of this agreement, and the DEPARTMENT may withhold payment to the
CONTRACTOR for the purpose of set off until such time as the exact amount of
damages due the DEPARTMENT from such breach can be determined.
8. The DEPARTMENT may terminate this agreement at any time by notice in
writing from the DEPARTMENT to the CONTRACTOR In that event, all
finished or unfinished documents and other materials shall, at the option of the
DEPARTMENT, become its property. If the contract is terminated by the
DEPARTMENT as provided herein, the CONTRACTOR will be paid in an
amount which bears the same ratio to the total compensation as the services
actually performed bear to the total services of the CONTRACTOR covered by
this agreement, or for each full hour of services performed where compensation is
based on each full hour of services performed, less payment of compensation
previously made. The CONTRACTOR shall repay to the DEPARTMENT any
compensation he has received which is in excess of the payment to which he is
entitled herein.
9. The parties to this contract agree and understand that the payment of the
sums specified in this contract is dependent and contingent upon and subject to the
appropriation, allocation, and availability of funds for this purpose to the
DEPARTMENT.
10. The DEPARTMENT may, from time to time, request changes in the scope
of the services of the CONTRACTOR to be performed under this agreement.
Such changes, including any increase or decrease in the amount of the
CONTRACTOR'S compensation, which are mutually agreed upon by and between
the CONTRACTOR and the DEPARTMENT, shall be incorporated in written
amendments to this contract.
11. Any information, data, instruments, documents studies or reports given to
or prepared or assembled by the CONTRACTOR under this agreement shall be
kept as confidential and not divulged or made available to any individual or
organization , except the Work Group, without the prior written approval of the
DEPARTMENT.
12. · The filing of a petition in bankruptcy or insolvency by or against the
CONTRACTOR shall terminate this agreement.
13. The CONTRACTOR shall not assign or transfer any interest in this
agreement.

14. ! In accordance with Federal regulation CONTRACTOR certifies that he
will not engage in the unlawful manufacture, distnoution, dispersing, possession,
or use of a controlled substance in the performance of this contract.
15. The Americans with Disabilities Act (ADA) makes it unlawful to
discriminate in employment against a qualified individual with a disability and
outlaws discrimination against individuals with disabilities in State and local
government services and public accommodations. The CONTRACTOR certifies
that it and its principals and subcontractors will comply with regulations in AD.A
Title I (Employment), Title II (Public Services), and Title m (Public
Accommodations) in fulfilling the obligations under this agreement.
16. The CONTRACTOR certifies that it (a) has neither used nor will use any
appropriated funds for payments to lobbyist, (b) will disclose the name, address,
payment details and purpose of any agreement with lobbyists whom
CONTRACTOR or its subtier contractor(s) or subgrantee(s) will pay with profits
or non appropriated funds on or after December 22, 1989, and (c) will file
quarterly updates about the use of lobbyists if material changes occur in their use.
17. No reports, maps or other documents produced in whole or in part under
this agreement shall be the subject of an application for copyright by or on behalf
of the CONTRACTOR
18. It is agreed between the parties hereto that the place of this contract, its
situs and forum, shall be Wake County, North Carolina, and in said County and
State shall all matters, whether sounding in contract or tort relating to the validity,
construction, interpretation and enforcement of this agreement, be determined.
19. The CONTRACTOR agrees that the State may have the right to audit the
records of the CONTRACTOR pertaining to this contract both during
performance and for 36 months after completion or termination. The
CONTRACTOR must retain all records relating to this contract and allow
employees or agents of the DEPARTMENT to inspect such records during the
period of time set out herein.
20. The CONTRACTOR agrees that he shall be responsible for the proper
custody and care of any State owned property furnished him for use in connection
with the performance of contract and will reimburse the State for its loss or
damage.

21. Bill Meyer is designated as the Contract Administrator (project
coordinator) for the State. However, any clwigea in the scope of the contract
which will increase or decrease the CONTRACTOR'S compensation shall not be
effective until they have been approved by the DEPARTMENT Head or
Authorized Agent.
IN WITNESS WHEREOF, the CONTRACTOR and the DEPARTMENT have executed
this agreement in duplicate originals, one of which ia retained by each of the parties, the day and
year first above written.

Science Advisor Scope of Work -PCB Landfill -Joel Hiachorn
I. Develop PCB Landfill detoxification project master plan, including:
1. Review all appropriate and applicable information and provide written
report evaluating existing environmental conditions at landfill, and make
recommendation to the Working Group after considering at least the
following:
(a)* Leachate, volume, chemical characteristics, extraction,
treatment and application systems
(b )* Other considerations deemed appropriate by the working
group
( c) Gas venting system, volume and flow and chemical
characteristics
( d) All chemicaVphysical sampling and analysis data including

I. Develop PCB Landfill detoxification project master plan, including:
1. Review all appropriate and applicable information and provide written
report evaluating existing environmental conditions at landfill, and make
recommendation to the Working Group after considering at least the
following:
(a) Groundwater quality, volume and flow, monitoring systems
(b )* Leachate, volume, chemical characteristics, extraction,
treatment and application systems
(c) Surface water quality, volume and flow, monitoring systems
including sediment
( d)* Other considerations deemed appropriate by the working

"CONTRACTOR", and North Carolina Department ofEnvironment, Health, and Natural
Resources, hereinafter referred to as "DEPARTMENT";
WITNESSETH:
THAT WHEREAS, the CONTRACTOR has submitted to the DEPARTMENT a
proposal for the performance of certain technical or professional services as Science Advisor for
the Joint State/Warren County PCB Landfill Working Group (Work Group); and
WHEREAS, the DEPARTMENT desires to enter into a contract with the
CONTRACTOR to perform the services set out in the proposal;
NOW, THEREFORE, for and in consideration of the mutual promises to each other, as
hereinafter set forth, the parties hereto do mutually agree as follows:
I. The CONTRACTOR hereby agrees to perform in a manner satisfactory to the
DEPARTMENT, the work described in the Science Advisor Scope ofWork-PCB Landfill -
Patrick Barnes which is incorporated as a part of this contract. (Attachment A)
2. The DEPARTMENT hereby agrees to pay the CONTRACTOR a sum of money
not to exceed one hundred thousand dollars ($100,000) unless completion of assigned task(s) and
availability of funds warrant additional amounts as determined by the DEPARTMENT. Payment
will be made at the rate of one hundred dollars ($100) per hour for accomplishing assigned task(s)
in the Scope of Work (Attachment A). This payment(s) will be full and complete compensation
for services rendered under this agreement.
(a) Payment for services will be made upon receipt of expenditure reports
(DEHNR 2481) or invoices from the CONTRACTOR documenting the
costs incurred, compliance with schedules, percent of completion of
assigned task(s) in the performance of work under this contract. Travel,
subsistence and personal vehicle use will be paid in accordance with
DEPARTMENT'S travel reimbursement policy which is incorporated in
Attachment B of this contract.

(b) Expenditure invoices, work schedules and degree of completion of task( s)
are to be submitted to the Contract Administrator at least monthly.
Payment will be made monthly. Final expenditure reports must be received
by the DEPARTMENT within 45 days after the end of the contract.
( c) Amended or corrected expenditure reports must be received by the Office
of the Comptroller within six months after the end of the contract period.
Any reports received after six months will be returned without action.
3. The CONTRACTOR represents that he has, or will secure at his own
expense, all personnel required in performing the services under this agreement.
Such personnel shall not be employees of the DEPARTMENT.
4. None of the work to be performed under this contract which involves the
specialized skill or expertise of the CONTRACTOR or his employees shall be
subcontracted without prior approval of the Contract Administrator. Sub-
contracting includes the implementation of any recommendation(s) by the
CONTRACTOR to the Work Group. The DEPARTMENT reserves the right to
sub-contract the implementation of any recommendation( s) of the
CONTRACTOR. The DEPARTMENT must approve all subcontracts.
5. The CONTRACTOR is an independent contractor and assumes all
responsibility for self and does, therefore, hold harmless the Contract
Administrator for the DEPARTMENT, the DEPARTMENT or any other state
government persons for payment of federal and state taxes and any other required
payments. This Agreement will in no way be construed to constitute an
employer/employee relationship.
6. The services of the CONTRACTOR are to commence on the 15th day of
February, 1996 and shall be undertaken and completed in such sequence as to
assure their expeditious completion in light of the purposes of this agreement, but
in any event, all of the services required hereunder shall be completed by the 30th
day of June, 1997.
7. If, through any cause, the CONTRACTOR shall fail to fulfill in timely and
proper manner the obligations under this agreement, the DEPARTMENT shall
there upon have the right to terminate this contract by giving written notice to the
CONTRACTOR of such termination and specifying the reason thereof and the
effective date thereof. In that event, all finished or unfinished documents, data,
studies, surveys, drawings, maps, models, photographs, and reports prepared by
the CONTRACTOR shall at the option of the DEPARTMENT, become its
property, and the CONTRACTOR shall be entitled to receive just and equitable
compensation for any satisfactory work completed on such documents and other

materials. The CONTRACTOR shall not be relieved of liability to the
DEPARTMENT for damages sustained by the DEPARTMENT by virtue of any
breach of this agreement, and the DEPARTMENT may withhold payment to the
CONTRACTOR for the purpose of set off until such time as the exact amount of
damages due the DEPARTMENT from such breach can be determined.
8. The DEPARTMENT may terminate this agreement at any time by notice in
writing from the DEPARTMENT to the CONTRACTOR In that event, all
finished or unfinished documents and other materials shall, at the option of the
DEPARTMENT, become its property. If the contract is terminated by the
DEPARTMENT as provided herein, the CONTRACTOR will be paid in an
amount which bears the same ratio to the total compensation as the services
actually performed bear to the total services of the CONTRACTOR covered by
this agreement, or for each full hour of services performed where compensation is
based on each full hour of services performed, less payment of compensation
previously made. The CONTRACTOR shall repay to the DEPARTMENT any
compensation he has received which is in excess of the payment to which he is
entitled herein.
9. The parties to this contract agree and understand that the payment of the
sums specified in this contract is dependent and contingent upon and subject to the ·
appropriation, allocation, and availability of funds for this purpose to the
DEPARTMENT.
10. The DEPARTMENT may, from time to time, request changes in the scope
of the services of the CONTRACTOR to be performed under this agreement.
Such changes, including any increase or decrease in the amount of the
CONTRACTOR'S compensation, which are mutually agreed upon by and between
the CONTRACTOR and the DEPARTMENT, shall be incorporated in written
amendments to this contract.
11. Any information, data, instruments, documents studies or reports given to
or prepared or assembled by the CONTRACTOR under this agreement shall be
kept as confidential and not divulged or made available to any individual or
organization , except the Work Group, without the prior written approval of the
DEPARTMENT.
12. The filing of a petition in bankruptcy or insolvency by or against the
CONTRACTOR shall terminate this agreement.
13 . The CONTRACTOR shall not assign or transfer any interest in this
agreement.

14. In accordance with Federal regulation CONTRACTOR certifies that he
will not engage in the unlawful manufacture, distribution, dispersing, possession,
or use of a controlled substance in the performance of this contract.
15. The Americans with Disabilities Act (ADA) makes it unlawful to
discriminate in employment against a qualified individual with a disability and
outlaws discrimination against individuals with disabilities in State and local
government services and public accommodations. The CONTRACTOR certifies
that it and its principals and subcontractors will comply with regulations in AD .A
Title I (Employment), Title Il (Public Services), and Title m (Public
Accommodations) in fulfilling the obligations under this agreement.
16. The CONTRACTOR certifies that it (a) has neither used nor will use any
appropriated funds for payments to lobbyist, (b) will disclose the name, address,
payment details and purpose. of any agreement with lobbyists whom
CONTRACTOR or its subtier contractor(s) or subgrantee(s) will pay with profits
or non appropriated funds on or after December 22, 1989, and (c) will file
quarterly updates about the use of lobbyists if material changes occur in their use.
17. No reports, maps or other documents produced in whole or in part under
this agreement shall be the subject of an application for copyright by or on behalf
of the CONTRACTOR.
18. It is agreed between the parties hereto that the place of this contract, its
situs and forum, shall be Wake County, North Carolina, and in said County and
State shall all matters, whether sounding in contract or tort relating to the validity,
construction, interpretation and enforcement of this agreement, be determined.
19. The CONTRACTOR agrees that the State may have the right to audit the
records of the CONTRACTOR pertaining to this contract both during
performance and for 36 months after completion or termination. The
CONTRACTOR must retain all records relating to this contract and allow
employees or agents of the DEPARTMENT to inspect such records during the
period of time set out herein.
20. The CONTRACTOR agrees that he shall be responsible for the proper
custody and care of any State owned property furnished him for use in connection
with the performance of contract and will reimburse the State for its loss or
damage.

21. Bill Meyer is designated as the Contract Administrator (project
coordinator) for the State. However, any changes in the scope of the contract
which will increase or decrease the CONTRACTOR'S compensation shall not be
effective until they have been approved by the DEPARTMENT Head or
Authorized Agent.

studies, surveys, drawings, maps, models, photographs, and reports prepared by
the CONTRACTOR shall at the option of the DEPARTMENT, become its
property, and the CONTRACTOR shall be entitled to receive just and equitable
compensation for any satisfactory work completed on such documents and other

materials. The CONTRACTOR shall not be relieved of liability to the
DEPARTMENT for damages sustained by the DEPARTMENT by virtue of any
breach of this agreement, and the DEPARTMENT may withhold payment to the
CONTRACTOR for the purpose of set off until such time as the exact amount of
damages due the DEPARTMENT from such breach can be determined.
8. The DEPARTMENT may terminate this agreement at any time by notice in
writing from the DEPARTMENT to the CONTRACTOR In that event, all
finished or unfinished documents and other materials shall, at the option of the
DEPARTMENT, become its property. If the contract is terminated by the
DEPARTMENT as provided herein, the CONTRACTOR will be paid in an
amount which bears the same ratio to the total compensation as the services
actually performed bear to the total services of the CONTRACTOR covered by
this agreement, or for each full hour of services performed where compensation is
based on each full hour of services performed, less payment of compensation
previously made. The CONTRACTOR shall repay to the DEPARTMENT any
compensation he has received which is in excess of the payment to which he is
entitled herein.
9. . The parties to this contract agree and understand that the payment of the
sums specified in this contract is dependent and contingent upon and subject to the
appropriation, allocation, and availability of funds for this purpose to the
DEPARTMENT.
10. The DEPARTMENT may, from time to time, request changes in the scope
of the services of the CONTRACTOR to be performed under this agreement.
Such changes, including any increase or decrease in the amount of the
CONTRACTOR'S compensation, which are mutually agreed upon by and between
the CONTRACTOR and the DEPARTMENT, shall be incorporated in written
amendments to this contract .
. 11. Any information, data, instruments, documents studies or reports given to
or prepared or assembled by the CONTRACTOR under this agreement shall be
kept as confidential and not divulged or made available to any individual or
organization , except the Work Group, without the prior written approval of the
DEPARTMENT.
12. The filing of a petition in bankruptcy or insolvency by or against the
CONTRACTOR shall terminate this agreement.
13. The CONTRACTOR shall not assign or transfer any interest in this
agreement.

14. In accordance with Federal regulation CONTRACTOR certifies that he
will not engage in the unlawful manufacture, distribution, dispersing, possession,
or use of a controlled substance in the performance of this contract.
15. The Americans with Disabilities Act (ADA) makes it unlawful to
discriminate in employment against a qualified individual with a disability and
outlaws discrimination against individuals with disabilities in State and local
government services and public accommodations. The CONTRACTOR certifies
that it and its principals and subcontractors will comply with regulations in A.D.A.
Title I (Employment), Title II (Public Services), and Title m (Public
Accommodations) in fulfilling the obligations under this agreement.
16. · · The CONTRACTOR certifies that it (a) has neither used nor will use any
appropriated funds for payments to lobbyist, (b) will disclose the name, address,
payment details and purpose of any agreement with lobbyists whom
CONTRACTOR or its subtier contractor(s) or subgrantee(s) will pay with profits
or non appropriated funds on or after December 22, 1989, and (c) will file
quarterly updates about the use of lobbyists if material changes occur in their use.
17. No reports, maps or other documents produced in whole or in part under
this agreement shall be the subject of an application for copyright by or on behalf
of the CONTRACTOR.
18. It is agreed between the parties hereto that the place of this contract, its
situs and forum, shall be Wake County, North Carolina, and in said County and
State shall all matters, whether sounding in contract or tort relating to the validity,
construction, interpretation and enforcement of this agreement, be determined.
19. The CONTRACTOR agrees that the State may have the right to audit the
records of the CONTRACTOR pertaining to this contract both during
performance and for 36 months after completion or termination. The
CONTRACTOR must retain all records relating to this contract and allow
employees or agents of the DEPARTMENT to inspect such records during the
period of time set out herein.
20. The CONTRACTOR agrees that he shall be responsible for the proper
custody and care of any State owned property furnished him for use in connection
with the performance of contract and will reimburse the State for its loss or
damage.

21. Bill Meyer is designated as the Contract Administrator (project
coordinator) for the State. However, any changes in the scope of the contract
which will increase or decrease the CONTRACTOR'S compensation shall not be
effective until they have been approved by the DEPARTMENT Head or
Authorized Agent.

this agreement in duplicate originals, one of which is retained by each of the parties, the day and

Attached are my estimates for labor costs ( at $100 per hour) for the tasks provided in the SOW
from your office. I have also added a task to cover reimbursable expenses. My estimated total
costs are $145,000 for both labor and eA-penses.
I want to emphasize that all my estimates are very approximate and have been .made without
havjng much information that would allow more accurate estimates. For example, I have not seen
nor have I been provided with any mventories of documents that will have to be reviewed for
various tasks. Nor jg it possible to clearly !mow the extent of required travel for meetings in
North Carolina and perhaps elsewhere. Moreover, based on my ex-perience to date in reaching
this pomt it is very clear that the complex nature of the Committee and the role of your office as
well as th.e political dimensions of the project can all result in more than normal ammmts oftime
for substantive work as well as discussions, report preparation, and travel than I have orclinarily
encolmtered with such work.
Therefore, I have prudently tried to err on th.e bjgh side in my estimates in order to protect my
company and to reduce the need for extensive change orders.
On the positive side, I want you to know that I .intend to try to cut costs whenever possible. For
example> on tasks shared with the other Science Advisor, Patrick Barnes and I have .negotiated
lead roles to reduce redundant efforts and streamline the process.
My company attorney has approved the draft contract. But I want to note that under paragraph
11 of the contract J cannot legally provide my work products to parties outside the Department.
This would inhibjt communications to Committee members. I will require written authorization to
allo"v me to provide my work products to either all or speci£c Committee members.

Science Advisor Scope of Work -PCB Landfill -Joel Hirschom
I. Develop PCB Landfill detoxification project master plan, including:
1. Review all appropriate and applicable information and provide written
report evaluating existing environmental conditions at landfill, and make
recommendation to the Working Group after considering at least the
following:
(a)"" Leachate, volume, chemical characteristics, extraction,
treatment and application systems
(b )"" Other considerations deemed appropriate by the working
group
( c) Gas venting system, volume and flow and chemical
characteristics
( d) All chemical/physical sampling and analysis data including
all toxic constituents, specifically dioxins and furans
(e) Natural and engineered characteristics of the site and landfill
2. Provide recommendations and processes for additional evaluations,
monitoring or other protective measures required as a pre-requisite for
detoxification or until detoxification is accomplished.
(a) Provide oversight for implementation of planned routine bi-
annual monitoring, sampling, and analytical events
(b )* Evaluate the need to remove water in landfill as a
prerequisite for detoxification and as a safety factor to
control releases from the landfill.
( c )* Provide recommendations for other protective measures
deemed appropriate by the Working Group, such as off-site
monitoring and evaluation of landfill liner systems.

3. Identify and recommend alternative appropriate and feasible technologies
for detoxification of landfill.
(a)* Review BCD permits submitted to EPA by SoilTech and
ETC for R&D under the TSCA, and make comments and

(b )* Design and/or draft RFPs/contracts for tasks required to
support and implement detoxification efforts.
(c)* Design or draft RFP for providing materials from the landfill
for pilot/bench scale detoxification technology studies
( excavation, storage, drying and delivery to vendors).
( d)* Prepare technical reports on detoxification efforts that are
of sufficient quality for scientific peer review as well as
sufficient clarity for use in presentations for community
involvement and understanding, and support efforts in the
General Assembly for funding detoxification of the landfill.
( e) Review existing criteria for selection of alternative
detoxification technology and vendor selection and
recommend any changes to facilitate selection process.
(f) Identify and recommend process for consideration, selection
and implementation of additional detoxification technologies
and vendors.
4. * Draft/outline all tasks and processes with milestones, scheduling
and budget for all elements of detoxification into a project plan for
consideration by the Working Group.
II. Develop proposals and plans for legislative support of detoxification efforts

JOEL S. HIRSCHHORN, Ph.D.
Dr. Hirschhorn has an exceptional background in science, technology, and environmen-
tal engi,neering, with extensive work in government programs, industrial practices, and
public policy. He conceived and directed many influential environmental studies at the
U.S. Congressional Office of Technology Assessment (OTA), helping to define key
technology and environmental issues, policies, and solutions for government and
industry. He is a recognized expert in hazardous waste cleanups, waste management
technologi,es, and environmental management, regulations and policy. He has worked
closely with every sector of society, from small and large companies and trade as-
sociations to local citizen groups and national environmental organizations. He also has
years of experience as a forensic environmental expert witness in litigation cases.
Experience in Superfund, Waste Site Cleanup, Waste Manaeement, Environmental
Technolo2,Y, Litieation Support, Expert Witness Testimony:
Dr. Hirschhorn has served as a technical advisor under several Superfund EPA
Technical Assistance Grants for community organizations in Maryland, Florida (2
sites), Louisiana, and Texas (2 sites). This work consists of indepth technical reviews
of Remedial Investigation/Feasibility Studies, Treatability Studies, Risk Assessments,
Design Studies, and other documents. He often provides conceptual designs for
alternative cleanup approaches for difficult Superfund cleanups. His work on the
Brio Refining site in Houston contributed to the EPA decision to stop the use of
onsite incineration and perform another feasibility study to determine a new remedy.
He provided expert testimony for a community group in Maryland opposing the
citing of a new rubble landfill. He has worked on several wood treating sites and is
expert on cleanup technologies for creosote, pentachlorophenol and dioxin con-
tamination.
He was also selected as the independent technical advisor for two citizens groups
concerned with the Fairfax, Virginia oil spill independent audit and remediation
program. He has provided considerable advice on site remediation methods and
cleanup technologies for petroleum contaminated soil and groundwater.
He was selected by citizens to serve on the Science Advisory Committee for the
Brookfield Avenue Landfill (Staten Island) cleanup being conducted by New York
City. He conducted a detailed review of regulatory compliance issues for the Fresh
Kills Landfill in New York City, with a focus on compliance with federal RCRA
Subtitle D regulations and the justification for federal intervention. He is expert on
landfill technologies and issues.
For parties in Georgia, he has served as an expert witness for civil litigation related
to exposures to hazardous substances from an industrial facility. He was an expert
witness in a case regarding disposal of special waste in a landfill in South Carolina.
He has worked for several law firms in Houston involvd with civil litigation about
health impacts from a Superfund site.

He served as a technical expert and consultant for Lloyds of London insurance
interests regarding a suit for a PCB cleanup at the nation's Capitol, and provided the
main successful strategy for avoiding insurance coverage because of a hazardous
waste exclusion provision.
He has served as technical consultant for two Municipal Utility Districts in Texas
because of their interest in the Brio Refining Superfund site. For this site he also
served as an expert witness in civil litigation regarding health effects for a school
district and affected citizens.
In the environmental technology area, he has conducted an independent and
comprehensive technology assessment study of PCB cleanup technology alternatives
relevant to the Hudson River cleanup under Superfund for the Clearwater environ-
mental organization in New York, including use of a detailed scoring and ranking
system for 14 PCB cleanup technologies. The report was released to the public in
January 1995. For an investment company he has conducted an independent
technology assessment of Molten Metal Technology's Catalytic Extraction Processing.
He has been a technical consultant to assist the development and commercialization
of proprietary technologies for SDTX Technologies on dechlorination technology, and
Terra Vac on soil vapor extraction, both advanced cleanup technologies. He has also
served as an expert witness in patent litigation for TerraVac.
Dr. Hirschhorn has been a senior consultant to Southern Pacific Transportation for
one of it's CERCLA sites in Texas. His mission was to change the remedial
technology already selected by EPA. He performed many technical analyses,
provided strategic advice, and worked in organizing support within the site's business
community, in Congress, and the news media. The project was successful. EPA is
allowing the PRPs to use a safer, more proven, and lower cost remedy. The PRPs
will save well over $25 million on this site alone.
For another PRP, the Malone Company, Dr. Hirschhorn has provided technical
analysis to support a position on its share of cleanup costs at a large Superfund site
and has served as an expert witness on a number of technical and Superfund
program issues for a suit brought by the company.
He has served as a technical expert for the Ciba-Geigy Corp. to assist the defense of
employees in a RCRA criminal prosecution.
For Harding Lawson Associates, a major environmental engineering firm, he has
served as a consultant and expert witness on matters related to claims and perfor-
mance for cleanup of a Superfund site in Texas, paticularly on use of in situ stabili-
zation/ solidification.
He has served as a consultant to Hunter Industrial Facilities, Inc., to provide
technical assistance and expert testimony for their hazardous waste disposal facility
project making use of a salt dome in Texas. The work involved the comparative
risks of incineration versus this technology, and also detailed assessments of waste
generation and reduction in Texas.
For Santee Cooper, a South Carolina utility company, he has served as an expert
witness in a state hearing, providing testimony on landfill technology, leakage and
contamination, and cleanup issues and costs.

He also has served as a technical consultant to the Department of Energy funded
Colorado Center for Environmental Management's program on alternative ap-
proaches to cleanup decisions, and has also directed a case study on a Superfund site
for the program.
Other clients in the areas of environmental technologies and Superfund include
DOE's Lawrence-Livermore National Laboratory, Clean Sites, Inc., and several law
firms.
Since leaving OT A, he was invited to present testimony at a June 1990 Senate
hearing, a September 1990 House hearing, an October 1991 House hearing, and a
November 1993 House hearing, all on Superfund.
Experience at the Con1n:essional Office of Technolo2,Y Assessment:
During his 12 years at the Congressional Office of Technology Assessment from 1978
to 1990, Dr. Hirschhorn distinguished himself as an environmental authority. His
studies of hazardous waste management under RCRA, Superfund and cleanup
technology, pollution prevention and waste reduction, among others, helped steer
federal laws and policies in new directions and impacted virtually all state and ·
industry toxic waste policies and activities. He participated in the drafting of the
Hazardous and Solid Waste Amendments Act (1984), the Superfund Amendments
and Reauthorization Act (1986), and the Pollution Prevention Act (1990). Results of
these OTA studies have been published and include: Technologies and Management
Strategies for Hazardous Waste Control; Superfund Strategy; Are We Cleaning Up?
-10 Superfund Case Studies; Assessing Contractor Use in Superfund; Coming
Clean ... Superfund Problems Can Be Solved; Technology and Steel Industry Com-
petitiveness; Serious Reduction of Hazardous Waste; and From Pollution to Preven-
tion.

At OTA, Dr. Hirschhorn provided responses to special Congressional requests,
particularly examining major Superfund sites, including Love Canal, Times Beach,
Stringfellow Acid Pits, Crystal City Airport, Brio Refining, Carson River Mercury,
and the Rocky Mountain Arsenal sites. He testified over 60 times on behalf of OTA
at Senate and House hearings on Superfund, cleanup, waste management and
technology, and pollution prevention subjects. Additionally, Dr. Hirschhorn main-
tained liaison with Congressional staff, Federal agencies, states, technology develop-
ers, industry and trade association leaders, interest groups, news organizations, and
universities throughout his OTA career. Few professionals have the credibility with
the general public as well as people in industry, environmental organizations,
government and the news media that Dr. Hirschhorn earned because of his public
service at OTA
Experience Before OTA:
Dr. Hirschhorn provided management consulting to many small and large domestic
and foreign companies ( e.g., IBM, Rayovac, Quebec Iron and Steel, Cabot, Beth-
lehem Steel, Hoogovens Steel) from 1965 until 1978 in strategic planning, R&D
planning, manufacturing technologies, acquisitions and diversifications. He was also
involved with product failure problems and provided expert testimony in legal cases,
including directing a large project for Covington and Burling, Washington, DC.
As a full professor of Metallurgical Engineering at the University of Wisconsin,
Madison from 1965 to 1978, Dr. Hirschhorn initiated and directed an internationally
recognized and industry supported teaching and research program on powder
metallurgy manufacturing, a waste-saving technique. He is the inventor of porous
surgical implants and new engineering alloys, and has two U.S. patents.
Dr. Hirschhorn was the Director of Research for Friction Products Company of
Medina, Ohio for a period of 4 years while still maintaining his faculty position with
the University of Wisconsin. He was responsible for strategic planning, designing
and establishing the R&D laboratory and program, new products, consulting to the
production department, and assisting the president in marketing new products.
EDUCATION
Dr. Hirschhorn earned his PhD. in Materials Engineering at Rensselaer Polytechnic
Institute in 1965, with a minor in physics. He earned his M.S. and B.S. degrees in
metallurgical engineering from the Polytechnic Institute of Brooklyn in 1962 and
1961, respectively.
