Reference is made to the Brownfields Agreement (the "Brownfields Agreement")
between Cherokee Mooresville, LLC ("Cherokee rvlooresville") and the North Carolina
Department of Environment and Natural Resources ("DENR") regarding the property located at
476 South Main Street in Mooresville, Iredell County, North Carolina (the "Property").
Cherokee Mooresville has entered into a purchase and sale agreement with George Bulat
regarding the proposed sale of the Property to Mr. Bulat. Section 22 of the Brown fields
Agreement requires DENR's consent for Cherokee to transfer the Brownfields Agreement to Mr.
Bulat. Mr. Bulat is willing to be bound by the terms of the Brownfields Agreement. His

Please sign below to confirm (i) DENR's consent to the assignment of Cherokee
Mooresville's rights, benefits and obligations pursuant to the Brownfields Agreement to Mr.
Bulat as required by Section 22 of the Brownfields Agreement and (ii) that upon (a) sale ofthe
Property to Mr. Bulat and (b) DENR's receipt of Mr. Bulat's written consent to be bound by the
Brownfields Agreement, Cherokee will be released from the Brownfields Agreement and will no
longer be a party thereto without the need for any further documentation of such release.
