COVENANTS AND RESTRICTIONS REGARDING
COUNTY OF CABARRUS STORMWATER MANAGEMENT PLAN
THIS DECLARATION OF COVENANTS AND RESTRICTIONS REGARDING
STORMWATER MANAGEMENT PLAN ("Declaration" or "covenants and restrictions") is made
as of the 1006 day of August, 2009, by KELLSWATER COMMONS II, LLC, a North
Carolina limited liability company ("Declarant').
STATEMENT OF PURPOSE
Declarant is the permitee under that North Carolina Department of Environment and
Natural Resources, Division of Water Quality, Stonmwater Management Plan permit number
08-1155v2 ("Permit'), which permits the discharge of stormwater into unnamed tributaries of Irish
Buffalo Creek for the development of the Kellswater Commons commercial mixed-use
development upon the terms and conditions set forth in the Permit and in the stormwater
management plan ("SMP") submitted by Declarant in connection therewith. As a condition of
issuance of the Permit, Declarant is required to record restrictions upon any real property covered
by the Permit which is to be conveyed to third parties in order to ensure that all future owners,
developers and occupants of the real property covered by the Permit comply with the Permit in the
future development of such real property. Declarant anticipates conveying the real property
described on Exhibit A (the "Property") attached hereto to Integra Springs, LLC, a Florida limited
liability company ("Integra"), and therefore hereby records these covenants and restrictions upon
the Property in accordance with the Permit.
NOW, THEREFORE, in consideration of the covenants and mutual benefits and duties
herein contained, Declarant hereby declares that the Property shall be held, developed, improved,
leased, sold, transferred, conveyed and occupied subject to the following covenants and
restrictions, all of which are for the purpose of protecting the value and desirability of, and which
shall be appurtenant to and run with title to the Property and shall be binding on all parties having

a right, title or interest therein now or in the future, along with their heirs, successors and assigns,
and which shall inure to the benefit of each owner thereof:
1. These covenants and restrictions are intended to ensure ongoing compliance with the state
Riparian Buffer Authorization and/or Water Quality General Certification number 08-1155 as issued by
the North Carolina Department of Environment and Natural Resources, Division of Water Quality
for the project known as Kellswatcr Commons. The Property is a portion of Kellswater Commons
and is a portion of the real property covered by the Permit.
2. The real property burdened by these covenants and restrictions is all that real property
described on Exhibit A attached hereto.
3. The State of North Carolina is made a beneficiary of these covenants and restrictions to the
extent necessary to maintain compliance with the Riparian Buffer Authorization and/or Water Quality
General Certification. These covenants and restrictions, therefore, may not be altered, rescinded or
deleted without the written consent of the State of North Carolina, Department of Environment and
Natural Resources, Division of Water Quality.
4. The Property constitutes a substantial portion of the real property in Drainage Zone #1
pursuant to the Permit. The maximum allowable impervious area for each Drainage Zone is as follows:

Impervious materials include asphalt, gravel, concrete, brick, stone, slate or similar material but
do not include wood decking or the water surface of swimming pools.
5. Swales shall not be filled in, piped, or altered except as necessary to provide driveway
crossings.
6. Impervious area in excess of the permitted amount requires a modified water quality
certification prior to construction.
7. All permitted runoff from outparcels or future development shall be directed into the
permitted stormwater control system. For the Property subject hereto, all permitted runoff shall be
directed into stormwater pond #1. All connections to the stormwater control system shall be performed
in a manner that maintains the integrity and performance of the system as permitted.
8. The approved stormwater treatment facilities, stormwater easements and drainage patterns
must be maintained in perpetuity. Alteration of the drainage system as depicted on the approved Permit
may not take place without the concurrence of the State of North Carolina, Department of
Environment and Natural Resources, Division of Water Quality.

9. The terms and provisions of these covenants and restrictions shall be appurtenant to,
and shall run with and bind title to, the Property and shall be binding upon and inure to the benefit
of all owners and occupants of the Property and their respective heirs, executors, legal
representatives, successors and assigns, and all other parties hereafter having an interest in any
portion of the Property and all parties claiming by, through or under them, forever.
10. Each future owner or developer of all or any portion of the Property shall be
considered to be the person legally responsible for compliance with the Permit as to stormwater
pond #1. Delcarant is the person legally responsible for compliance with the Perimit as to
stormwater pond #2 and stormwater pond #3. Stormwater ponds #1, #2, and #3 and the
corresponding drainage zones are depicted on the Stormwater Management Plan attached hereto as
Exhibit B.
11. In the event of any litigation arising from or concerning this Declaration, the
prevailing party shall have the right to recover reasonable attorneys' fees, costs and expenses as
awarded by a court of competent jurisdiction, whether such attorneys' fees, costs and expenses
were incurred before, during or after trial, or upon any appellate level, or in any administrative
proceeding, arbitration, mediation, or any proceeding in bankruptcy or insolvency.

Wet Detention Basin Operation and Maintenance Agreement
I will keep a maintenance record on this BMP. This maintenance record will be kept in a
log in a known set location. Any deficient BMP elements noted in the inspection will be
corrected, repaired or replaced immediately. These deficiencies can affect the integrity
of structures, safety of the public, and the removal efficiency of the BMP.
The wet detention basin system is defined as the wet detention basin,
pretreatment including forebays and the vegetated filter if one is provided.

Important maintenance procedures:
- Immediately after the wet detention basin is established, the plants on the
vegetated shelf and perimeter of the basin should be watered twice weekly if
needed, until the plants become established (commonly six weeks).
- No portion of the wet detention pond should be fertilized after the first initial
fertilization that is required to establish the plants on the vegetated shelf.
- Stable groundcover should be maintained in the drainage area to reduce the
sediment load to the wet detention basin.
- If the basin must be drained for an emergency or to perform maintenance, the
flushing of sediment through the emergency drain should be minimized to the
maximum extent practical.
- Once a year, a dam safety expert should inspect the embankment.
After the wet detention pond is established, it should be inspected once a month and
within 24 hours after every storm event greater than 1.0 inches (or 1.5 inches if in a
Coastal County). Records of operation and maintenance should be kept in a known set
location and must be available upon request.

Please accept this letter in lieu of items four (4) and six (6) on page 2 of 3 of the required items
checklist per the State Stormwater Permit Name/Ownership Change Form. The designer's
certification will be provided to NCDENR upon completion of SWM/BMP Pond # 1 as required per the
DWQ 401 Water Quality Certification. After completion of SWM/BMP Pond # 1 the maintenance
records will be kept in a log in a known set location as required per the Wet Detention Basin
Operation and Maintenance Agreement.
