PURCHASE AND SALE AGREEMENT
This Purchase and Sale Agreement (this `�ri ) Is made and entered into as of the day of .tune,
2010 by and between Pilgrim's Pride Corporation (Vk/a Gold Kist. Inc.), 1770 Promontory Circle, Greeley,
Colorado 80834,(' eW) and Bonlee Mills LLC, 2504 Spies Road, Robbins, North Carolina 27325, ('iular)
(Buyer and Seller, collectively, the 'Parties" and, individually, a 'Part ).
I.
CONTRACT
1.1 Seiler hereby agrees to sell, transfer, and convey to Buyer, and Buyer hereby agrees to purchase
from Seller, subject to and upon the terms and conditions set Forth in this Agreement, that certain
tract of land described on Exhibit attached hereto and Incorporated herein by this reference
together with any and all (a) Improvements (as hereinafter defined), (b) rights, easements, and rights
of way and the appurtenances belonging or appertaining thereto, and (c) all equipment therein as of
April 19, 2010 (collectively, the 'E ua gMffl ") {including, but not limited to, bagging systems,
conditioners, conveying equipment, cookers, coolers, Grumblers, dosing systems, dryers, dust
collectors, extruders, fat sprayers, freezers, hammer mills, liquid addition machinery, mixers, pellet
mills, scales, screening equipment, and steam boilers (collectively, the 'Pro rtyf').
1.2 The `E2ectiv@ Date' of this Agreement shall be the date on which Buyer and Seller duly and fully
execute consistent versions hereof without amendments or alterations not duly Initialed by all
Parties.
1.3 Seller shall, at Closing, deliver exclusive possession of the Property to Buyer pursuant to the terns
and c:ondidions hereof.
1.4 Seiler shall, as soon as practicable after the Effective Date, use Its hest efforts to seek an order of
approval of this Agreement by the United States Bankruptcy Court for the Northam District of Texas
(Case 08-4W04-dmI11) (the 'BpnkruMv Court) with order and supporting motions In form and
substance reasonably satisfactory to Buyer (the ' nk tG OEger•),
PURCHASE PRICE
2.1 The Purchase Price to be paid by Buyer to Seller for and in consideration of the conveyance of the
Property and execution and delivery of the Instruments and other items set forth herein shall be five

2.2 Buyer shall pay and deliver the Purchase Price to Seller, at Closing, in cash.

O ING SCHEDULE AND A AT CLOSING
3.1 The consummation. of the transactions set forth In this Agreement CCloslnd) shall be conducted at
10.00 a.m. thirty (30) days after the due execution of the Bankruptcy Court Order, but not prior to the
satisfaction of all of the Conditions Precedent, (the "Closingpate' at the offices of Robbins May S
Rich LLP in Pinehurst, North Carolina.
3.2 Seller shall, at the Closing of the purchase and sale of the Property hereunder, (a) duly execute and
deliver to Buyer a general warranty deed to the Property, In the standard form of the North Carolina
State Bar Association (North Carolina State Bar Association Form Number 5), conveying good and
Indefeasible title, insurable at ordinary rates. In fee simple, free and clear of any Encumbrances
except the exceptions listed on Schedule 5 of the title insurance commitment secured -for Buyer,
(collectively, the `Permitted Exceptions•), (b), notwifhstanding the foregoing, satisfy and discharge of
record any and all recorded mortgages and deeds of trust against Seiler encumbering the Property
(and, in no event, shall any mortgage or deed of trust be considered to be a Permitted Exception), (c)

duty execute and deliver to Buyer a warranty bill of sale conveying good and Indefeasible fife, free
and clear of any Encumbrances, to the Equipment, and (d) duty execute and deliver to Buyer 0) an

of Buyer and a title insurance company, selected in the sole and exclusive discretion of Buyer, (' rt
m ar ) regarding contractors' and materialmen's tiers on the Property, (4) Internal Revenue
Service Form 1099, (tit) a FIRPTA affidavit in the form attached hereto as Exhlbit B. and (iv) a
certificate of Seiler that certifies the Incumbency and signature of the officer of Selter executing this
Agreement and any and all other documents relating to the consummation of the transactions
contemplated hereby.
3.3 Buyer shall, at the Closing of the purchase and sale of the Property, pay the Purchase Price
pursuant to Sectign 2.2 hereof.
3.4 Buyer and Seller shall undertake reasonable efforts in good fafh in order to satisfy the terms and
conditions of this Agreement and thus to effectuate Closing.
IV.
CONDITIONS PRECEDENT TO CLOSING
4.1 Notwithstanding any other provisions of this Agreement to the contrary, all of Buyer's duties and
obligations under this Agreement, Including Buyer's obligation to proceed to Closing, shall be
conditioned upon and subject to the complete satisfaction of the conditions precedent hereinafter set
forth, each of which condition is for the sole benefit of Buyer and any of which conditions may be
waived by Buyer at any time in the sole and exclusive discretion of Buyer, (collectively, the
'Conditions PreEe�MM.
a. Each and every warranty and representation made by Seiler In this Agreement shall be true,
correct, complete, and accurate In all respects as of the Effective hate and as of the Closing
Date and shall not omit or fall to state any fads or circumstances without which each and
every warranty and representation made by Sailer in this Agreement would be untrue,
incorrect, incomplete, inaccurate or misleading.
b. Seller shall have timely performed each and every duty, obligation, covenant, and
agreement of Seiler contained In this Agreement Including, without limitation, the execution
and delivery by Seller to Buyer of each and every instrument referred to herein.
C. Buyer shall have received a Phase I environmental assessment, to be conducted by an
environmental consultant selected by Buyer In its We and exclusive discretion and at Its
expense, that reports and confirms the absence of any Hazardous Materials (as hereinafter
defined) on the Property.
d. Buyer shall have received a survey of the Property, to be conducted by a surveyor selected
by Buyer in its sole and exclusive discretion and at its expense, that shows no
encroachments, overlaps, violations of applicable governmental requirements or other
matters that constitute exceptions to title that are not Permitted Exceptions and that cause
the surveyor to certify and warrant to Buyer and the Tile Company that (i) the acreage of the
Property Is at least nine (9) =es, (ii) the survey Is a complete and accurate representation
of the Property, and (M) there are no gores, gaps or stops and other facts that are
customarily required by the Title Comfy.
9. The applicable governmental zoning classificatlon of the Property shall permit the operation,
as of right, thereon of a feed mill.
Buyer shall have received all permits and licenses necessary for the operation of the feed
mill on the Property without installation of additional equipment or Incurrence of additional
expense.

On December 1, 2010, Tom Ascenzo and Vick Webb of the Raleigh Regional Office conducted
compliance evaluation inspections of Bonlee feed mill storm water and non -contact, boiler blow down
wastewater program. Your help was appreciated as it facilitated the inspection process.
The following observations were made:
1. The Bonlee Feed Mill was closed in March 2009. In August 2010. Purvis Farms Inc. purchased
this facility. Enclosed is the permit name/ownership change form. This is to be filled out
immediately for both NCG060202 and NCG500314 permits.
2. This facility was not operational at the time of the inspection. Please keep this office informed of
the start date.
3. The Stormwater Pollution Prevention Plan (SP3) that was on site is the out dated version left by
Gold Kist Inc. As discussed during the inspection, please update the SP3 and resume ali
requirements found inside the NCG060202 permit.
4. Qualitative and quantitative inspection as well as analytical sampling is to resume at once.
Enclosed is the form for qualitative and quantitative morning and the stormwater discharge form.
5. There were some issues over house cleaning that I went over with Mr. Sessoms while walking the
grounds. The area around the backside of the silos had a large pile of feed/corn. This pile of
feed/corn is to be removed immediately and properly disposed.
6. The facility has one outfall that was observed at the time of the inspection.
7. There were no boilers on site and therefore no discharge. Please note, once the new boiler arrives
and is placed into production then analytical sampling is to resume per the requirements found
inside of permit NCG500314. One

On March 23, 2007, Ms. Stephanie Brixey of the Raleigh Regional Office conducted a stormwater and wastewater
evaluation inspection of Gold Kist, Inc. with the assistance of Mr. Danny Sanders, mill manager, and Jeff Sessoms,
maintenance supervisor of the facility. Your help was appreciated as it eased the inspection process.
The following observations were made:
The facility does have a Stormwater Pollution Prevention Plan (SPPP) on the site. The plan is last revised
annually. The Facility Inspection program consists of weekly and quarterly inspections of the facility. Employee
training is documented. The facility implements good housekeeping.
2. The qualitative and analytical monitoring has been conducted as required by the permit. As a reminder,
qualitative monitoring is to be done once during April to May and once during September to November.
3. There is one outfall, which was observed during the inspection.
4. The general wastewater permit is for the boiler blow down. Analytical monitoring was completed as required by
the permit. Currently the sample for this is taken as it combines into the stormwater ditch. In the future the
sample should be collected from the discharge pipe at the boiler room.
5. Both permits are to be renewed this year. The applications are completed at the corporate office. Gold Kist has
been sold to Pilgrim's Pride_ Note that a permittee is required to notify the Division in writing in the event the
permitted facility is sold. This is found in Part III Section B.2 of the general stormwater permit NC060000 and in
Part 11 Section E.5 of general permit NCG500000.
The overall conditions of Gold Kist Feed Mill's stormwater and wastewater programs are compliant with Division

Your facility is currently covered for stormwater discharge under General Permit NCG060000. This permit expires
on August 31, 2(H)2. The Division staff is currently in the process of rewriting this permit and is scheduled to have
the permit reissued by late summer of 2002. Once the perrnit is reissued, your facility would be eligible for
continued coverage under the reissued permit.
In order to assure your continued coverage under the general permit, you must apply to the Division of Water
Quality (DWQ) for renewal of your permit coverage. To make this renewal process easier, we are informing you in
advance that your permit will be expiring. Enclosed you will find a General Permit Coverage Renewal
Application Form. The application must be completed and returned by March 4, 2002 in order to assure continued
coverage under the general permit.
Failure to request renewal within this time period may result in a civil assessment of at least $250.00. Larger
penalties may be assessed depending on the delinquency of the request. Discharge of stormwater from your facility
without coverage under a valid stormwater NPDES permit would constitute a violation of NCGS 143-215.1 and
could result in assessments of civil penalties of up to $10,000 per day.
Please note that recent federal le�oislation has extended the "no exposure exclusion" to all operators of industrial
facilities in any of the 1 1 categories of "storm water discharges associated with industrial activity." (except
construction activities). If you feel your facility can certify a condition of "no exposure". i.e. the facilty industrial
materials and operations are not exposed to stormwater, you can apply for the no exposure exclusion. For additional
information contact the Central Office Stormwater Staff member listed below or check the Stormwater & General
Permits Unit Web Site at http://h2o.enr.state.nc.us/su/stornlwater.html
If the subject stormwater discharge to waters of the state has been terminated, please complete the enclosed
Rescission Request Form. Mailing instructions are listed on the bottom of the form. You will be notified when the
rescission process has been completed.
