We received a letter addressed to Carie Mathison at 917 JR Industrial Drive, Sanford, NC 27330-9733 during late March
2016. We have attached the letter for reference. This was our first notification of the rescinded storm water permit
NCG050311. Richard Draskinis was contacted by you on 2016-04-05 and discussed the error made by Jean Sweeney
from 3M Company to request Desco Industries' storm water permit to be rescinded. This permit was transferred from 3M
Company to SCS Desco Industries and finalized in 2015-03-10 after the sale of the business to Desco Industries, Inc. We
have been operating under this transferred permit since that time.
Per your conversation with Richard Draskinis, the following were discussed.
• An overview on how the permit was rescinded by 3M Company and granted by the state.
• Reactivating the permit was not an easy thing to do since it was already sent to the EPA and that you would look
into recommendations to resolve this matter of compliance. The options could include resubmitting an application
for a permit if the NCDENR cannot reactivate the permit that we transferred from 3M Company to SCS Desco.
We will need an official written lette in regards to how we can operate without an active permit during the time in resolving
this matter. Until this matterM so ved, we will continue to operate under the NCG050311 requirements.

BILL OF SALE
This 3M INNOVATION SINGAPORE PTE. LTD. BILL OF SALE (this "Bill of Sale"),
dated as of January 2, 2015 (the "Effective Date"), is delivered by Desco Industries, Inc. ("Local
lnitjal lnvegIM Seller') to 3M Innovation Singapore Pte. Ltd. ("Local Initial'lnveattory 13uyer").
RECITALS
WHERE -AS, Desco industries, Inc., a California corporation C'DI a ) and 3M
Company, a Delaware corporation (" eller"}, have entered into that certain Asset Purchase
Agreement, bated as of December 12, 2014 (the "AEA', pursuant to which Seller has agreed to
sell and transfer, and cause the Selling Subsidiaries to sell and transfer, to Buyer or a Buyer
Designated Transferee (as defined in the APA), and Buyer has agreed to purchase and assume, or
cause a Buyer Designated Transferee to purchase and assume, from Seller and the Selling
Subsidiaries, the Transferred Assets and the Assumed Liabilities;
WHEREAS, pursuant to the APA, local Initial Inventory Buyer and Local initial
Inventory Seller have entered into that certain 3M Innovation Singapore Ptc_ Ltd_ Acquisition
Agreement dated as of the Effective Date (the "Acquisition A-getnent'), pursuant to which
Local Initial Inventory Buyer sold the Subject Assets, as that term is defined in the Acquisition
Agreement, to Local Initial Inventory Seller;
WHEREAS, Buyer and Seller have entered into that certain Transition Distribution
Services Agreement dated as of the Effective Date (the "TDSA'% pursuant to which Buyer
desires Seller to act as its distributor and perforce certain Transition Distribution Services for a
limited period following the Closing and which is untended for a limited period of time to
facilitate Customers' purchase of Products, minimize disruption to Customers' historical
ordering and purchase practices for Products, and pronnote the orderly transition of Customers to
Buyor's sales channels for Products; and
WHEREAS, this Bill of Sale is being entered into in furtherance of the sale of Initial
Inventory (as defined in the TDSA) between Local Initial Inventory Buyer and Local Initial
Inventory Seller (the "Local Wtiai Inventory") pursuant to Section 3.1 (Supply of Initial
Inventory) of the TDSA, and by which Local Initial Inventory Seller is selling, transferring,
assigning, conveying, and delivering, and Local Initial Inventory, Buyer is purchasing, acquiring,
and accepting, all of Local Initial Inventory Seller's right, title, and interest in, to, and under the
Local Initial Inventory.
Capitalized terms used but not otherwise defined in this Bill of Sale, have the meanings ascribed
thereto in the APA, or if no meanings are ascribed thereto in the APA, in the TDSA, or if no
meanings are ascribed thereto in the TDSA, in the Acquisition Agreement. This Bill of Sale is in
all respects subject to the terms and conditions of the TDSA, which shall govern the respective
rights of Local Initial Inventory Seller, on the one hand, and Local Initial Inventory Buyer, on
the other hand, with respect to the Local Initial Inventory, and nothing contained in this Bill of
Sale shalt in any way supersede, modify, replace, amend, change, rescind, waive, defeat, limit,
impair, expand, exceed, enlarge or affect the provisions set forth in, or any person's rights,
remedies or obligations under the TDSA, this Bill of Sale being intended solely to effect the

transfer of the Local Initial Inventory between Local Initial Inventory Buyer and Local Initial
Inventory Seller as contemplated in the TDSA. To the extent that any provision of this Bill of
Sale is inconsistent or conflicts with the TDSA, the TDSA shall control.
FOR GOOD AND VALUABLE CONSIDERATION as set forth in Section 11 of the
TDSA, the receipt and sufficiency of which are hereby acknowledged, Local Initial Inventory
Seller does hereby sell, transfer, assign, convey and deliver to Local Initial Inventory Buyer and
its successors and assigns to have and to hold forever, all of Local initial Inventory Seller's right,
title and interest in, to and under the Local Initial Inventory.
Local Initial Inventory Buyer acknowledges that Local Initial Inventory Seller makes no
representation or warranty with respect to the Local Initial Inventory conveyed herby except as
specifically set forth in the TDSA.
This Bill of Sale and all matters arising out of or relating to it shall he interpreted,
construed and governed by and in accordance with the internal laws of the State of Delaware of
the United States of America without giving effect to any choice or conflict of law provision or
rule (whether of the State of Delaware or any other jurisdiction) that would cause the application
of the laws of any jurisdiction other than those of the State. of Delaware.
This Bill of Sale may be executed in one or more counterparts, each of which shall be
deemed to be an original and, all of which, when taken together, shall be deemed to be one and
the same agreement_ A signed copy of this Bill of Sale transmitted by facsimile, email or other
means of electronic transmission shall be deemed to have the: same Legal effect as delivery of an
original executed copy of this Bill of Sale for all purposes.

FINAL AGREEMENT
BILL OF SALE
This 3M INNOVATION SINGAPORE PTE. LTD. BILL OF SALE (this "Bill of Sale"),
dated as of January 2, 2015 (the "Effective Date"), is delivered by Desco Industries, Inc. ("Local
Initial Inventory Seller") to 3M Innovation Singapore Pte. Ltd. ("Local Initial Inventory Buyer").
- RECITALS
WHEREAS, Desco Industries, Inc.; a California corporation ("Buyer") and 3M
Company, a Delaware corporation ("Seller"), have entered into that certain Asset Purchase
Agreement, dated as of December 12, 2014 (the "APA"), pursuant to which Seller has agreed to
sell and transfer, and cause the Selling Subsidiaries to sell and transfer, to Buyer or a Buyer
Designated Transferee (as defined in the APA), and Buyer has agreed to purchase and assume, or
cause a Buyer Designated Transferee to purchase and assume, from Seller and the Selling
Subsidiaries, the Transferred Assets and the Assumed Liabilities;
WHEREAS, pursuant to the APA, Local Initial Inventory Buyer and Local Initial
Inventory Seller have entered into that certain 3M Innovation Singapore Pte. Ltd. Acquisition
Agreement dated as of the Effective Date (the "Acquisition Agreement"), pursuant to which
Local Initial Inventory Buyer sold the Subject Assets, as that term is defined in the Acquisition
Agreement, to Local Initial Inventory Seller;
WHEREAS, Buyer and Seller have entered into that certain Transition Distribution
Services Agreement dated as of the Effective Date (the "TDSA"), pursuant to which Buyer
desires Seller to act as its distributor and perform certain Transition Distribution Services for a
limited period following the Closing and which is intended for a limited period of time to
facilitate Customers' purchase of Products, minimize disruption to Customers' historical
ordering and purchase practices for Products, and promote the orderly transition of Customers to
Buyer's sales channels for Products; and
WHEREAS, this Bill of Sale is being entered into in furtherance of the sale of Initial
Inventory (as defined in the TDSA) between Local Initial Inventory Buyer and Local Initial
Inventory Seller (the "Local Initial Inventory") pursuant to Section 3.1 (Supply of Initial
Inventory) of the TDSA, and by which Local Initial Inventory Seller is selling, transferring,
assigning, conveying, and delivering, and Local Initial Inventory Buyer is purchasing, acquiring,
and accepting, all of Local Initial Inventory Seller's right, title, and interest in, to, and under the
Local Initial Inventory.
Capitalized terms used but not otherwise defined in this Bill of Sale, have the meanings ascribed
thereto in the APA, or if no meanings are ascribed thereto in the APA, in the TDSA, or if no
meanings are ascribed thereto in the TDSA, in the Acquisition Agreement. This Bill of Sale is in
all respects subject to the terms and conditions of the TDSA, which shall govern the respective
rights of Local Initial Inventory Seller, on the one hand, and Local Initial Inventory Buyer, on
the other hand, with respect to the Local Initial Inventory, and nothing contained in this Bill of
Sale shall in any way supersede, modify, replace, amend, change, rescind, waive, defeat, limit,
impair, expand, exceed, enlarge or affect the provisions set forth in, or any person's rights,
remedies or obligations under the TDSA, this Bill of Sale being intended solely to effect the

transfer of the Local Initial Inventory between Local Initial Inventory Buyer and Local Initial
Inventory Seller as contemplated in the TDSA. To the extent that any provision of this Bill of
Sale is inconsistent or conflicts with the TDSA, the TDSA shall control.
FOR GOOD. AND VALUABLE CONSIDERATION as set forth in Section 3.1 of the
TDSA, the receipt and sufficiency of which are hereby acknowledged, Local Initial Inventory
Seller does hereby sell, transfer, assign, convey and deliver to Local Initial Inventory Buyer and
its successors and assigns to have and to hold forever, all of Local Initial Inventory Seller's right,
title and interest in, to and under the Local Initial Inventory.
Local Initial Inventory Buyer acknowledges that Local Initial Inventory Seller makes no
representation or warranty with respect to the Local Initial Inventory conveyed herby except as
specifically set forth in the TDSA.
This Bill of Sale and all matters arising out of or relating to it shall be interpreted,
construed and governed by and in accordance with the internal laws of the State of Delaware of
the United States of America without giving effect to any choice or conflict of law provision or
rule (whether of the State of Delaware or any other jurisdiction) that would cause the application
of the laws of any jurisdiction other than those of the State of Delaware.
This Bill of Sale may be executed in one or more counterparts, each of which shall be
deemed to be an original and all of which, when taken together, shall be deemed to be one and
the same agreement. A signed copy of this Bill of Sale transmitted by facsimile, email or other
means of electronic transmission shall be deemed to have the same legal effect as delivery of an
original executed copy of this Bill of Sale for all purposes.

RECITALS
WHERE -AS, Desco Industries,. Inc., a California corporation {"Bu a ') and 3M
Company, a Delaware corporation (" eller"), have entered into that certain Asset Purchase
Agreement, elated as of December 12, 2014 (the " FXA , pursuant to which Seller has agreed to
sell and transfer, and cause the Selling Subsidiaries to sell and transfer, to Buyer or a Buyer
Designated Transferee (us defined in the APA), and Buyer has agreed to purchase and assume, or
cause a Buyer Designated Transferee to purchase and assume, from . Seller and the Seising
Subsidiaries, the Transferred Asscts and the Assumed Liabilities;
WHEREAS, pursuant to the APA, local Initial Inventory Buyer and Local Initial
Inventory Seller have entered into that certain 3M innovation Singapore Ptc. Ltd. Acquisition
Agreement dated as of the Effective Date (the "Acq'uisition Agmetnent'), pursuant to which
Local Initial Inventory Buyer sold the Subject Assets, as that term is defined in Lice Acquisition
Agreement, to Local Initial .Inventory Seller;
WHEREAS, Buyer and Seller have entered into that certain Transition Distribution
Services Agreement dated as of the Effective Date (the "TDaA'% pursuant to which Buyer
desires Seller to act as its distributor and perform certain Transition Distribution Services for a
limited period following the Closing and which is intended for a limited period of time to
facilitate Customers' purchase of Products, minimize disruption to Customers' historical
ordering and purchase practices for Products, and promote the orderly transition of Customers to
Ruyor'•s sales channels for Products; and
WHEREAS, this Bill of Sale is being entered into in furtherance of the sale of Initial
Inventory (as defined in the TDSA) between Local Initial Inventory Buyer and Local Initial
Inventory Seller (the "I.ocal !Wtial IM=tory") pursuant to Section 3.1 (Supply of Initial
-Inventory) of the TDSA, and by which Local Initial Inventory Seller is selling, transferring,
assigning, conveying, and delivering, and Local Initial Inventory Buyer is purchasing, acquiring,
and accepting, All of Local Initial Inventory Seller's right, title, and interest in, to, and under the
Local Initial Inventory.
Capitalized terms used but not otherwise defined in this Bill of Sale, have the meanings ascribcd
thereto in the APA, or if no meanings are ascribed thereto in the APA, in the TDSA, or if no
meanings are ascribed thereto in the TDSA, in the Acquisition Agreement. This Bill of Sale is in
all respects subject to the terms and conditions of the TDSA, which shall govern the respective
rights of Local Initial Inventory Seller, on the one hand, and Local Initial Inventory Buyer, on
the other hand, with respect to the Local Initial Inventory, and nothing contained in this Bill of
Sale shall in any way supersede, modify, replace, amend, change, rescind, waive, defeat, limit,
impair, expand, exceed, enlarge or affect the provisions set forth in, or any person's rights,
remedies or obligations under the TDSA, this Bill of Sale being intended solely to effect the

transfer of the Local Initial Inventory between Local Initial Inventory Buyer and Local Initial
Inventory Seller as contemplated in the TDSA. To the extent that any provision, of this Bill of
Sale is inconsistent or conflicts with the TDSA, the TDSA shall control.
FOR GOOD AND VALUABLE CONSIDERATION as set forth in Section 3,1 of the
TDSA, the receipt and sufficiency of which are hereby acknowledged, Local .Initial Inventory
Seller does hereby sell, transfer, assign, cotivey and deliver to Local Initial Inventory Buyer and
its successors and assigns to have and to hold forever, all of Local Initial Inventory Seller's right,
title and interest in, to and under the Local Initial Inventory,
Local Initial Inventory Buyer acknowledges that Local Initial Inventory Seller makes no
representation or warranty with respect to the Local Initial Inventory conveyed herby except as
specifically set forth in the TDSA.
This Bill of Sale and all matters arising out of or relating to it shall be interpreted,
construed and governed by and in accordance with the internal laws of the State of Delaware of
the United States of America without giving effect to any choice or conflict of law provision or
rule (whether of the State of Delaware or any other jurisdiction) that would cause the application
of the laws of any jurisdiction other than those of the State -of Delaware,
This Bill of Sale may be executed in one or more counterparts, each of which shall be
deemed to be an original and all of which,'when taken together, shall be deemed to be one and
the same agreement. A signed copy of this Bill of Sale transmitted by facsimile, email or other
means of electronic transmission shall be deemed to have the same legal effect as delivery of an
original executed copy of this Bill of Sale for atl purposes.

Industries, Inc. (Desco) for Desco to purchase the assets of 3M's global Static Control business. 3M's
Static Control business is a provider of products and solutions that help prevent, detect, and protect
against Electrostatic Discharge (ESD) events. The transaction is expected to close during the first quarter
of 2015 after the successful completion of-Desco's financing and is subject to customary closing
conditions. Terms of the transaction were not disclosed.

On March 20, 2009, Vicki Webb of the Raleigh Regional Office conducted a stormwater compliance
inspection of the subject facility. The facility is located at 917 JR Industrial Dr. in Sanford, NC. The
assistance of Cindi Webb, EHS Engineer, was greatly appreciated as it facilitated the inspection process.
The following observations were made:
NCG050311
Stormwater runoff from this site is discharged to the receiving waters designated as Carrs Creek,
a class C stream, in the Cape Fear River Basin.
2. All components of the Stormwater Pollution Prevention Plan (SP3) were present including:
detailed site map with labeled storm outfall, a list of potential contaminants, a spill and response
plan, a narrative describing BMPs, and a contact list of whom to contact in an emergency. Please
add phone numbers to the contact emergency list. Employee training records were on -site.
This facility maintains good house keeping practices. The files are kept in a well organized
fashioned. Such order eased the file review process.
3. Qualitative and quantitative inspection records were available for review and appeared complete.
4. The facility contains three stormwater outfalls. All three of the facility's stormwater outfalls
were observed during the inspection.

5. Review of the three no -exposure permits for 3M Sanford was performed during the visit on
March 20, 2009. While all three of the permits meet the no -exposure requirements, it was
determined that the facilities falls under your NPDES permit NCG050311.

NCGNE0307, NCGNE0308, and NCGNE0309. Send to: Stormwater permitting Unit, Division
of Water Quality, 1617 Mail Service Center, Raleigh, NC 27699-1617.
7. Once you have rescinded your permits NCGNE0307, NCGNE0308, and NCGNE0309, you will
need to update your SP3 to include the facilities and their outfalls. These three are covered by the
stormwater permit conditions set forth in NCG050311.

On May 15, 2006, I conducted a stormwater compliance evaluation inspection of the J J Converting facility in
Sanford, North Carolina. Richard Daskins and Debbie Bigelow represented the company during the inspection.
Their aid was greatly appreciated.
The J J Converting facility is a manufacturing facility that discharges stormwater through three outfalls into
Carrs Creek, a class C water within the Cape Fear River Basin.
The stormwater management and the spill prevention and response plans were reviewed during the inspection
and found to be sufficient. Documentation indicates that the plan is reviewed annually by Leonhardt
Environmental. Leonhardt Environmental also conducts the annual spill prevention and response training for
the facility's employees. This training was last conducted in December 2005.
The site map should be updated to include all impervious surfaces and outdoor storage, drainage pipes, and a
differentiation of the drainage areas.
Qualitative monitoring is required by permit to be performed semi-annually in the spring (April — June) and fall
(September — November) at each of the three outfalls. Documentation indicates that only outfall one is being
monitored. Mr. Daskins confirmed this during the inspection. Please send documentation for this spring's
monitoring to the letterhead address by July 14, 2006. Failure to do so would be a violation of your stormwater
permit and could result in enforcement action.
A visual review was made of the site and the stormwater outfalls. Organic chemical barrels were being stored
outside in a covered area at the time of the inspection. Secondary containment was present but was full at the
time with stormwater. Catalyst barrels for the incinerator were also being stored outside at the time of the
inspection. These rusting containers were in an uncovered area without secondary containment. Mr. Daskins
stated that these issues would be resolved quickly.

Failure to request renewal within the time period specified, may result in a civil assessment of -at least $250.00.
Larger penalties may be assessed depending on the delinquency of the request. Discharge of stormwater from your
facility without coverage under a valid stormwater NPDES permit would constitute a violation of NCGS 143-215.1
and could result in assessments of civil penalties of up to $10,000 per day.
Please note that recent federal legislation has extended the "no exposure exclusion" to all operators of industrial
facilities in any of the I I categories of "storm water discharges associated with industrial activity," (except
construction activities). If you feel your facility can certify a condition of "no exposure", i.e. the facility industrial
materials and operations are not exposed to stormwater, you can apply for the no exposure exclusion. For additional
