Corporation to DDP Specialty Electronic Materials US 9, LLC as the result of a corporate
reorganization.

request to transfer the NPDES Stormwater permit associated with the above -referenced site to

THIS QUITCLAIM DEED, made and entered into this first day of November, 2018, by and between
Dow Silicones Corporation (f/k/a/ Dow Corning Corporation), a Michigan corporation, hereinafter
called Grantor, whose permanent mailing address is 2200 West Salzburg Road, Midland MI 48686-
0994, United States and DDP Specialty Electronic Materials US 9, LLC, a Delaware limited liability
company, hereinafter called Grantee, whose permanent mailing address is 2200 West Salzburg Road,
Midland MI 48686-0994, United States.
WITNESSETH:
That said Grantor, for and in consideration of the sum of Ten Dollars ($10.00) to it in hand paid,
the receipt of which is hereby acknowledged, has remised and released and by these presents does
remise, release, convey, and forever quit claim unto the Grantee, its heirs, and/or successors and assigns,
all right, title, claim and interest of the Grantor in and to a certain lot or parcel of land lying and being in
Guilford County, North Carolina, and more particularly described as follows (hereinafter called the
Property):

Grantor makes no warranty, express or implied, as to title to the Property hereinabove described.
All or a portion of the Property herein conveyed does not include the primary residence of
Grantor.
The Grantee's use of the Property shall be:
(i) Under and subject to the conditions and restrictions that in no event shall the Property be
used:
(a) in a manner that involves occupation by children, the elderly, or the infirm for
extended periods, including as a school for children, daycare, adult daycare,
campground, assisted -living community, nursing home, child care facility, or other
long-term care facility;
(b) for residential purposes, including, but not limited to, for any homes, apartments,
condominiums, vacation dwellings, or dormitories;
(c) as a hotel or hospital, or for any recreational use, including as a park, sports field, or
other sports facility; or
(d) in violation of any environmental law;
(ii) Under and subject to the condition and restriction that the extraction of groundwater from
the Property is expressly prohibited for any use; provided that groundwater may be
extracted in connection with a response action or actions relating to any contaminated
environmental media (including investigation, remediation, or monitoring) that (a) is
commenced on or prior to the date hereof or (b) is required at any time by environmental
laws or by any orders issued by applicable governmental authorities;
(iii) Subject to all matters of record and any matters not of record, including but not limited to
leases, covenants, conditions, restrictions, plans, and easements with respect to the
applicable property, this reference to which shall not be construed to re -impose any such
covenants, conditions, restrictions, plans, and easements that have otherwise lapsed,
expired, or have otherwise been terminated in accordance with their terms or otherwise,
as applicable, other than those set forth in paragraphs (i) and (ii) hereof, and
(iv) On an "AS -IS," "WHERE IS," AND "WITH ALL FAULTS" BASIS.

BEGINNING at an iron stake in the northern margin of Patterson Street, which iron stake is located
South 77' 24' West 500 feet from the intersection of the northern margin of Patterson Street and the
western margin of Pinecroft Road and marks the southwestern corner of a tract now or formerly owned
by W.W. McEachern (now or formerly leased to Branch Motor Express Company), and from said

West 60.0 feet to the northwest corner of said lot; thence leaving said Patterson Street, South 13' East
70 feet to the northwest corner of the tract conveyed by McCabe to Miller, deed recorded in Book 1554

also being the old Lindley Nursery Company property line and running thence from said beginning
point South 77 deg. 24 min. West 362.87 feet along the Northern margin of Patterson Street to an iron
