Dear Sir or Madam:
In August of 2017, E.I. du Pont de Nemours and Company ("DuPont") and The Dow Chemical
Company merged and each became a wholly-owned subsidiary of DowDuPont, Inc. as part of a
planned corporate reorganization. As the next step of that reorganization, DowDuPont is now
preparing to separate into three independent publicly-traded companies with one company
focused on agriculture, one on material science, and one on specialty products.
To prepare for these planned separations, DowDuPont will be realigning its business entities so
that the facilities and permits are held by the appropriate wholly-owned subsidiaries of
DowDuPont. More specifically, the above-referenced sites will be transferred from Dupont to
DuPont Industrial Biosciences USA, LLC ("DuPont Industrial Biosciences"), a subsidiary of
Performance Specialty Products NA, LLC ("Performance Specialty Products"), each of which
are also wholly-owned subsidiaries of DowDuPont and are focused on specialty products. These
corporate realignments are expected to be completed on February 1, 2019, and the necessary
notifications, applications and agreements will be submitted to accomplish any necessary permit
transfers associated with the realignments. At a later date, -on or about June 1, 2019,
Performance Specialty Products will begin operating as an independent, publicly-traded
company.
