application and supplemental information requesting Nationwide permits 12 and 29 from the USACE and
associated 401 Water Quality Certifications as well as a Buffer Authorization from N.C. Division of Water
Resources (NCDWR).
The proposed project is a residential subdivision. For more details see the attached site plans, maps and
PCN form. The proposed impacts are for stormwater BMP discharges thru the buffer, road crossings, lot
fill and sewer line crossings.

Wetland and stream impacts were avoided completely in Phases 1,2 U. Only buffer impacts were requested. In phases 4 thru14 there are stream
wetland and buffer impacts required for lots, roads and/or utilities, however they have been placed almost entirely in the uppermost reaches of first
order streams and on wetlands that are marginal in nature as far as jurisdiction. Highest quality streams (over 4000') and wetlands (almost 9 acres)
have been avoided and preserved.
1 b. Specifically describe measures taken to avoid or minimize the proposed impacts through construction techniques.
BMP outlets, roads and the sewer crossing cross the buffer perpendicularly and are the minimum width necessary so as to minimize impacts. Rip rap
at road crossings will be suppressed such the top layer is at the original stream bed elevation.

We have reviewed the "Draft Internal Policy, Cumulative impacts and the 401 Water Quality Certification and Isolated Wetlands Programs" document
prepared by the NC Division of Water Quality on April 10, 2004, version 2.1. The draft states that many private developments are unlikely to cause
cumulative impacts, including projects such as urban in -fill, most residential subdivisions and small commercial developments as well as agricultural
and silvicultural operations. Tryon Phases 4 to 14 is a residential development.

The purpose of this letter is to notify you that the NCDEQ Division of Mitigation Services (DMS) is willing to accept
payment for compensatory mitigation for impacts associated with the above referenced project as indicated in the
table below. Please note that this decision does not assure that participation in the DMS in -lieu fee mitigation
program will be approved by the permit issuing agencies as mitigation for project Impacts. It is the responsibility
of the applicant to contact permitting agencies to determine if payment to the DMS will be approved. You must
also comply with all other state, federal or local government permits, regulations or authorizations associated with
the proposed activity including G.S. § 143-214.11.
This acceptance is valid for six months from the date of this letter and is not transferable. If we have not
received a copy of the issued 404 Permit/401 Certlfication/CAMA permit within this time frame, this
acceptance will expire. It is the applicant's responsibility to send copies of the permits to DMS. Once DMS
receives a copy of the permit(s) an invoice will be issued based on the required mitigation in that permit and
payment must be made prior to conducting the authorized work. The amount of the in -lieu fee to be paid by an
applicant is calculated based upon the Fee Schedule and policies listed at http://portal.ncdenr.org/web/eep,
Based on the information supplied by you in your request to use the DMS, the impacts that may require
compensatory mitigation are summarized in the following table. The amount of mitigation required and assigned

This document confirms that Tryon Investment Partners, LLC (Applicant) for the Tron Subdivision
(Project) has expressed an interest to utilize 232 Stream Mitigation Credits from the EBX-Neuse
sponsored Neu -Con Wetland & Stream Umbrella Mitigation Bank and the EBX-EM sponsored Forrest
Creek Bank, specifically 146.4 credits from the Buffalo Branch Site, 9.1 credits from the Selma Mill Site,
and 76.5 credits from UT -2, all in the Neuse HUC 03020201. As the official Bank Sponsor, EBX-Neuse
I, LLC and EBX-EM, LLC, attest to the fact that mitigation is available for reservation at this time.
These mitigation credits are not considered secured, and consequently are eligible to be used for alternate
purposes by the Bank Sponsor, until payment in full is received from the Applicant resulting in the
issuance of a Mitigation Credit Transfer Certificate by the bank acknowledging that the Applicant has
fully secured credits from the bank and the Banker has accepted full responsibility for the mitigation
obligation requiring the credits/units.
The Banker will issue the Mitigation Credit Transfer Certificate within three (3) days of receipt of the
purchase price. Banker shall provide to Applicant a copy of the Mitigation Credit Transfer Certificate and
a documented copy of the debit of credits from the Bank Official Credit Ledger(s), indicating the permit
number and the resource type secured by the applicant. A copy of the Mitigation Credit Transfer
Certificate, with an updated Official Credit Ledger will also be sent to regulatory agencies showing the
proper documentation.

We are providing this letter in accordance with 33 CFR §332.8(r), to confirm that 79 Stream Mitigation Credits
(Credits) from the Pancho Stream, Wetland & Nutrient Mitigation Bank (Bank) are currently available and may be
used, once transferred, for compensatory mitigation relative to the Tron Subidivision project, and as proposed by
Tryon Investment Partners, LLC (Applicant).
The Applicant may ultimately purchase the Credits, if they are available, following Permit issuance. Should the
Applicant purchase the Credits at that time, we will complete and execute the Compensatory Mitigation
Responsibility Transfer Form (Transfer Form) within five (5) days of receipt of the full purchase price.
We will additionally provide copies of the completed and executed Transfer Form to the Applicant, the Bank's US
Army Corps (USACE) Project Manager and, if needed, other regulatory agencies. In addition, we will provide USACE
with an updated copy of the Bank's Ledger, reflecting the transaction. Transaction information in the updated Bank
Ledger will include relevant Permit and Applicant information as well as the number and resource type of the debited
Credits.
