VICE PRESIDENT OF COPPER BUILDERS LLC.
TO
ACTION WITHOUT MEETING
I, the undersigned, being the sole shareholder and sole Director of Copper
Builders, LLC, do hereby adopt the following resolution to formalize the
appointment of an additional Officer by signing my written consent thereto:
Appointment of Officer
RESOLVED, that the following person is hereby appointed as an officer of
the corporation to serve as such until his successor shall have been duly appointed
and qualified:
Carla Lunday-Vice President of Communities (Triangle)
RESOLVED FURTHER, that the Vice President shall have the full and
complete authority to bind the Company to any and all legal contracts,
including, but not limited to, real property transactions, subcontractor
agreements, marketing and advertising agreements, employment agreements,
partnership agreements, and any other agreement in the furtherance of the
primary business of the Company, with said primary business being the acquisition,
development, improvement, and conveyance of real property. Any third party relying
upon this Consent shall be entitled to rely upon it as conclusive evidence as to the
appropriateness thereof and of the authority of such Office to execute and deliver
any such document and do any such act and thing.
