WITNESSETH, that the Grantor, for a valuable consideration paid by the Grantee, the receipt of which is hereby
acknowledged, has and by these presents does grant, bargain, sell and convey unto the Grantee in fee simple, all that
certain lot or parcel of land and more particularly described as follows:
Lying and being in Stonewall Township, Hoke County, North Carolina, and being a!! of that 102.05-acre tract as
shown on plat entitled, "Survey of the Estate Lands of Grace H. Andrews," drawn by Leland D. Strother, RLS L-
2768, dated February 21, 1992, and recorded in Slide 337, Map 8, Hoke County Registry.
This being the same property conveyed to T.B. Upchurch, Inc. via instrument recorded in Book 306, Page 872, Hoke
County Registry.

and the terms of the Memorandum of understanding with

All of that 0.709-acre tract conveyed to Sandra Poole and husband, Stephen M. Poole, via Deed recorded in Book
431, Page 834, and shown on plat recorded in Slide 385, Plat 005, Hoke County Registry.
EXCEPTION 2:
All of that 12.105-acre tract conveyed to Robie W. Currie via Deed recorded in Book 438, Page 126, Hoke County
Registry.
EXCEPTION 3:
All of that 4.543-acre tract conveyed to James E. Cabell and wife, Robyn L. Cabell, via Deed recorded in Book 539,
Page 407, and shown on plat recorded in Slide 2-90, Map 005, Hoke County Registry.
EXCEPTION 4:
All of that 10.11-acre tract conveyed to Charles M. Orem and wife, Cheryl C. Orem, via Deed recorded in Book 606,
Page 249, Hoke County Registry.
TO HAVE AND TO HOLD the aforesaid lot or parcel of land and all privileges and appurtenances thereto belonging to the
Grantee in fee simple.
And the Grantor covenants with the Grantee, that Grantor is seized of the premises in fee simple, has the right to convey
the same in fee simple, that title is marketable and free and clear of all encumbrances, and that Grantor will warrant and
defend the title against the lawful claims of all persons whomsoever except for the exceptions hereinafter stated.
This conveyance is made subject to enforceable reservations, easements, restrictions and covenants of
record, matters shown on the above plat, ad valorem taxes for the current year, and zoning or other
municipal ordinances.
