THIS AGREEMENT (the "Agreement") is made and entered into by and between The
Conservancy Real Estate Group, LLC, a North Carolina limited liability company (the "Purchaser") and
Chatham Land Group, LLC, a North Carolina limited liability company (the "Owner").
RECITALS
A. Purchaser is performing certain services for Owner under that certain Entitlement
Agreement dated October 1, 2020 (the "Entitlement Agreement") to obtain permits and approvals (the
"Approvals") for the development of certain real property in the Chatham County, North Carolina
containing approximately one thousand three hundred (1,300) acres into The Conservancy subdivision (the
"Pro e ").
B. The Approvals include the permitting of the Waste Water Treatment Plant and associated
spray irrigation fields.
C. At such time as the Purchaser obtains the Approvals, Purchaser and Owner will enter into
a formal purchase and sale agreement for the purchase of the Property in phases based on the Purchaser's
intended development of the Property.
D. In order to set forth their agreements concerning the purchase of the Property, Purchaser
and Owner are entering into this Agreement.
AGREEMENT
1. The Property. The Property consists of those certain parcels of real estate containing
approximately 1,262 acres located in Chatham County, North Carolina, together with all improvements
situated thereon, all right, title, and interest of Seller in and to any land lying in the bed of any existing
dedicated street, road, or alley adjoining thereto, any ground rights in any street to be dedicated, all strips
and gores adjoining thereto, and all water and mineral rights and all other rights, ways, easements,
privileges, and appurtenances thereunto belonging (the "Real Property") together with all of Seller's right,
title, and interest in and to that certain intangible property owned by Seller or used by Seller exclusively in
connection with all or any portion of the Real Property, if any, including, without limitation, all of Seller's
right, title, and interest, if any, in and to: (a) all plats, improvement plans, drawings and specifications, and
development rights and credits relating to the Property, (b) all books, records, reports, test results,
environmental assessments, if any, as -built plans, specifications, and other similar documents and materials
relating to the use, operation, maintenance, repair or construction of all or any portion of the Real Property;
(c) all transferable licenses, architectural, site, landscaping or other permits, applications, approvals,
authorizations, and other entitlements affecting any portion of the Real Property; and (d) all transferable
guarantees and warranties, if any, relating to all or any portion of the Real Property (the "Intangible
Pronertv" and together with the Real Property, the "Pronertv"). A drawing of the Property is attached
hereto as Exhibit A and incorporated herein by this reference. A list of the PINs for the parcels that make
up the Property are shown on Exhibit B. which is attached hereto and incorporated herein by this reference.
2. Purchase and Sale Agreement. Upon receipt of the Approvals, Purchaser shall present
Owner with a Purchase and Sale Agreement (the "Purchase Agreement") showing the Purchase Price that
Purchaser is offering for the purchase of the Property. Owner shall have ten (10) days from the date of
receipt of the Purchase Agreement to notify Purchaser if it accepts the Purchase Agreement as presented or
present Purchaser with revised terns which shall be deemed a counter offer by the Owner. Purchaser shall
have ten (10) days from receipt of the Owner's counter offer to either accept the revised terms as presented
or to offer Owner different terms. This process shall continue until Purchaser and Owner agree on the terms
of the Purchase Agreement or until wither party terminates the discussions.
3. Closing. Owner understands that Purchaser will be developing the Property through
multiple phases and the Purchase Agreement shall provide for multiple closings based on the land needed
for these various phases of development; provided, however, that the Purchaser shall purchase at the initial
closing no less than the land needed for the Waste Water Treatment Plant, the initial spray irrigation fields
and the land covering the initial phase of residential lots.
4. Successors and Assigns. The terms of this Agreement shall be binding upon and inure to
the benefit of the successors and assigns of the parties hereto; provided, however, that Borrower shall not
assign this Agreement or any of its rights, interests, duties or obligations hereunder without the prior written
consent of Lender and that any such assignment (whether voluntary or by operation of law) without
Lender's consent shall be void.
5. Counteraarts. This Agreement may be executed in two or more counterparts, each of
which shall be deemed to be an original, but all of which shall constitute one and the same instrument, and
in making proof of this Agreement, it shall not be necessary to produce or account for more than one such
counterpart.
