simple. Grantor covenants with Grantee that Grantor is seized of the Property in fee simple, Grantor has the right to convey
the Property in fee simple, title to the Property is marketable and free and clear of all encumbrances, and Grantor shall warrant
and defend the title against the lawful claims of all persons whomsoever, other than with respect to the following exceptions:
ad valorem taxes for the tax year 2023; applicable zoning ordinances; and easements, rights of way, restrictions, and
encumbrances of record.

EXHIBIT A
The Property
BEING all of that land comprising 275.000 acres, plus Cemetery "A" comprising 0.306 acre and
Cemetery "B" comprising 0. 136 acre, as shown on that survey by Jason T. Herman, P.L.S. L--5014,
dated August 10, 2023, entitled "ELEVATE LSD HOLDINGS, LLB"' as per plat thereof recorded
in Plat Book 29, Pages 391 -392, in the Office of the Register of Deeds of Watauga County, North
Carolina (the "Plat"), reference to which is made for a more particular description.
Grantor herein conveys non-exclusive easements for ingress, egress, and regress, for access to and
from any of the property herein conveyed, over those rights-of-way as shown on the Plat. Grantor
also herein reserves non-exclusive easements for ingress, egress, and regress, for access to and
from any of Grantor's adjoining property, over those rights-of-way as shown on the Plat for use
by pedestrian and non-commercial vehicles only. Non-commercial vehicles means a self-
propelled vehicle permitted on public roadways and that: (i) have a gross vehicle weight rating or
gross combination weight rating of 10,000 or less pounds; (ii) is designed to transport less than 15
passengers, including the driver; and (iii) is not used in the transportation of hazardous materials
in a quantity requiring placarding in accordance with the hazardous materials regulations of the
United States Department of Transportation.
