GENERAL ASSIGNMENT AND BILL OF SALE
For good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged,Dellinger Precast,Inc., a North Carolina corporation("Dellinger"),Precast Supply
Company, Inc., a North Carolina corporation (the "Precast"), and Winchester Building Supply
Company, Inc. a Virginia corporation (together with Dellinger and Precast, collectively,
"Debtors"), hereby sell, convey,transfer and assign to Concrete Pipe &Precast, LLC, a Delaware
limited liability company ("Buyer"), any and all of Debtors' respective legal, equitable, and
beneficial right,title,and interest in,to, and under all of Debtor's assets and properties constituting
Transferred Property.
This sale, conveyance, transfer, and assignment are made to Buyer pursuant to that certain
Strict Foreclosure Agreement, dated as of March 11, 2024 (the "Strict Foreclosure Agreement"),
by and among Debtors, Buyer, and Agent (as defined therein). All capitalized terms used herein
and not otherwise defined herein shall have the meaning ascribed thereto in the Strict Foreclosure
Agreement.
