RECITALS A. WNR is a wholly -owned subsidiary of Weyerhaeuser. Weyerhaeuser wishes to transfer, assign and deliver to WNR certain of Weyerhaeuser's assets as defined in Paragraph 1 below (the "Transferred Assets"). B. WNR wishes to acquire and accept from Weyerhaeuser all of Weyerhaeuser's right, title and interest in, to and under all of the Transferred Assets. C. As a condition to and in consideration for the contribution by Weyerhaeuser of the Transferred Assets to WNR, WNR has agreed to assume and satisfy the Assumed Liabilities (defined in Paragraph 4 below). The transfers and assumptions pursuant to this Agreement and that certain Assumption Agreement by WNR in favor of Weyerhaeuser dated as of January 1, 2009 together constitute a transfer described in Section 351 of the Internal Revenue Code of 1986, as amended. NOW THEREFORE, in consideration of the premises and the mutual covenants herein contained and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: I. Transferred Assets. For purposes of this Agreement, "Transferred Assets" means all the properties, assets, goodwill and rights (including lease, license and other contractual rights) of whatever kind and nature, real or personal, tangible or intangible that are owned by Weyerhaeuser and used or held for use by or relating to the operations and conduct of Weyerhaeuser's Cellulose Fibers segment businesses, Wood Products segment businesses, and Timberlands segment businesses other than the Excluded Assets as defined in Paragraph 2 below (collectively, the "Transferred Businesses), including, but not limited to: a. all owned real property, leaseholds and other interests in real property of Weyerhaeuser used or held for use in the operation and conduct of the Transferred Businesses together with Weyerhaeuser's right, title and interest in and to all plants, facilities, buildings, structures, improvements and fixtures on such real property, all easements and rights of way pertaining thereto or accruing to the benefit thereof and all other appurtenances and real property rights pertaining thereto; b. all Weyerhaeuser's equity interests, membership interests, partnership interests and outstanding shares of stock of the subsidiaries, corporations, limited liability companies and partnerships listed on Exhibit A to this Agreement (the "Transferred Subsidiaries"). C. all revenue -producing oil and gas interests; d. all raw materials, works -in process, finished goods and products, supplies, parts and other inventory owned by Weyerhaeuser that are used or held for use in the operation or conduct of the Transferred Businesses; e. all accounts receivable of Weyerhaeuser to the extent arising out of the operation or conduct of the Transferred Businesses; f. all patents, trademarks, servicemarks, trade names, domain names, logos, copyrights, designs, all applications, registrations, renewals, reissues and reexaminations in connection therewith and all rights to any of the foregoing, and all trade secrets, disclosures, inventions, improvements, confidential information whether business or technical in nature, processes, procedures, technical data and know-how owned by Weyerhaeuser; g. all permits, licenses, approvals, consents, waivers, registrations, certificates or declarations (including pending applications) of Weyerhaeuser from any federal, state, local or foreign government or court or administrative agency or commission used or held for use in the operation or conduct of the Transferred Businesses; h. all contracts, leases, subleases, licenses, bonds, debentures, indentures, guarantees, agreements, commitments and all other legally binding instruments to which Weyerhaeuser is a party or by which Weyerhaeuser is bound that are used or held for use in or arise out of the operation or conduct of the Transferred Businesses; i. all rights of Weyerhaeuser to products sold or leased for the operation or conduct of the Transferred Businesses and all credits, prepaid expenses, deferred charges, advance payments, security deposits and prepaid items that are used or held for use in or arise out of the operation or conduct of the Transferred Businesses; j. all rights, claims, causes of action and credits owned by Weyerhaeuser to the extent relating to any Transferred Assets or Assumed Liability, and all rights to make claims under insurance policies issued by third -party insurers in respect of the Transferred Assets or Assumed Liabilities and all proceeds of such insurance policies; k. all books, records and other documents related to the Transferred Businesses, Transferred Assets and Assumed Liabilities in whatever form or medium; and 1. all other assets, properties, goodwill and rights of Weyerhaeuser reflected on its unaudited balance dated as of December 31, 2008 relating to the Transferred Businesses, along with cash and other corporate assets reflected on Exhibit B to this Agreement. 2. Excluded Assets. The Transferred Assets shall not include the following (the "Excluded Assets"): a. timberlands held primarily for growing timber and related silvacultural activities, along with the trees growing on these timberlands and the mineral interests underlying these timberlands ; provided, however that revenue -producing oil and gas interests underlying these timberlands shall be Transferred Assets; and b. corporate and other assets of Weyerhaeuser listed on the attached Exhibit B 3. Assignment of the Transferred Assets. Effective as of 12:01 a.m., January 1, 2009 (the "Effective Date"), Weyerhaeuser hereby transfers, assigns and delivers to WNR all right, title and interest in, to and under all of the Transferred Assets, including the Transferred Subsidiaries. 4. Assumption of Liabilities. a. WNR hereby unconditionally and expressly agrees, effective as of the Effective Date, to assume, pay, perform, satisfy and discharge when due all obligations and liabilities of Weyerhaeuser related to or arising out of the Transferred Assets, the Transferred Businesses or the operation or conduct of the Transferred Businesses, as well as any other liabilities of Weyerhaeuser except for those liabilities related to or arising out of the Excluded Assets, in each case regardless of whether such liabilities arose prior to, or arise on or after, the Effective Date (collectively, the "Assumed Liabilities"); provided, however, this Agreement does not assign or otherwise affect the liabilities related to certain outstanding senior securities, which are the subject of a separate Assumption Agreement by WNR in favor of Weyerhaeuser executed contemporaneously herewith and dated as of January 1, 2009. b. WNR hereby unconditionally and expressly agrees, effective as of the Effective Date, to defend, indemnify and hold Weyerhaeuser harmless, against all litigation and claims related to or arising out of the Assumed Liabilities. WNR shall appoint counsel to appear for Weyerhaeuser and otherwise control Weyerhaeuser's defense of litigation and claims related to or arising out of the Assumed Liabilities, including but not limited to determining in WNR's sole discretion whether to compromise, settle or pay litigation and claims. 5. Covenants. a. Weyerhaeuser hereby covenants and agrees to execute and deliver to WNR, its successors and assigns, all such further and separate assignments, agreements, deeds, title documents, conveyances, transfers and other instruments as WNR or its successors or assigns may at any time reasonably request for further assurance to it or them of the title to the Transferred Assets and the right, title and interest of Weyerhaeuser to the Transferred Assets. b. WNR hereby covenants and agrees to execute and deliver to Weyerhaeuser, its successors and assigns, all such further and separate assumptions, agreements, transfers and other instruments as Weyerhaeuser or its successors or assigns may at any time reasonably request for further assurance to it or them of the assumption of all obligations and liabilities related to or arising out of the Assumed Liabilities. 6. Binding Effect; Assignment. This Agreement shall be binding on Weyerhaeuser and WNR and each of their respective successors and assigns; provided, however, that neither this Agreement nor any of the rights, interests or obligations under this Agreement may be assigned, in whole or in part, by operation of law or otherwise by any of the parties hereto without the prior written consent of the other party. Any attempted assignment in violation of this provision shall be void. 7. Amendments. The Agreement may not be amended, supplemented, modified or otherwise terminated without the prior written consent of Weyerhaeuser and WNR. 3 8. Governing Law. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Washington applicable to agreements made and to be performed entirely within such state, without regard to the conflicts of law principles of such state. 9. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which shall be considered one and the same agreement and shall become effective when one or more counterparts have been signed by each of the parties and delivered to the other party. Chemical additive in use for the rail car steam condensate is Morton System Saver Pellets (a water softener). The completed invoice form is attached with corrections. Additional effluent limits requests: None. 4. Other: PART IV - EVALUATION AND RECOMMENDATIONS As previously noted, the waste streams to be covered under the proposed Permit are diverse. Each of the wastestreams eventually co -mingle at the extreme southern edge of the property, at a culvert which conveys the wastewater below the Southern Railway tracks, and thence to the Yadkin. The flow paths are essentially as illustrated in "Figure 2" which was submitted as an attachment to the application. The most straightforward of the wastestreams to address are those consisting of the cooling tower blowdown, steam generator condensate, the cooling water circulated to cool bearings (non -contact), and intermittent discharges from the fire protection water tanks. Each of these discharges reaches the culvert beneath the Railway line by over -land flow. These streams would appear to be eligible for coverage under a General Permit or Permits, were it not for the fact that they are eventually combined into a common outfall which also conveys the waste stream from the retention ponds. The second wastestream to be addressed is stormwater which flows southwest across the log yard, and is then conveyed to the upper and larger of the two retention ponds. The stormwater flows through the two retention ponds until it reaches the common conveyance culvert beneath the Southern Railway line. This water becomes laden with organic material (wood chips, bark, etc.) during transit across the log yard, and likely picks up trace amounts of oil and grease. The third and final wastestream is that generated by the washing down of the exterior surfaces of various plant structures in the air pollution equipment and dryer area. This area is isolated from any stormwater except for that which actually falls within this segregated area. There is also a conveyance pipe from the chipper located on the northern edge of the gravel log yard which empties into this area. All water in the air pollution equipment and dryer area is then piped to the upper of the two retention ponds, where it mixes with the stormwater from the log yard, and is then discharged via the culvert beneath the Southern Railway line. The Region recommends that, upon determination of the proper type of NPDES Permit or Permits needed by the facility, this application be acted on according to current Division policy.
