3. That pursuant to the Corporation's Bylaws and certain resolutions adopted by the Corporation's
Board of Directors, each of G. David Cuthbertson, as President, Johnathan McCall, as Chief Operating
Officer, and Martha Norwood, as Chief Financial Officer, has authority to take all actions and execute all
documents necessary for the operation of the Corporation,without the consent or authorization of the other,
including but not limited to:
• Execution and delivery of documents for the purchase and sale of the Corporation's real
property, including, but not limited to, contracts, deeds, closing statements, disbursement
directions, lien waivers and ownership affidavits;
• Execution and delivery of financing documents for the acquisition and development of the
Corporation's real property, including, but not limited to, promissory notes, loan agreements
and security instruments; and
• Execution and delivery of agreements and documents related to the development of the
Corporation's real property, including, but not limited to, easements, permit and zoning
applications, subdivision and recombination plats, and development agreements.
4. Miscellaneous. That: (a) all franchise and other taxes required to maintain the Corporation's
existence have been paid and that no such taxes are delinquent; (b) no proceedings are pending for the
forfeiture of the Corporation's Articles of Incorporation or for the Corporation's dissolution, voluntary or
involuntary and the Corporation validly exists under the laws of the State of North Carolina; (c) the
Corporation is qualified and authorized to transact business in the State of North Carolina and is in good
standing in such state; (d) there is no provision in the Articles of Incorporation, Bylaws or any other
agreement which has not been waived which would condition,prohibit or otherwise limit the power of the
Secretary of the Corporation to execute this Certificate.
