The purpose of this Agreement is for the Owner to give Plantation permission to access the Property to conduct an environmental assessment and/or remediation of the property as more fully described below. 1. Description of Property: 6340 A Burnt Poplar Road, Greensboro, North Carolina Parcel Number 0099372 2.73 Acre lot 2. Description of Work: Plantation will install a series of groundwater monitoring wells for the purpose of collecting groundwater samples for laboratory analyses (the "Work"). Such Work shall also include the abandonment of any groundwater monitoring wells. 3. Grant of Access: Owner has the right to grant and hereby grants Plantation, its agents, employees, contractors, subcontractors and state and federal representatives with oversight responsibility the right to enter the Property for the sole purpose of carrying out the Work, without rent, fee or other form of charge. a) Plantation's right of access to the Property pursuant to this Agreement shall be exercised in a manner that does not unreasonably interfere with the Owner's business conducted on the Property. b) Plantation's activities on the Property shall be undertaken in compliance with all applicable federal, state and local rules and regulations. c) Owner shall cooperate with Plantation to facilitate access onto the Property for purposes of completing the Work. d) Plantation will restore the Property to the extent reasonably possible to the condition which existed when the Work was commenced. e) All borings not converted to groundwater monitoring wells will be abandoned at the time the boring is completed. Plantation will abandon any groundwater monitoring wells in accordance with the applicable regulatory requirements when the North Carolina Department of Environmental Quality determines the wells are no longer required. fJ All Work will be conducted at Plantation's expense. 4. Duration of Agreement: Plantation shall have access to the Property at all reasonable times, beginning on the Effective Date and continuing until the Work is complete, or until December 31, 2018, whichever is later. 5. Indemnification: Plantation will defend, indemnify and hold harmless Owner from and against any and all claims, damages, liabilities, costs and expenses, including reasonable attomey's fees, ("Losses") arising out of any personal injury or property damage caused by Plantation's negligent performance of the Work on the Property or caused by environmental contamination of the Owner's Property, except that Plantation will not be responsible for Losses caused by Owner's sole negligence, gross negligence or willful misconduct. For purposes of this Indemnification, "environmental contamination" means the presence of any pollutant or contamination in or on the groundwater, surface water, soil, or subsurface soil that exceeds any applicable state or federal cleanup standard for industrial site cleanups that originated from Planation's operations. 6. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina. 7. Amendment: This Agreement may be amended only by a writing signed by both Owner and Plantation. 8. Binding Effect: This Agreement shall bind Owner and Plantation, and their respective successors and assigns. 9. Effective Date: This Agreement shall be effective when both parties have executed this Agreement as evidenced by the signatures of the parties or their representatives below.
