Call to order The meeting was called to order at 6 10 pm There was a quorum present with the following Board of Directors in attendance Carlee Wheatley, Breanna Senters, Chris Riddle, Joan and Michael Cordero The following members were in attendance Danny Miller, Connie Everett, Kelley Riddle, and Patrick Wheatley Sherri Mayes and Jessica Mahlum from Century 21 Advantage Gold Realty were present representing the current Management Company of the association Introduction: Sherri Mayes introduced herself and Jessica Mahlum to the Board of Directors that were unable to attend the last meeting Sherri and Jessica both represent the current Management Company, Century 21 Advantage Gold Realty Each Board Member introduced themselves Approval of Mmutes• Chris Riddle moved to approve the minutes from the 2010 Annual Meeting and the June 22, 2010 Board of Directors Meeting The motion to approve the minutes was carried Board of Directors Term and Election of Officers Sherri Mayes explained the duties of President, Vice President, Secretary and Treasurer She also explained the different year terms that would be required of each Board Member per the By -Laws Chris Riddle volunteered to run as President, Carlee Wheatley and Joan Cordero volunteered to run as Vice President, Michael Cordero and Breanna Senters volunteered to run for Treasurer, with no Board of Directors wanting the Secretary Position A vote was taken and Chris Riddle was elected President, Carlee Wheatley was elected Vice President and Breanna Senters was elected Treasurer Joan Cordero made an announcement that she would like to remove herself and Michael Cordero from the Board of Director Sherri Mayes urged Joan and Michael to remain on the Board of Directors and asked the remaining board members to have a brief discussion on their concerns with Joan and Michael There was a brief discussion about the concerns that the other Board of Directors had with Joan and Michael both serving on the Board at the same time After the brief discussion Chris Riddle stepped down as President, Carlee Wheatley stepped down as Vice President Chris Riddle moved to elect Joan Codero as President The motion to approve Joan Cordero was carried Carlee Wheatley moved to elect Chris Riddle as Vice President The motion to approve Chris Riddle was carried Chris Riddle moved to elect Carlee Wheatley as Secretary The motion to approve Carlee Wheatley was carried The 2010 Board of Director and Officers are as follows ➢ Joan Cordero- President ➢ Chris Riddle -Vice President ➢ Breanna Senters-Treasurer ➢ Carlee Wheatley -Secretary ➢ Michael Cordero-Board of Directors Sherri also went on to explain that there are different terms that will be served by the Board of Directors There would be one 3 year term, two 2 year terms, and two 1 year terms The staggered terms will reduce the replacement of the entire Board of Directors every year The following Board Members were appointed for the following terms ➢ 3 Year Term - Breanna Senters ➢ 2 Year Term- Carlee Wheatley and Joan Cordero ➢ 1 Year Term- Michael Cordero and Chris Riddle New Business ➢ Management Agreement Sherri explained that the current management agreement is between the developer and the management company Since the association has been turned over to the owners and the Board of Directors have been elected all contracts will terminate with the required notices that each vendor requires Sherri went over the management agreement with the Board of Directors and the types of services that Century 21 Advantage Gold Realty would provide The services included but are not limited to the collection of annual assessments through invoices and late notices, budget preparation, welcome packets, annual financial statements, attendance at annual membership meetings and Board of Director meetings and preparation for these meetings, duplicating and in some crises preparing minutes for the annual and Board of Directors meetings, sending notices and preparing agendas and packets for said meetings, and to assist with enforcing covenants violations Sherri also explained that without a management company the Board of Directors would be responsible for everything associated with the upkeep of the association, which includes the responsibility of keeping up with association's check book, collecting the yearly association dues, hiring and paying all vendors used for grounds maintenance, taking responsibility for the storm water ponds, knowing the general statutes for home owners' associations, etc The Board decided to table the management agreement, and will get back to the management company within 30 days with their decision ➢ Budget Review Sherri Mayes explained the Budget to the Board and informed them that there will be a deficit before year end if an assessment is not administered to the members immediately There is an estimated $8847 00 deficit for the 2010 Budget Year She went on to inform the Board of Directors that the Developer, Hunter Development, had agreed to contribute $3500 00 towards the deficit After the $3500 contribution there would still be a deficit of around $5347 00 Unless the Board of Directors can cut down expenses the assessment will need to be around $160 00 The Board of Directors discussed the deficit and decided that an assessment will be needed in order to fund the shortage that the association would have in the next couple of months They agreed this would require further discussion and decided a workshop would be required by the Board of Directors the following week The Board of Directors requested to view the contracts of the current vendors that were currently in place for the Association The management company provided the Board of Directors with the following contracts Lawns Plus, M & M Development and a Bid from SIA Group for the required insurance of the association per the By -Laws (D&O and General Liability) Sherri also explained the importance of obtaining an attorney for the association Unfortunately, no monies have been allocated in the budget for attorney's fees Sherri recommended two attorney's to the association Ward and Smith (New Bern) and Frank Erwin (Jacksonville) ➢ Storm Water Ponds Sherri explained what storm water ponds are and provided handouts with information about storm water ponds for each member of the Board to review Currently M&W inspects the storm water ponds monthly and provides a monthly report Each member was provided a report to review At this time there isn't a lawn maintenance contract for the ponds The Board discussed getting estimates from other companies that maintain and inspect storm water ponds ➢ Newsletter The Board discussed and decided that the best way to announce the Board of Directors to the membership would be through a Newsletter ➢ Questions and Concerns - Dog waste- This is an ongoing problem in the neighborhood There are several homeowners that are not picking up after their dogs on a regular basis causing the neighborhood to be unsightly and fowl smelling This is something that needs to be addressed - Abandoned Cars- There is a problem with cars being left in the neighborhood in common areas and not in parking spaces - Fire Lanes- There is a concern for fire lanes to be painted in the neighborhood There is a problem with cars parking in places that would not allow for emergency vehicles to access properties if an emergency was to ever occur Adjourn Meeting Meeting was adjourned at 8 05 pm Doris Place Owner's Association Annual Membership Meeting June 22, 2010 630pm. Call to order The meeting was called to order at 6 30 pm There was a quorum present with one proxy (Joan and Michael Cordero) and the following members in attendance Carrie Smith, Danny Miller, Maureen Wenzel, Connie Everett, Chris and Kelly Riddle, Curtis Bartley, Carlee T Wheatley, Breanna Senters, Erik Duran, Scott Kane, Chris Coffman, Matthew and Heather Stemberger and Emanuel and Alicia Jackson Sherri Mayes and Jessica Mahlum from Century 21 Advantage Gold Realty were present representing the current Management Company of the association Ralph Blanco, a non member was also present at the meeting Introduction Sherri Mayes introduced herself and Jessica Mahlum to the membership Sherri and Jessica both represent the current Management Company, Century 21 Advantage Gold Realty Discussion of the Makeup and Purpose of the Association Sherri explained that the purpose of a homeowners association was to provide benefits to residents that they normally would not be able to obtain on their own Such as having the homeowner's association provides a level of certainty that the community will remain physically attractive over time by imposing and privately enforcing, through fines and assessments, rules on architecture, landscaping, fences, signs etc She explained that most significant purpose of a homeowners association is to protect property values Budget for 2010 Sherri Mayes explained the Budget to the membership and informed them that the association would run out of money in July if something was not done immediately Currently the budget has a shortage of approximately $6400 00 Sherri Mayes answered the following questions from the membership in regards to Budget Items How often is the Ground Maintenance Done? The ground maintenance is done twice a month from April through October Several members indicated that the ground maintenance was only being done about every three to four weeks Sherri indicated that once a new Board is in place they would be able to address this with the current ground maintenance crew or hire a new one How do we cover the shortage in the Association?
