Dear Brian,
Charlotte -Mecklenburg Board of Education (CMBE) operates three high schools immediately surrounding the
site which are the largest, by student population, in the state of North Carolina. A project included in the 2017
Capital Investment Plan, and approved by the voters in a general obligation bond referendum, was a new high
school to provide capacity and relief for these schools.
In May 2021, CMBE entered into an exchange agreement with Woodfield Acquisitions, LLC (Woodfield), This
exchange agreement was effected so that CMBE could acquire a portion of the tracts which Woodfield had
contracted to purchase from the Roman Catholic ❑iocese of Charlotte (RCDC), and so that Woodfield could
accomplish the scope of work it had originally intended at the site owned by RCDC.
This exchange agreement was the culmination of a full calendar year of negotiations between and among
CMBE, Woodfield, and RCDC. RCDC had offered the site of roughly 80 acres for sale via a Request for
Proposals process. CMBE, despite having targeted this site for acquisition since 2008, was excluded from
participating in the sale process. Woodfield secured the rights to acquire and develop the site subject to
successful rezoning. CMBE agreed to exchange a portion of a site on Ardrey Kell Road and cash for roughly
55 of the 80 acres in order to construct the relief high school.
In addition to the rezoning, RCDC conditioned the sale of the 80-acre site on improvements to a tract which
RCDC intends to retain. That tract is currently leased to the British International School of Charlotte, a private
K-12 educational entity. A new playfield, bleachers, and storage are among the improvements required by
RCDC. CMBE agreed to an assignment of these responsibilities from Woodfield in the exchange agreement,
as CMBE has greater familiarity than a multifamily developer in the provision and construction of K-12 athletic
amenities; further the BIS tract to be retained by RCDC is directly adjacent to the area of the site on which the
new public high school will be constructed.
This is a complex real estate transaction, and a true public -private partnership at two different sites.
Contractual back-up includes an amended and restated purchase and sale agreement; exchange agreement;
field construction agreement; and right of first refusal. These documents and the transactions have been
approved by both CMBE and the Mecklenburg County Board of Commissioners. Closing will occur as soon as
the rezoning process is complete; CMBE and Woodfield are currently expecting a hearing in January 2022 with
an affirmative decision in February.
