I started to go through these transfers today. It looks like we still need to get the transfer applications signed by
Riptide. We also still need the renewals for SW8 940405. And, need to get two more 0&M. SW8 940226 is a low
density permit that needs an O&M. (I inadvertently left that off of the previous O&M list.) SW8 940405 is a high density
permit needing an O&M. That file is really complicated. See below. I originally thought that an O&M was not
needed. But, it looks like the most recent version of the permit (attached from 1996) was not on file. But, there are
1996 approved plans for SW8 940405 showing a pond and so there must have been an O&M. We will need an 0&M for
that permit. (I have attached a blank form with the pond cross-section diagram as well as a picture of the 1996 SW8
940405 plans to show the necessary elevations.)
Hopefully this information will wrap this up. As you know, I have to set a due date because we get audited. Please
respond by 12/2/2020.

Per our recent discussions I understand that there have been corporate changes in Sea Trail. Until recently, Mr.
Pan was the manger for various corporations that managed Sea Trail. I have summarized the current permittees
for Sea Trail in Attachment A of this letter.
1. Sunrise Corporate Development Holdings is now managed by Riptide Builders Development, LLC. This
impacts nine (9) permits. Please submit the Permit Information Update Form so that the correct contact
information will be on file. It is available online, baps://deg.nc.gov/about/divisions/energy-mineral-land-
resources/energy-mineral-land-rules/stormwater-pro argc MIpost-construction.
2. Dissolved Corporations: It is my understanding that Riptide Builders Development, LLC currently
manages all of Sea Trail. If so, please apply to transfer permits currently issued to the following
dissolved corporations to Riptide.
a. Sunrise Corporate Development Limited is dissolved, but that entity still holds thirteen (13)
permits.
b. Sea Trail Corporation is dissolved, but that entity holds one (1) permit.
3. There are two expired permits. Please renew these permits.

I talked to Georgette about your situation after we met yesterday. It seems that some of the —23 permits that need to
be "transferred" were in the wrong name to begin with. It seems arduous and expensive to ask you to pay $505 for
each of the "transfers" when there is a fair argument that they are actually corrections. For administrative purposes we
need to go through the process to formally transfer each permit into the correct name, but we will do all of these under
a single $505 fee. Can you please send me a list of those permit numbers so that we can keep up with that?

There are two ways to transfer the ownership of a permit, and it has to do with whether there was a merger with a
surviving company of if it is just transferring to an entirely different corporation. Both forms are found here,

1. Permit Update Form: I see on the NC Secretary of State's site that Wealth Spring Industry, LLC merged into
Chinaway Corporate Development, LLC in 2017. At that point, Wealth Spring was no longer a valid entity and its
assets became represented by a new name, Chinaway. Any permits issued to Wealth Spring can submit the."
Permit Update Form. This is just an administrative exercise to formally change the permit to the modified
corporate name. Any other corporations with mergers would follow this same pattern. If there are several
permits issued to Wealth Spring, then you can just submit one form and attach a list of affected permits.
Permit Transfer Application: If it wasn't just a matter of the name of a company changing or a merger that
essentially changed the name of the company, then you have to formally transfer the permit to the appropriate
entity. Though transfers tend to create a feeling of dread because they tend to get complicated this particular
situation should not be that difficult. If there are the same people on both sides of the transfer, then they can
submit a letter with the application indicating that they will take the transfer of the permit "as is" without an
inspection. It should also state that they understand that, as the incoming permittee, they will become
responsible for anything that needs to be done to bring the project into compliance if anything were to come
up. If your goal is to get all the permits into the same name (or as few as possible), this is the best path
forward. Eventually you will have to transfer the permits to the HOA. At that point we will have to do the full
transfer process where we look at all the documents (deed restrictions, O&M, certifications, etc), do the field
inspection, demonstrate that at least 50% of the lots have been sold, document that the impervious area

2. Operation and Maintenance (O&M) Agreement: Please submit the enclosed O&M Agreements
signed by the incoming permittee for the eight permits listed above.
SW8 040405 Renewal: We had previously identified three permits that needed to be renewed
before they can be transferred and those have been processed. But, as I went through these files I
discovered that SW8 940405 was also expired but it was inaccurately entered in our database and
so I did not know until I pulled the hard copy file. This permit expired on February 6, 2006. It
needs two eight -year renewals to get it from 2006 to 2014 and then to 2022 in order to be an
active permit.
4. SW8 940226: Nothing is needed for this permit at this time. But, it is dependent on the other
permits being issued. The various tables in this permit will be updated to reflect the overall
changes to the 19 permits when they are all issued.
Please remember to confirm that any revised information is presented consistently throughout the
application documents including calculations, supplements, narrative, and plans. Please also remember to
provide two hard copies of any updated documents per 15A NCAC 02H.1042(2).
All of the requested information listed above should be received in this Office by June 16, 2020, or the
application will be returned as incomplete. If additional time is needed to submit the requested
information, please email your extension request prior to this due date to the email address provided
below with aiustification and a date of when the requested information will be submitted, which shall be
no later than 15 days past the original due date. Please note that only two letters requesting additional
information is allowed in the State Stormwater Program for a total of 30 days to submit the requested
additional information. If the information is not satisfactorily provided after either the second request or

depth reading and not readily penetrate into accumulated sediments.
■ When the permanent pool depth reads 4.5 feet in the main pond, the sediment shall be
removed.
■ When the permanent pool depth reads 4.5 feet in the forebay, the sediment shall be removed.

5. Remove cattails and other indigenous wetland plants when they cover 50% of the basin surface.
These plants shall be encouraged to grow along the vegetated shelf and forebay berm.

thing I need is the O&M signed by the incoming permit -tee under the "new" company's name for permits that have 0&M
agreements. (The ones that have been issued did not.) I went back and re-created the O&M agreements for the
applicable permits and put them in one electronic file for the sake of simplicity. There is one that I still need to go
through. (A resident called in a complaint and it is being inspected and so I haven't been able to go through it yet.) And,
the final thing is that I found another one of these that needs a renewal before the transfer. It is an old one and the
expiration date wasn't in the database so I didn't know it was expired until I went through the hard copy file,
unfortunately. But, all of these are drafted. It is administrative at this point.

Effective August 1, 2013 the State Stormwater program has been transferred from the Division of Water Quality (DWQ) to the
Division of Energy, Mineral and Land Resources (DEMLR). All previous references to DWQ will remain in older stormwater
permits issued prior to August 1, 2013 until they are modified. Please note that any updated pages or addendums to the
permit will now reference DEMLR as the Division responsible for issuance of the permit.
Name/Ownership Change (Permit Transfer):
On November 22, 2014, the Division of Energy, Mineral and Land Resources (DEMLR) received a permit Name/Ownership
Change Form from Sea Trail Corporation for the projects listed in the attached table. File review and site inspections have
been performed by DEMLR staff on the dates listed in the attached table. Please find a copy of the completed form entitled
"Compliance Inspection Report" for each permit attached to this letter, which summarizes the findings of the recent inspection.
As noted in the reports, there are non -compliant areas of the project. The Division recognizes that many of the permit
Violations were present when you purchased the bank -owned property, and therefore the Division will work with you to help
resolve these issues as necessary.
As indicated in the attached inspection report, the following deficiencies must be resolved:
1. General:
a. There appear to be areas where permits overlap, are not built according to the permitted plan, and/or are
built but are not covered by a State Stormwater permit. Please identify the areas and propose a plan to
bring Sea Trail into compliance with its State Stormwater permits. One way to accomplish this may be to
update the master plan which is permitted under SW8 940226.
b. Deed restrictions must be submitted if they are required by the permit.
c. Designer certifications must be submitted if they are required by the permit.
d. 0&M agreements must be in place to ensure maintenance of the stormwater system.
2. Attached Table: Specific items for each permit are listed in the inspection reports and are summarized in the
attached table.
3. Permittee: This permit has been transferred in good faith to Dana Connelly, Vice President of Sunrise Corporate

this permit shall be effective until the expiration dates listed in the attached table. For your records, please find enclosed an
addendum to the previously issued permits, a copy of the inspection report, and a copy of the Name/Ownership Change form
submitted on November 22, 2014. Please attach this cover letter and addendum to each of your permits that were originally
issued by the Division of Water Quality on the dates listed in the attached table and as modified thereafter.
These permits are subject to the conditions and limitations as specified in the previously issued permit. Please pay special
attention to the conditions listed in this permit regarding the Operation and Maintenance of the BMP(s), recordation of deed
restrictions, procedures for changes of ownership, transferring the permit, and renewing the permit. Failure to establish an
adequate system for operation and maintenance of the stormwater management system, to record deed restrictions, to
transfer the permit, or to renew the permit, will result in future compliance problems. Please inform this Office in writing before
Mav 7.2014. of the specific actions that will be undertaken and the time frame that will be required to correct the deficiencies.
Permit Extension (SW8 990825 and SW8 010911 Only):
Two Sea Trail permits' expiration dates have been extended. On August 5, 2009, the Governor signed Session Law 2009-
406. This law impacts any development approval issued by the Division of Energy, Mineral and Land Resources under Article
21 of Chapter 143 of the General Statutes, which is current and valid at any point between January 1, 2008, and December
31, 2010. The law extends the effective period of any stormwater permit that was set to expire during this time frame up to
three (3) years from its current expiration date. On August 2, 2010, the Govemor signed Session Law 2010-177, which
granted an extra year for an extension of up to four (4) years. Permit SW8 990825 has been extended until June 19, 2015
and SW8 010911 has been extended until January 15, 2016. Four other permits, SW8 940405; SW8 960124; SW8 990237;
and SW8 000709 have been previously issued extension letters. Copies of those letters are included with their respective
permits.
If any parts, requirements, or limitations contained in this permit are unacceptable, you have the right to request an
adjudicatory hearing by filing a written petition with the Office of Administrative Hearings (OAH). The written petition must
conform to Chapter 150B of the North Carolina General Statutes, and must be filed with the OAH within thirty (30) days of
receipt of this permit. You should contact the OAH with all questions regarding the filing fee (if a filing fee is required) and/or
the details of the filing process at 6714 Mail Service Center, Raleigh, NC 27699-6714, or via telephone at 919-431-3000, or
visit their website at www.NCOAH.com. Unless such demands are made this permit shall be final and binding.

For the construction, operation and maintenance of stormwater management structures in compliance with the
provisions of 15A NCAC 2H .1000 (hereafter referred to as the "stormwater rules') and the approved stormwater
management plans and specifications and other supporting data as attached and on file with and approved by the
Division and considered a part of this permit.
The permit is hereby renewed subject to the following addendums, clarifications, conditions and limitations:
The original permit conditions contained.in the current permit remain in full force and effect, except as
amended herein. (An additional copy of this original permit can be obtained from the Wilmington
Regional Office of the Division of Energy, Mineral and Land Resources.)
2. This permit shall be effective from the date of issuance until the date listed in Table A.
3. The permittee shall submit a permit renewal application request at least 180 days prior to the expiration
date of this permit. The renewal request must include the applicable documentation and the processing
fee.
4. Decorative spray fountains are allowed in a wet detention pond subject to the following criteria:
a. The fountain must draw its water from less than 2' below the permanent pool surface.
b. Separated units, where the nozzle, pump and intake are connected by tubing, may be used only if
they draw water from the surface in the deepest part of the pond.
c. The falling water from the fountain must be centered in the pond, away from the shoreline.
d. The maximum horsepower for a fountain in this pond is as specified below:
SW8 940509: No fountains is allowed. Permanent pool volume is not on file.
SW8 990237:1/6 hp
SW8 990825: 3 hp

III. REQUIRED ITEMS
A request to transfer a permit will not be approved by the Division of Water Quality (DWQ) unless all
of the applicable required items listed below are included with the submittal. Failure to provide the
listed items may result in processing delays or denial of the transfer.
1. This completed and signed form. This certification must be completed and signed by both the
current permit holder and the new applicant if this is a change of ownership.
2. Legal documentation of the property transfer to a new owner.
3. A copy of any recorded deed restrictions, covenants, or easements, if required by. the permit.
4. The designer's certification (DWQ Engineer and Designer Certification Forms are available from
each DWQ Regional office), if required by the permit and if not already submitted to DWQ.
5. If the proposed permittee is a firm, partnership, association, institution, corporation, limited liability
company, or other corporate entity, provide documentation showing the authority of the named
representative to act on behalf of the proposed permittee.
6. The $40.00 processing fee. If this is an initial transfer from the original permittee the processing
fee is not required. Subsequent ownership transfers will require the $40.00 processing fee.

On July 16, 2012, staff of the Wilmington Regional Office of the Division of Water Quality (DWQ) was notified that
Sea Trail Corporation filed for Bankruptcy and that CC & C Builders, LLC was dissolved on April 20, 2009. On July
16, 2012, file reviews for the projects listed in Attachment A located in Brunswick County were conducted to
determine compliance with their State Stormwater permits.
When there will be a change in ownership of a permitted facility, a completed "Name/Ownership Change Form" must
be submitted to DWQ. The request for transfer of ownership form can be downloaded at:
httpl/portal.ncdenr.orp/web/wa/wslsu/statesw/forms docs#tab-3. Permit ownership must be transferred to the bank
that is now in possession. Once the projects are sold to third part(ies), the bank will transfer ownership to the third
part(ies). Please submit the completed name/Ownership Form along with the supporting documentation to the
Division.
Please inform this Office in writing before August 17, 2012, of the specific actions that will be undertaken and the
time frame that Will be required to correct the above listed items.
